Communicating to Banque du Liban the Names of Shareholders and Persons Holding Managerial Positions

The Acting Governor of Banque du Liban issued Basic Decision No. 13638, requiring all licensed banks, financial institutions, and related entities to submit updated Excel lists detailing the names, dates of birth, and ownership percentages of shareholders, beneficial owners, board members, and senior executives. Institutions must deliver these lists to the Legal Affairs Department by 30 June 2024 and subsequently within one week of any amendments, using designated English-language forms. The Legal Affairs Department will cross-reference the submitted data against international and national sanctions lists, with non-compliance subject to license revocation.

Basic Decision No. 13638 Providing Banque du Liban with the Names of Shareholders and Persons Holding Managerial Positions

The Acting Governor of Banque du Liban, Pursuant to the provisions of the Monetary and Banking Law, particularly Article 70 thereof; Pursuant to the provisions of Anti-Money Laundering and Counter-Terrorist Financing Law No. 44 dated 24/11/2015; Pursuant to the provisions of Basic Decision No. 12147 dated 22/12/2015 regarding the implementation of United Nations Security Council Resolutions No. 1267 (1999), No. 1988 (2011), and No. 1989 (2011) and subsequent resolutions, subject of Basic Circular No. 136; Pursuant to the provisions of Basic Decision No. 12253 dated 3/5/2016 regarding procedures for dealing with the US Law issued on 18/12/2015 and its implementing regulations concerning preventing the entry of "Hezbollah" into foreign financial institutions and other institutions subject to Basic Circular No. 137; Pursuant to the recommendations of the Financial Action Task Force (FATF); Pursuant to the decision of the Central Council of Banque du Liban taken in its meeting held on 28/5/2024,

Decrees as follows:

Article 1: All institutions subject to prior licensing by Banque du Liban, particularly Banks, Financial Institutions, Finance Leasing Companies, Institutions Issuing and Promoting Payment or Credit Cards, Institutions Engaging in Financial and Banking Operations via Electronic Means, Money Exchange Institutions, and Lending Comptoirs, shall provide the Legal Affairs Department at Banque du Liban with an updated list organized according to the EXCEL format, via email (lb.gov.bdl@legalsec), within a maximum deadline of 30/6/2024, including the full name and date of birth for each of the following:

  • Shareholders and partners (as applicable) holding more than 5% of shares or units.
  • Beneficial owners who hold and/or effectively control more than 5% of shares or units.
  • The Chairman and members of the Board of Directors.
  • All persons holding a position in Senior Executive Management. Banque du Liban may also request the names of shareholders, partners, and beneficial owners holding less than 5% of shares or units if the bank is not listed on the stock exchange. In case the bank is listed on the stock exchange, Banque du Liban may request the names of shareholders, partners, and beneficial owners holding more than 2% of shares or units.

Article 2: Banks, companies, and institutions referred to in Article 1 above shall provide the Legal Affairs Department at Banque du Liban with a new list upon any amendment to the previously submitted lists, within a deadline of one week from the date of any change requiring an amendment to the aforementioned lists.

Article 1 bis: All institutions referred to in Article 1 above shall provide the Legal Affairs Department at Banque du Liban with the required information stipulated in Articles 1 and 2 above, in English and according to Forms (1) through (5) attached. Article 3: The Legal Affairs Department at Banque du Liban shall periodically verify whether the aforementioned names are not listed on any international, national, or UN sanctions lists.

Article 4: Banks, companies, and institutions referred to in Article 1 above shall comply with the provisions of this Decision under penalty of revocation of their granted license.

Article 5: This Decision shall take effect upon its issuance.
