Federal Court Orders Electro Optic Systems Holdings to Pay $4 Million Penalty for Continuous Disclosure Breaches

The Federal Court ordered Electro Optic Systems Holdings Limited to pay a $4 million penalty for failing to timely disclose a material downgrade to its 2022 revenue forecast. The court found the company breached section 674A(2) of the Corporations Act by delaying the correction of its guidance for approximately 14 weeks, thereby undermining market integrity. ASIC Chair Joe Longo emphasized that listed companies must promptly disclose material changes to maintain investor confidence and market fairness.
