Regulations on Maintaining a State Register of Securities

1. General provisions 1.1 These Regulations have been developed in accordance with Article 84.2 of the Law of the Republic of Azerbaijan on Securities Market and determine procedures for maintaining a state register of securities (hereinafter – the Register). 1.2 The Register is maintained by the State Committee for Securities of the Republic of Azerbaijan (hereinafter – the Register) and is its information resource. 1.3 The Register is formulated, maintained and used through the ‘Electronic state register of securities’ software. 1.4 The main goals of the Register are to: 1.4.1 provide maintenance of the state register of securities; 1.4.2 develop securities related reports; 1.4.3 ensure exchange of information with public authorities. 1.5 When securities or issuance of securities are state registered, securities are withdrawn from circulation, related information is entered to the Register.
2. Information entered to the state register 2.1. The following information on securities, issuances of securities and withdrawal of securities from circulation is included to the Register: 2.1.1 issuers;

2.1.2 issue of shares; 2.1.3 issue of bonds; 2.1.4 issue of promissory notes; 2.1.5 registration of a pledge certificates; 2.1.6 registration of mortgage certificate; 2.1.7 registration of issuance of real estate certificates; 2.1.8 registration of issuance of depository receipts; 2.1.9 approved prospectus. 2.2 The following information on issuers is included to the Register: 2.2.1 issuer’s name; 2.2.2 tax identification number (TIN); 2.2.3 legal address; 2.3 The following information on registration of securities is included to the Register: 2.3.1 the name of the issuer of securities; 2.3.2 the registration date of securities or the issuance of securities; 2.3.3 the date a decision on issuance of securities is taken (if any); 2.3.4 state registration number of securities or the issuance of securities (international identification code (if any)); 2.3.5 type of securities; 2.3.6 form of securities; 2.3.7 number, par value and aggregate nominal value of securities. 2.3.8 note on securities withdrawn from circulation.

3. Use of state register 3.1 Upon state registration of the issue of shares, bonds and depository receipts, the issuer is provided with an Extract from the state register of securities on state registration of securities (Annex №1). 3.2 When the issue of real estate certificates is state registered, the issuer is provided with an Extract from the state register of securities on the state registration of securities (Annex №2).
