The Financial Regulatory Authority issued Decision No. (14) of 2018 to amend Decision No. (121) of 2017 concerning registration requirements for entities listing on the Egyptian Exchange. The amendment explicitly empowers the Authority to suspend approval of offering prospectuses or disclosure reports, and to revoke registration, if the initial eligibility conditions cease to be met between the registration date and the offering execution date. The decision takes effect the day following its publication in the Egyptian Gazette and on the official websites of the Authority and the Exchange.

Having reviewed the Law on Joint Stock Companies, Commandite Companies by Shares, and Limited Liability Companies issued by Law No. (159) of 1981 and its Executive Regulations;
and the Capital Market Law issued by Law No. (95) of 1992 and the decisions issued in implementation thereof;
and the Central Depository and Registration of Securities Law issued by Law No. (93) of 2000 and its Executive Regulations;
and Law No. (10) of 2009 regulating supervision over financial markets and non-banking financial instruments;
and Presidential Decree No. (191) of 2009 concerning the provisions regulating the management and financial affairs of the Egyptian Exchange;
and the Statute of the Financial Regulatory Authority issued by Presidential Decree No. (192) of 2009;
and Decision of the Board of Directors of the Authority No. (11) of 2014 concerning the rules for listing and offering securities on the Egyptian Exchange;
and Decision of the Board of Directors of the Authority No. (121) of 2017 concerning the conditions and requirements for registration with the Authority for companies and entities wishing to list and offer their financial instruments on the Egyptian Exchange and procedures for approving offering prospectuses;
and the approval of the Board of Directors of the Authority dated 27/3/2018.
The following paragraph shall be added to the end of Article Five of Decision of the Board of Directors of the Authority No. (121) of 2017:
The Authority, during the period from the date of registration until the date of execution of the offering, may suspend approval of the offering prospectus or disclosure report regardless of whether the conditions upon which registration with the Authority was based cease to exist, and may issue a decision to cancel registration if these requirements are not met within the specified timeframe.
This Decision shall be published in the Egyptian Gazette, on the websites of the Authority and the Egyptian Exchange, and shall take effect from the day following its publication.
