MINISTRY OF SCIENCE AND TECHNOLOGY, HIGHER EDUCATION AND TECHNICAL AND VOCATIONAL TRAINING DISPATCH Under the provisions of paragraph 3 of Article 8 of Ministerial Decree No. 119/2014, of August 13, and in the exercise of the powers conferred by paragraph c) of Article 3 of Presidential Decree No. 14/2015, of March 16, I determine:

  1. Mr. Alexandre Jumbe Júnior Filipe is authorized, in his capacity as owner, to establish and operate a Technical and Vocational Education institution, named Instituto Técnico de Moçambique (ITM).
  2. The Instituto Técnico de Moçambique (ITM) is a private Technical and Vocational Education institution, which will operate under the terms described in the attached charter to this Dispatch. BANCO DE MOÇAMBIQUE Dispatch Considering that: a) Nosso Banco, SA has been presenting a growing deterioration of its main prudential and profitability indicators, namely weak capitalization, an unsustainable economic-financial structure, as well as serious liquidity and management problems; b) Nosso Banco, SA presented a restructuring plan in 2014, including recapitalization and alteration of its management structure, which did not yield the expected results; c) Nosso Banco, SA, after successive defaults on submitted recovery plans, demonstrated inability to exit the difficult economic-financial situation it is in, thereby placing itself in a practically unviable situation; d) Nosso Banco, SA, by not executing the submitted recovery plans, not only violated Central Bank determinations but also failed to restore equilibrium in its economic-financial situation; Having in mind that: e) Violation of the laws and regulations governing credit institutions and financial companies, as well as non-compliance with Banco de Moçambique determinations, which jeopardize the interests of depositors and other creditors or the normal functioning conditions of money, financial, and foreign exchange markets, constitute grounds for revocation of the operating authorization, under paragraph e) of paragraph 1 of Article 17 of Law No. 15/99, of November 1, as amended by Law No. 9/2004, of July 21 – Credit Institutions and Financial Companies Law (LICSF);

In the exercise of powers conferred by paragraph 1 of Article 18 of LICSF, combined with Article 5 of Law No. 30/2007, of December 18, which regulates the administrative liquidation process of credit institutions and financial companies, I decide: a) To revoke the authorization to conduct business granted to Nosso Banco, SA; b) To order the dissolution and liquidation of Nosso Banco, SA; c) To appoint Deloitte & Touche (Moçambique) Lda. as president of the liquidation committee of Nosso Banco, SA. Notice No. 4 / GBM/2016 of December 14 Decree No. 11/2016, of May 16, Regulation of the Private Management Credit Information System Law, establishes the obligation for credit information centers to pay processing fees for authorization and license applications. In these terms, under the powers conferred by paragraph 3 of Article 16 of the aforementioned Regulation, I determine: ARTICLE 1 (Object) This Notice sets the license application processing fee and the annual license fee of credit information centers. ARTICLE 2 (Scope) This Notice applies to all credit information centers, as defined by Law No. 6/2015, of October 6. ARTICLE 3 (License application processing fee)

  1. The license application processing fee is 20,000.00 MT.
  2. The proposing shareholders of the credit information center must attach to the file supporting the license application proof of payment of the processing fee. ARTICLE 4 (Annual license fee)
  3. The annual license fee is 25,000.00 MT.
  4. The aforementioned fee must be paid by June 30 of each year, from the start of the credit information center's activities, subject to a 25% monthly increase, without prejudice to other applicable sanctions.
  5. For the purposes of the preceding paragraph, activity is considered to have started on the date communicated by the credit information center to Banco de Moçambique, according to the attached form, which is an integral part of this Notice.
  6. Credit information centers must submit to the Regulation and Licensing Department of Banco de Moçambique proof of payment of the license fee by the date referred to in paragraph 2 of this article. ARTICLE 5 (Payment of fees) The fees provided for in this Notice must be paid by deposit into Banco de Moçambique, into an account to be indicated. ARTICLE 6 (Entry into force) This Notice enters into force immediately. ARTICLE 7 (Clarification of doubts) Doubts arising from the interpretation and application of this Notice shall be submitted to the Regulation and Licensing Department of Banco de Moçambique. Notice No. 5/GBM/2016 of December 14 Given the need to establish the information that Credit Information Centers must submit to Banco de Moçambique for supervision purposes, Banco de Moçambique, under the powers conferred by Articles 19 and 23 of Decree No. 11/2016, of May 16, Regulation of the Private Management Credit Information System Law, determines: CHAPTER I (General Provisions) ARTICLE 1 (Object) This Notice establishes the information that Credit Information Centers must periodically send to Banco de Moçambique for supervision of their activities. ARTICLE 2 (Scope) This Notice applies to Credit Information Centers, as defined by Law No. 6/2015, of October 6. CHAPTER II (Supervision Reports) ARTICLE 3 (Reporting Duty)

  1. Institutions covered by this Notice must submit to Banco de Moçambique the following information: a) Provider and subscriber report, containing: i. Number and type of subscribed regular and occasional providers and subscribers; ii. Description of the type and volume of information received from providers; iii. Description of the type and volume of services provided to each subscriber; iv. Technical assistance provided to providers and subscribers, indicating those requested by them and those initiated by the center itself. b) Legal compliance report, containing: i. Description of procedures applied to ensure that received and reported data are correct and guarantee information confidentiality; ii. Irregularities or errors occurring regarding the submission and consultation of information by providers and subscribers; iii. Actions taken, if any, to correct detected irregularities and ensure compliance with applicable laws and regulations by providers and subscribers. c) Complaints report, containing: i. Number of complaints received and resolved, indicating reception and resolution dates, customer name, claimed institution, and disputed subject; ii. Number of reports provided to clients, indicating free ones and the circumstances under which they were requested. d) Audit report on information systems, attesting to the adequacy of information systems for data security maintenance; e) Critical incidents report, containing a description of internally occurring or third-party-related incidents that compromised or could have compromised data security; f) Explanatory description of the financial rating model in use for classifying customer credit risk; g) Table of fees and commissions applicable to its services; and h) Audited financial statements.
  2. The complaints report must be submitted to the Behavioral Supervision Department, and the other reports and information must be submitted to the Prudential Supervision Department. ARTICLE 4 (Periodicity)
  3. The report referred to in paragraph e) of the preceding article must be submitted immediately after the event occurs, as stipulated in Article 24 of Decree No. 11/2016, of May 16.
  4. The reports referred to in paragraphs b) and c) of the preceding article must be submitted monthly, by the 5th day of the month following the reporting period.
  5. The report referred to in paragraph a) of the preceding article must be submitted quarterly, by the 5th day of the month following the quarter to which the information relates.
  6. The remaining reports must be submitted annually, by April 15 of the year following that to which the information relates. ARTICLE 5 (Reporting Format) The information referred to in Article 3 of this Notice must be submitted in physical and electronic format, in accordance with the attached models. CHAPTER III (Final Provisions) ARTICLE 6 (Entry into force) This Notice enters into force immediately. ARTICLE 7 (Clarification of doubts) Doubts arising from the interpretation and application of this Notice shall be submitted to the Prudential Supervision and Behavioral Supervision Departments of Banco de Moçambique.
