Ingingo ya 2: Isobanura Muri aya mabwiriza: (a) «urwego rubifitiye ububasha » bivuga urwego rufite ububasha bwo gutanga impushya no kugenzura abakora umwuga wo kuzahura Pursuant to Law n° 05/2015 of 30/03/2015 governing the organization of pension schemes, especially in Articles 66, 67 and 69; Pursuant to Law n° 061/2021 of 14/10/2021 governing payment system, especially in Articles 41 and 42; ISSUES THE FOLLOWING REGULATION: CHAPTER ONE: GENERAL PROVISIONS Article One: Purpose of this regulation This regulation determines the modalities for accreditation of a special administrator and a liquidator for a regulated institution. Article 2: Interpretation In this regulation: (a) “competent authority” means an organ empowered to license and supervise insolvency practitioners; Vu la Loi n° 05/2015 du 30/03/2015 régissant l’organisation des régimes de pension, spécialement en ses articles 66, 67 et 69 ; Vu la Loi no 061/2021 du 14/10/2021 régissant le système de paiement, spécialement en ses articles 41 et 42 ; ÉDICTE LE PRÉSENT RÈGLEMENT: CHAPITRE PREMIER: DISPOSITIONS GÉNÉRALES Article premier: Objet du présent règlement Le présent règlement détermine les modalités d’agrément d’un administrateur spécial et d’un liquidateur d’une institution réglementée. Article 2: Interprétation Dans le présent règlement : (a) «autorité compétente» signifie un organe habilité à agréer et à contrôler les praticiens de l'insolvabilité ;

Official Gazette n° 48 Bis of 25/11/2024 8 ubucuruzi cyangwa gucunga igihombo; (b) «ushinzwe isesa» bivuga umuntu ku giti cye cyangwa ikigo gifite ubuzima gatozi ushyirwaho kugira ngo akore isesa ry’ikigo kigenzurwa hashingiwe ku mategeko abigenga; (c) «ikigo kigenzurwa» bivuga ikigo cyose gifite uruhushya kandi kigenzurwa n’Urwego rw’Ubugenzuzi gifite imiterere idasanzwe mu kugenzura igihombo, by’umwihariko amabanki, ibigo by’imari iciriritse byakira amafaranga abitswa, ibigo by’ubwishingizi, ubwiteganyirize bwa pansiyo, abatanga serivisi zo kwishyurana, abashinzwe imikoreshereze y’uburyo bwo kwishyurana n’ikindi kigo icyo ari cyo cyose kigenzurwa n’Urwego rw’Ubugenzuzi cyazagenerwa kugira imiterere idasanzwe mu kugenzura igihombo ; (d) «umuyobozi udasanzwe» bivuga umuntu ku giti cye cyangwa ikigo gifite ubuzima gatozi ushyirwaho hagamijwe gucunga imitungo cyangwa gusubiza ku murongo ibikorwa (b) “liquidator” means an individual or a legal entity appointed to carry out liquidation of a regulated institution in accordance with relevant laws; (c) “regulated institution” means any institution licensed and supervised by the Supervisory Authority that has a special insolvency regime notably banks, deposit taking microfinance institutions, insurers, pension scheme, payment service providers, payment system operators and any other institution under supervisory purview the Supervisory Authority that may subsequently be given special insolvency regime; (d) “special administrator” means an individual or a legal entity appointed in order to manage the assets or reorganize the business of a regulated (b) «liquidateur» signifie une personne physique ou morale nommée pour procéder à la liquidation d’une institution réglementée conformément à la législation en la matière ; (c) «institution réglementée» signifie toute institution agrée et contrôlée par l'Autorité de Contrôle qui dispose d'un régime spécial d'insolvabilité, notamment les banques, les institutions de microfinance recevant des dépôts, les assureurs, les régimes de retraite de pension, les prestataires de services de paiement, les opérateurs de systèmes de paiement et toute autre institution relevant de la surveillance de l’Autorité de Contrôle qui pourrait ultérieurement bénéficier d’un régime spécial d’insolvabilité; (d) «administrateur spécial» signifie une personne physique ou morale nommée afin de gérer les actifs ou réorganiser les activités d'une institution réglementée en situation

UMUTWE WA II: KWEMERERWA KUBA UMUYOBOZI UDASANZWE CYANGWA USHINZWE ISESA Ingingo ya 3: Gusaba kwemererwa (1) Umuntu ku giti cye cyangwa ikigo gifite ubuzima gatozi byifuza kwemererwa kuba umuyobozi udasanzwe cyangwa ushinzwe isesa mu kigo kigenzurwa bishyikiriza ubusabe, mu nyandiko, Urwego rw’Ubugenzuzi, hakoreshejwe uburyo y’ubutumwa bw’ikoranabuhanga. (2) Ubusabe bwo kwemererwa bugaragaza ibikorwa usaba ashaka gukora. Ingingo ya 4: Ibikubiye mu busabe (1) Dosiye y’ubusabe y’umuntu usaba ku giti cye iba ikubiyemo inyandiko zikurikira: institution under financial distress for the protection of creditors’ interests; (e) “supervisory authority” means the National Bank of Rwanda. CHAPTER II: ACCREDITATION OF SPECIAL ADMINISTRATOR OR LIQUIDATOR Article 3: Application for accreditation (1) An individual or a legal entity who wishes to be accredited as a special administrator or a liquidator for regulated institutions submits, in writing, the application to the Supervisory Authority using electronic means. (2) An application for accreditation specifies the activities the applicant intends to carry out. Article 4: Content of the application (1) An application file for an individual applicant is comprised of the following documents: de détresse financière afin de protéger les intérêts des créanciers ; (e) «autorité de contrôle» signifie la Banque Nationale du Rwanda. CHAPITRE II : ACCRÉDITATION DE L’ADMINISTRATEUR SPÉCIAL OU DU LIQUIDATEUR Article 3: Demande d’agrément (1) Une personne physique ou morale qui souhaite être agréée en qualité d’administrateur spécial ou de liquidateur d’une institution réglementée en fait la demande par voie électronique. (2) La demande d’agrément précise les activités que le demandeur entend exercer. Article 4 : Contenu de la demande (1) Le dossier de demande d'une personne physique est composé des documents suivants :

Official Gazette n° 48 Bis of 25/11/2024 10 (a) ifishi y’ubusabe yujujwe neza nk’uko igaragara ku mugereka w’aya mabwiriza; (b) umwirondoro urambuye w’usaba; (c) kopi z’impamyabumenyi z’amashuri makuru n’impamyabushobozi y’umwuga ziriho umukono wa noteri; (d) icyemezo cyerekana ko umuntu yakatiwe cyangwa atakatiwe n’inkiko cyangwa icyemezo bihwanye cyatanzwe n’igihugu usaba akomokamo iyo ari umunyamahanga; (e) kopi y’uruhushya rufite agaciro rutangwa n’ubuyobozi bubifitiye ububasha; (f) icyemezo cy’ubunyamuryango mu rugaga rw’abanyamwuga abarizwamo, niba gihari; (g) icyemezo gitangwa n’umuyobozi w’urugaga rw’abanyamwuga abarizwamo kigaragaza ko usaba akiri umunyamuryango, mu gihe ari ngombwa; (a) a duly filled application form as set out in the annex of this regulation; (b) a detailed curriculum vitae of the applicant; (c) a copy of certified academic degrees and professional certificates; (d) a criminal record certificate, or its equivalent issued by the home country for a foreigner applicant; (e) a copy of valid license issued by the competent authority; (f) membership certificate of a professional body, if any; (g) a recommendation from the head of the professional body that the applicant is still an active member, where applicable; (a) un formulaire de demande dûment rempli, tel qu’il figure à l’annexe du présent règlement ; (b) un curriculum vitae détaillé du demandeur; (c) une copie des diplômes universitaires et les certificats professionnels certifiés ; (d) un extrait du casier judiciaire, ou son équivalent, délivré par le pays d’origine pour un demandeur étranger ; (e) une copie de la licence valide délivrée par l’autorité compétente; (f) un certificat d’adhésion à une organisation professionnelle, le cas échéant ; (g) une recommandation du responsable de l’organisation professionnelle attestant que le demandeur est un membre actif, le cas échéant ;

(2) Ubusabe bw’ikigo gifite ubuzima gatozi buherekezwa n’inyandiko zikurikira: (a) umwirondoro urambuye w’abafatanyabikorwa, uw’abayobozi n’uw’abayobozi b’amatsinda, aho bishoboka; (b) kopi y’impamyabumenyi y’amashuri makuru n’impamyabushobozi y’umwuga ziriho umukono wa noteri by’abafatanyabikorwa, n’iby’abayobozi bacyo; (c) icyemezo cyerekana ko umuntu yakatiwe cyangwa atakatiwe n’inkiko ku bafatanyabikorwa n’abayobozi bacyo; (d) kopi y’uruhushya rugifite agaciro cyangwa icyemezo cy’ubunyamuryango mu rugaga (h) a work certificates or certificate of good completion justifying his or her experience in the subject; and (i) a copy of identity card. (2) An application for a legal entity is accompanied with the following documents: (a) detailed curriculum vitae for its partners, managers and team leaders, if applicable; (b) a notarised copy of academic degree and professional certificates for its partners and its managers; (c) a criminal record certificate for its partners and managers; (d) a copy of valid license or membership certificate of a professional body issued by the competent authority; (h) un certificat de travail ou une attestation de bonne fin justifiant son expérience en la matière ; et (i) une copie de la carte d’identité. (2) La demande d’une personne morale est accompagnée des documents suivants : (a) un curriculum vitae détaillé des associés, des dirigeants et des chefs d’équipe, le cas échéant; (b) une copie notariée d’un diplôme universitaire et des certificats professionnels certifiés pour ses associés et ses dirigeants; (c) un extrait du casier judiciaire pour ses associés et ses dirigeants ; (d) une copie d’une licence valide ou d’un certificat d’adhésion à une organisation professionnelle délivré par l’autorité compétente;

Official Gazette n° 48 Bis of 25/11/2024 12 rw’abanyamwuga bitangwa n’ubuyobozi bubifitiye ububasha; (e) kopi ya raporo y’imari mu myaka itatu ishize, aho biri ngombwa; (f) ibyemezo byo kurangiza neza imirimo ijyanye n’ibyo ikigo kigenzurwa bireba gikora; (g) aho ibiro byacyo n’iby’amashami biherereye mu Rwanda, iyo bihari, agasanduku k’iposita cyangwa aderesi koranabuhanga yabyo, ndetse n’imbonerahamwe y’imyanya y’imirimo; (h) n’andi makuru cyangwa indi nyandiko yasabwa n’Urwego rw’Ubugenzuzi. Ingingo ya 5: Ibyo umuntu ku giti cye asabwa kuzuza kugira ngo abe umuyobozi udasanzwe cyangwa ushinzwe isesa (1) Umuntu ku giti cye wifuza kuba umuyobozi udasanzwe cyangwa ushinzwe isesa agomba kuba yujuje ibi bikurikira: (e) a copy of its financial statements for the past three years, where applicable; (f) certificates of good completion for activities related to those of the regulated institution concerned; (g) physical and postal or digital address of the local office and its branches in Rwanda, if any, together with its organizational structure; and (h) any other information or document as may be required by the Supervisory Authority. Article 5: Requirements for an individual to be a special administrator or a liquidator (1) An individual who intends to be a special administrator or a liquidator must fulfil the following: (e) une copie de ses états financiers pour les trois dernières années, le cas échéant ; (f) des certificats de bonne fin pour les activités liées à celles de l’institution règlementée concernée; (g) l’adresse physique et postale ou numérique du bureau local et de ses succursales au Rwanda, le cas échéant, ainsi que sa structure organisationnelle ; et (h) toute autre information ou document pouvant être exigé par l’Autorité de Contrôle. Article 5: Conditions à remplir par une personne physique pour être administrateur spécial ou liquidateur (1) Une personne physique qui souhaite devenir un administrateur spécial ou un liquidateur doit remplir les conditions suivantes :

Official Gazette n° 48 Bis of 25/11/2024 13 (a) kuba ari umunyarwanda cyangwa umunyamahanga uba mu Rwanda; (b) kugira uruhushya rufite agaciro rutangwa n’urwego rubifitiye ububasha rwo gukora umwuga wo kuzahura ubucuruzi cyangwa gucunga igihombo; (c) kugira nibura imyaka itanu y’uburambe bwo gukora umwuga wo kuzahura ubucuruzi cyangwa gucunga igihombo; (d) kuba atarakatiwe burundu n’urukiko igihano cy’igifungo kingana cyangwa kirengeje amezi atandatu. Ingingo ya 6: Ibisabwa ikigo gifite ubuzima gatozi Iyo usaba ari ikigo gifite ubuzima gatozi, kigomba kuzuza ibi bikurikira: (a) kugira nibura umubyobozi umwe, umufatanyabikorwa umwe cyangwa umuyobozi w’itsinda bahawe uruhushya n’urwego rubifitiye ububasha rwo gukora umwuga wo (a) to be a Rwandan by nationality or a resident; (b) to have a valid license issued by the competent organ to act as an insolvency practitioner; (c) to have at least five years of experience serving as insolvency practitioner; (d) to not have been definitively sentenced to a term of imprisonment equal to or exceeding six months. (2) The Supervisory Authority grants or denies accreditation within 30 days upon submission of complete application and promptly notifies the applicant of the decision in the following ways: (a) if the Supervisory Authority rejects the accreditation, it notifies the applicant in writing, including the grounds for rejection; (b) if the Supervisory Authority grants the accreditation, it notifies the applicant in writing. (3) The accreditation is perpetually valid from the date of notification unless Article 7: Octroi et validité de l’agrément (1) L’Autorité de Contrôle donne l’avis de réception au demandeur endéans sept jours ouvrables à partir de la réception de la demande. Article 13: Notification of suspension or revocation of accreditation (1) The Supervisory Authority notifies the liquidator or special administrator within a period of 15 days before the suspension or revocation of accreditation takes effect and specifies the grounds for suspension or revocation of accreditation. Article 14: Replacement of a special administrator or a liquidator (1) If the special administrator or liquidator has reasonable grounds to apply for suspension of accreditation while there is an ongoing administration or liquidation legal proceedings, he or she applies in writing. In that case, the Supervisory Authority assumes the remaining duties or appoints another special administrator or liquidator to complete such duties. (2) The provisions of Paragraph (1) of this Article also applies if the Supervisory Authority suspends or revokes the accreditation. (3) Iyo habaye iseswa ku bushake, ikigo kigenzurwa gishyiraho ushinzwe isesa uri ku rutonde rw’abayobozi badasanzwe n’abashinzwe isesa CHAPTER III: FUNCTIONING OF A SPECIAL ADMINISTRATOR OR A LIQUIDATOR Article 15: Appointment of special administrator or liquidator (1) The Supervisory Authority appoints a special administrator or liquidator from the list of accredited special administrators or liquidators published on its website. (2) The Supervisory Authority may appoint more than one special administrator or liquidator based on the nature, size and complexity of the concerned regulated institution. In this case, the appointed special administrators or liquidators are jointly liable towards the concerned regulated institution and the Supervisory Authority.
