The Securities and Exchange Board of India issued the Third Amendment Regulations, 2025, to further amend the Listing Obligations and Disclosure Requirements Regulations, 2015. The regulations mandate that listed entities issue securities resulting from schemes of arrangement or splits only in dematerialized form and require annual financial and non-financial disclosures from organizations registered on the Social Stock Exchange. Additionally, the amendments introduce self-certification for annual impact reports, impose a 67% expenditure coverage requirement for such reports, and set a two-year limit for non-profits to raise funds or maintain at least one listed project.
