Ingingo ya 2: Ibirebwa n’aya mabwiriza Aya mabwiriza akurikizwa n’ibigo bikorera ku isoko ry’imari n’imigabane bifite ibyemezo, aho urwego REGULATION N°22 OF 05/07/2016 GOVERNING LICENSEES’ FINANCIAL REPORTING The Capital Market Authority; Pursuant to Law no 01/2011 of 10/02/2011 regulating the capital market, especially in Article 74; Pursuant to Law n° 11/2011 of 18/05/2011 establishing the Capital Market Authority (CMA) and determining its mission, powers, organization and functioning, especially in Articles 3 and 4; Pursuant to Law n° 40/2011 of 20/09/2011 regulating the Collective Investment Schemes in Rwanda , especially in Article 64; ISSUES THE FOLLOWING REGULATION: Article One: Purpose of this Regulation This regulation issues guidelines relating to the procedure by which licensed entities submit respective reports to the Capital Market Authority. Vu la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda, spécialement en son article 74; Vu la Loi n° 11/2011 du 18/05/2011 portant création de l’Office des Marchés de Capitaux (CMA) et déterminant sa mission, ses pouvoirs, son organisation et son fonctionnement, spécialement en ses articles 3 et 4; Vu la Loi n°40/2011 du 20/09/2011 portant régulation des Fonds d’Investissements Collectifs, spécialement en son Article 64 ; EMET LE REGLEMENT SUIVANT: Article premier: Objet du présent règlement Le présent règlement émet les directives relatives à la procédure par laquelle les entités agréées présentent les rapports respectifs à l’Office des Marchés de Capitaux. Article 2: Champ d’application Le présent règlement s’applique à toutes les entités agréées, actrices du marché de capitaux

Ikigo cyose gifite icyemezo kigomba gutanga raporo y’imari y’igihembwe itarakorerwa ubugenzuzi kandi iyo raporo igaherekezwa n’ibi bikurikira: 1 º raporo y’amakuru y’ubucuruzi; 2 º raporo yo kubahiriza amategeko; 3 º raporo y’ibirego; 4 º andi makuru yose yakenerwa n’Ikigo. Ingingo ya 4: Kureka kimwe cyangwa byose mu bisabwa mu itangwa rya raporo Ikigo gishinzwe Isoko ry’Imari n’Imigabane (CMA) gishobora, igihe bibaye ngombwa, kuvanaho kimwe cyangwa ibisabwa byose muri raporo z’ikigo gifite authority is empowered to regulate them in accordance with the law regulating the capital market. Article 3: Submission of financial statement Every licensed entity must submit a report to the Capital Market Authority in the format provided for in the annex of this Regulation. An annual audited financial statement is submitted within ninety (90) days at the end of the financial year which starts on 1st January and ends on 31st December. Every licensed entity must submit unaudited quarterly financial statement and it must be accompanied by the following: 1 º business data report; 2 º compliance report; 3 º complaints report; 4 º any other information as may be required by the Authority. Article 4: Waiver of one or all requirements in reporting The Capital Market Authority (CMA) may, if considered necessary, waive one or all requirements que l’autorité compétente est habilitée à réglementer conformément à la loi portant régulation des marchés des capitaux. Article 3: Présentation des états financiers Chaque entité agréée doit soumettre un rapport à l’Office des Marchés de Capitaux dans le format prévu en annexe du présent règlement. Un état financier annuel audité est soumis dans les quatre-vingt-dix (90) jours après la fin de l’année financière qui commence le 1er janvier et se termine le 31er décembre. Chaque entité agréée doit soumettre un état financier trimestriel non audité et qui doit être accompagné par ce qui suit: 1 º le rapport des données de l’entreprise; 2 º le rapport de conformité; 3 º le rapport de plaintes; 4 º toutes les autres informations telles que demandées par l’Office. Article 4: Renonciation à un ou tous les éléments exigés lors de la présentation du rapport L’Office des Marchés de Capitaux (CMA) peut, en cas de besoin, renoncer à une ou toutes les exigences sur la présentation du rapport d’une

Article 6: Commencement This Regulation comes into force on the date of its publication in the Official Gazette of the Republic of Rwanda.
