RULEBOOK ON THE CONTENT AND METHOD OF KEEPING THE REGISTER OF PENSION INSURANCE COMPANIES

Introductory Provisions Article 1. (1) This Rulebook regulates the content and method of keeping the register of pension insurance companies (hereinafter: register) to which the Croatian Financial Services Agency (hereinafter: Agency) has issued a license for operation. (2) The register referred to in paragraph 1 of this Article is kept electronically and in accordance with the provisions of this Rulebook, and is available on the Agency’s official website.

Article 2. Registration and amendment of data in the register are carried out based on received notifications from pension insurance companies (hereinafter: company) and ex officio.

Data Entered in the Register Article 3. (1) The following data regarding the company are entered into the register:

  1. company name,
  2. registered office (city, street),
  3. tax identification number (OIB),
  4. registration number in the Agency’s register (RBS),
  5. share capital,
  6. business scope (date and class of the decision by which a license for operation was issued to carry out all activities under Article 9(1) of the Act, or for a specific activity under points 1 to 5 of Article 9(1) of the Act),
  7. date and class of the decision by which a license for operation was revoked or annulled to carry out all activities under Article 9(1) of the Act, or for a specific activity under points 1 to 5 of Article 9(1) of the Act,
  8. contact details (email, website, telephone, fax),
  9. management or executive directors (full name, position and authority to represent, tax identification number, place of residence, date license was issued, date assumption of office, date termination of office, date revocation or annulment of license),
  10. authorized signatories (full name, tax identification number, place of residence, date assumption of office, date termination of office),
  11. supervisory board or management board (full name, position, tax identification number, place of residence, date assumption of office, date termination of office),
  12. company shareholders (company name or full name, tax identification number, registered office or place of residence, ownership share in percent),
  13. member states in which the company is registered to carry out activities under Article 9(1) point 3 of the Act. (2) The data referred to in paragraph 1, points 1, 2, 3, 4, 6 and 8 of this Article are publicly published in accordance with Article 1(2) of this Rulebook.

Submission of Data Article 4. (1) The company is obliged to submit documentation from Articles 3 and 5 of this Rulebook to the Agency in the manner prescribed by the Technical Instruction for Using the Web Form Entry Service and Submitting Documentation Electronically, and by the Instructions for Filling Out Web Forms for Insurance Companies or Reinsurance Companies and the Croatian Insurance Office. (2) The company is deemed to have submitted documentation from Articles 3 and 5 of this Rulebook at the moment the documentation is recorded on the server for sending such documentation. (3) In justified cases of technical inability to submit or improperly executed submission (e.g., system failure, inability to read received documentation, etc.) in the manner prescribed by paragraph 1 of this Article, the company is obliged to submit documentation in written form, directly or by post, for timely reporting. The company must submit documentation in the manner prescribed by paragraph 1 of this Article as soon as the reasons for such submission cease, and no later than within 8 days from the cessation of circumstances causing the technical inability. (4) In addition to the documentation prescribed by Articles 3 and 5 of this Rulebook, the company is obliged to submit upon request from the Agency other documentation or data for supervision purposes or for carrying out other activities within the Agency’s competence and scope regarding the company’s operations, in the manner prescribed by provisions of this Article and within the timeframe specified in the request. (5) The Agency may, if necessary, request that the company submit certain documentation prescribed by this Rulebook in original or certified copy, regardless of electronic submission.

Change of Data Article 5. (1) Data entered in the register under Article 1 of this Rulebook must be accurate and complete. If changes occur to data from Article 3 of this Rulebook, which the Agency does not enter ex officio, the company is obliged to notify the Agency without delay. Along with such notification, the company must submit documentation proving the stated change. (2) The company is obliged to promptly notify the Agency of any identified inaccurate data published in the register and submit accurate data for entry into the register along with documentation proving the stated change.

Data Entered by the Agency Ex Officio Article 6. (1) The Agency enters the date of the decision on issuance/revocation/annulment of the company’s license for operation into the register ex officio. (2) The Agency ceases public publication of data for a company whose license for operation has been revoked or annulled.

First Publication of the Register Article 7. Within 30 days from the date of entry into force of this Rulebook, the company is obliged to submit data from Article 3 of this Rulebook to the Agency in the manner prescribed by Article 4 of this Rulebook.

Final Provisions Article 8. This Rulebook enters into force on the eighth day from the date of publication in the Official Gazette (Narodne novine).

RULEBOOK AMENDING AND SUPPLEMENTING THE RULEBOOK ON THE CONTENT AND METHOD OF KEEPING THE REGISTER OF PENSION INSURANCE COMPANIES (Official Gazette No. 91/16)

Article 2. This Rulebook shall be published in the Official Gazette and enters into force on 2 November 2016.
