Instructions for Filling Out Web Forms for Leasing Companies

The Croatian Financial Services Supervisory Agency (Hanfa) issues these instructions to guide leasing companies on completing mandatory web forms for reporting corporate changes and submitting electronic documentation. The document details specific data entry requirements for updates regarding company details, legal entities, and natural persons such as board members and auditors. It further specifies the procedures for submitting non-standardized documents via PDF files and outlines the rules for electronic signature application.

INSTRUCTIONS FOR FILLING OUT WEB FORMS FOR LEASING COMPANIES

1. Introduction

These Instructions primarily contain a description of the content required to fill out the web forms for leasing companies listed below. The web forms are publicly available on the website reports.hanfa.hr. The Instructions also describe the method of submitting documentation that is not submitted via standardized web forms, as well as the method of signing such submissions.

Technical details regarding the preparation and processing of web forms and their submission to the computer system of the Croatian Financial Services Supervisory Agency (hereinafter: Hanfa) are prescribed in the Technical Instruction for Registration and Use of the Data Submission System Interface in Electronic Form.

2. Forms for Leasing Companies

Leasing companies submit documentation to Hanfa in the manner prescribed by these Instructions, in accordance with the obligations of leasing companies arising from the Leasing Law and subordinate regulations (e.g., regular reports and reports requested by Hanfa, etc.).

The web forms for leasing companies are:

  1. Notices of Registration and Change of General Data of Supervised Entities By selecting this type of form, the leasing company submits information regarding:

    • Change of company name
    • Registration/Change of registered office/business address
    • Change of contact details
    • Change of legal form
    • Change of business activity
    • Registration/Change of share capital
    • Company liquidation
  2. Notices of Registration and Change of Relevant Business Entities (Legal Persons) By selecting this type of form, the leasing company submits information regarding:

    • Registration of founders and registration/Change of company members
    • Registration and Change of shares in other legal persons
    • Registration/Change of internal auditor
    • Registration/Change of external auditor
  3. Notices of Registration and Change of Relevant Business Entities (Natural Persons) By selecting this type of form, the leasing company submits information regarding:

    • Registration/Change of Management Board members
    • Registration/Change of Supervisory Board members
    • Registration of founders and registration/Change of company members
    • Registration/Change of authorized signatories (prokurists)
    • Registration/Change of internal auditor
    • Registration and Change of liquidators

For each type of web form, the following fields must be filled out as shown in the table and image.

2.1. Notices of Registration and Change of General Data of Supervised Entities

2.1.1. Change of Company Name

This form applies to cases where the company changes its name, including cases where it adds the designation "in liquidation," and in addition to the new name, the date of the decision on the relevant change must be entered.

This form applies to the change of the company's registered office and business address, and new data must be entered according to the form.

2.1.3. Change of Contact Details

The company may submit information regarding the change of general contact details of the company via this form, although this submission is not prescribed by subordinate acts.

2.1.4. Change of Legal Form

This field refers to the status change of the company's legal form, and in the second field, the date of entry in the court register of the competent court must be entered.

2.1.5. Change of Business Activity

This form applies to the change of the company's business activity, for which prior approval from Hanfa must be obtained; therefore, the date of entry in the court register is entered as the date of change.

2.1.6. Registration/Change of Share Capital

This form applies to changes in the amount of share capital, whether an increase or decrease, and therefore the new amount of share capital is entered, and the date of entry of the increase or decrease of this capital in the court register is entered.

2.1.7. Company Liquidation

Through this form, the registration of the opening of the liquidation procedure is performed, and only the date is entered.

2.2. Notices of Registration and Change of Relevant Business Entities (Legal Persons)

2.2.1. Registration of Founders and Registration/Change of Company Members

This form applies to membership in the company, specifically to members who are legal persons, and founders are entered upon the establishment of the company, and members are entered when all other persons are registered as either shareholders or holders of business shares. Data about the member is entered, and it is selected whether the level of participation is to be considered a qualified share or not, as well as the date of the legal transaction of acquisition or disposal of the share/shares.

In this form, data about the internal auditor who is a legal person is entered, and under the start date, the date of appointment is entered, and under the end date, the date of expiration or other manner of termination of the function.

2.3. Notices of Registration and Change of Relevant Business Entities (Natural Persons)

2.3.1. Registration/Change of Management Board Members

In this form, the person of the Management Board member and their personal data are entered according to the offered fields and dropdown menus. Under the date of appointment, the date of the start of the mandate is entered upon new registration, together with the anticipated date of expiration of the mandate. When registering the early termination of the mandate of an existing Management Board member, only the date of termination of the mandate is entered.

In this form, the person of the Supervisory Board member and their personal data are entered according to the offered fields and dropdown menus. Under the date of appointment, the date of the start of the mandate is entered upon new registration, together with the anticipated date of expiration of the mandate. When registering the early termination of the mandate of an existing Supervisory Board member, only the date of termination of the mandate is entered.

In this form, data about the appointed liquidator of the company is entered, and under the date of appointment, the date of the decision on appointment is entered, and under the date of termination, the date of the decision on termination of the function.

3. Submission of Documentation Not Covered by Standardized WEB Form Format – Other Electronic Documents

In addition to documentation standardized through the web form format, leasing companies may submit documentation to Hanfa in the form of a PDF file.

It is submitted through the form type "Leasing companies - submission of electronic documents." In that case, a minimum of one and a maximum of twenty files can be sent.

For each file, the field "Document Name" must be filled out, into which the name is entered from which it is visible what the leasing company is submitting to Hanfa, or what procedure is involved.

The submission of documentation via PDF file applies to documentation submitted by leasing companies to Hanfa exclusively and in cases where the method of submission in written form is not explicitly prescribed.

The submission of documentation in the form of a PDF file applies to the following documentation/reports/notices:

  • For which an electronic method of submission is prescribed,
  • For which no method of submission is prescribed,
  • Which leasing companies submit to Hanfa in individual administrative proceedings initiated upon request,
  • Which is submitted in individual supervision proceedings, requested opinions, etc.,
  • Other documentation/notices/reports submitted to Hanfa.

Examples of documentation submitted in the form of a PDF file:

  • Annual report on the work of the risk management function based on the Rulebook on Organizational Requirements for Leasing Companies,
  • Annual report on the work of the internal audit function based on the Rulebook on Organizational Requirements for Leasing Companies,
  • Audited annual financial statements based on the Rulebook on Audit of Reports of Leasing Companies,
  • Audited reports for the needs of the Agency based on the Rulebook on Audit of Reports of Leasing Companies,
  • Notice on the selected audit firm and the total income of the audit firm in the previous year based on the Rulebook on Audit of Reports of Leasing Companies,
  • Request for issuance of an opinion on the implementation of laws within the competence of Hanfa,
  • Report on the elimination of illegality and irregularities of the leasing company,
  • Requests initiating administrative proceedings within the competence of Hanfa - administrative proceedings for issuing approvals/consents (e.g., for acquisition of a qualified share),
  • Objection against the minutes of the conducted supervision,
  • Documentation submitted by leasing companies during the supervision of business operations,
  • ...other documentation sent regularly or upon request of Hanfa.

4. Signing

The signing of files is performed in accordance with the valid Technical Instruction for the Application of Electronic Signature in the Reporting Procedure of the Croatian Financial Services Supervisory Agency, published on Hanfa's website. The documentation is signed by at least one member of the Management Board of the leasing company, i.e., in the manner and in accordance with the powers of representation established by the founding act.
