D5/2025 - Directive replacing D1 of 2025 on returns to be submitted to the PA

The Prudential Authority has issued Directive D5/2025 to require banks, controlling companies, and foreign branches to submit specified financial, risk-based, and operational returns. This directive consolidates all Banks Act returns by replacing Directive 4 of 2024 and Directive 1 of 2025, effectively removing them from the underlying Regulations to support the Umoja System Implementation Project. Effective from 1 July 2025, regulated institutions must complete designated forms and return signed acknowledgements to ensure compliance with the updated reporting framework.

In future, all BA returns and related instructions for the completion of the BA returns will be issued as an integral part of the Directives issued in terms of the Banks Act, 1990 (Act No. 94 of 1990) (Banks Act) or determinations issued under prudential standards. Accordingly, this Directive directs banks, controlling companies and branches of foreign institutions (hereinafter collectively referred to as ‘banks’) to complete and submit specified financial, risk-based and other related returns to the PA in accordance with the requirements specified in this Directive. This Directive replaces Directive 4 of 2024 and Directive 1 of 2025, with effect from 1 July 2025.

  1. Introduction 1.1 Sections 105 and 108 of the Financial Sector Regulation Act, 2017 (Act No. 9 of

(FSRA), read with the Banks Act, make provision for the PA to make prudential standards and determinations for financial institutions in respect of various matters, including matters in respect of which regulations may be prescribed in terms of the Banks Act. 1.2 Towards the end of 2023, as an integral part of the Umoja System Implementation Project,1 the Umoja team commenced engagements with various key persons in respect of regulatory return developments and the submission of future returns to the PA. 1 The Umoja System is a digital interface between the PA and regulated institutions aimed at providing a more integrated, efficient and transparent operating model.

2 1.3 On 11 September 2024, the PA issued Directive 4 of 2024,2 informing all interested persons that, to facilitate and support the ongoing work related to the Umoja System Implementation Project, the PA had decided to: 1.3.1 recommend to the Minister of Finance and National Treasury that all BA returns and related instructions for the completion of the BA returns be deleted from the Regulations; and 1.3.2 issue all BA returns and related instructions for the completion of the BA returns as an integral part of the directives issued in terms of the Banks Act and/or determinations issued under prudential standards in terms of the FSRA. 1.4 On 31 January 2025, the Minister of Finance amended the Regulations by deleting from the Regulations all BA returns and related instructions for the completion of the BA returns, with effect from 1 February 2025. 1.5 Simultaneously, on 31 January 2025, the PA issued Directive 1 of 2025,3 directing banks to complete and submit specified financial, risk-based and other related returns to the PA in accordance with the requirements specified in Directive 1 of 2025, with effect from 1 February 2025. 2. Directive 2.1 Based on the aforesaid, and in accordance with the provisions of section 6(6) of the Banks Act, banks are hereby directed as follows: 2.1.1 Submit to the PA the respective financial, risk-based and other returns specified in Annexure 1A of this Directive, in accordance with the respective requirements specified in Annexure 1A, read with the relevant requirements specified in the Regulations. 2.1.2 As specified in regulation 4 of the Regulations, read with the relevant requirements specified in Annexure 1A of this Directive, every set of returns submitted to the PA shall be accompanied by a duly completed, signed and certified: 2.1.2.1 form BA 099, attached to this Directive as Annexure 1B, in the case of returns submitted to the PA by a bank or controlling company; and 2.1.2.2 form BA 099A, attached to this Directive as Annexure 1C, in the case of a return submitted to the PA in respect of any relevant foreign operation. 2.1.3 Complete form BA 100, attached to this Directive as Annexure 2A, in accordance with the requirements specified in Annexure 2B of this Directive, read with the relevant requirements specified in the Regulations. 2.1.4 Complete form BA 110, attached to this Directive as Annexure 3A, in accordance with the requirements specified in Annexure 3B of this Directive, read with the relevant requirements specified in the Regulations. 2 Available online at Directive 4 of 2024. 3 Available online at Directive 1 of 2025.

Implementation date 3.1 This Directive replaces Directive 4 of 2024 and Directive 1 of 2025, with effect from 1 July 2025.

5 3.2 Banks must comply with the respective requirements specified in: 3.2.1 paragraph 2.1.1 to paragraph 2.1.23 of this Directive, with effect from 1 February 2025 up to and including 30 June 2025; and 3.2.2 paragraph 2.1.24 to paragraph 2.1.28 of this Directive, with effect from 1 February 2025. 4. Acknowledgement of receipt 4.1 Kindly ensure that a copy of this Directive is made available to your institution’s external auditors. The attached acknowledgement of receipt duly completed and signed by both the chief executive officer of the institution and the said auditors should be returned to the PA at the earliest convenience of the aforementioned signatories.
