Ingingo ya 2: Isobanura Muri ya mabwiriza – (a) «Urwego » bivuga urwego rwa Leta rufite isoko ry’imari n’imigabane mu nshingano; of Directors of the Capital Market Authority of Rwanda, in its meeting of 03/06/2025; ISSUES THE FOLLOWING REGULATIONS: CHAPTER ONE: GENERAL PROVISIONS Article One: Purpose of these Regulations These Regulations determine – (a) licensing requirements for an operator of the Central Securities Depository, hereinafter referred to as “CSD”; and (b) authorisation requirements of CSD participants in order to protect securities holders. Article 2: Interpretation In these Regulations – (a) “Authority” means the State organ in charge of the capital market; d’Administration de l’Autorité des Marchés de Capitaux du Rwanda, en sa séance du 03/06/2025 ; ÉDICTE LE RÈGLEMENT SUIVANT : CHAPITRE PREMIER : DISPOSITIONS GÉNÉRALES Article premier : Objet du présent règlement Le présent règlement détermine – (a) les exigences pour l’agrément d’un opérateur du Dépositaire Central des Titres, ci-après dénommé « CSD » ; et (b) les exigences pour l’autorisation des participants au CSD afin de protéger les détenteurs de titres. Article 2 : Interprétation Dans le présent règlement – (a) « Autorité » signifie l’organe de l’État ayant le marché des capitaux dans ses attributions ;

Official Gazette n° Special of 16/01/2026 8 (b) « uburenganzira » bivuga uburenganzira bwo gukora nk’ufite uruhare muri CSD rutangwa n’Urwego; (c) « umuhuza ku isoko ry’imari n’imigabane » bivuga umuntu ukora ibikorwa byo kugura inyandiko z’agaciro, kuzigurisha, kuzicuruza, kuzishingira, cyangwa kuzidandaza, yaba akora ibindi bikorwa cyangwa atabikora; (d) « Banki nkuru » bivuga Banki Nkuru y’u Rwanda; (e) « ucunga CSD » bivuga Banki Nkuru y’u Rwanda cyangwa ikigo cy’ubucuruzi cyahawe uruhushya n’Urwego hakurikijwe aya mabwiriza kugira ngo gikorere mu Rwanda ibikorwa byose bya CSD cyangwa bimwe muri byo; (f) « ufite uruhare muri CSD » bivuga urwego, umuntu cyangwa ikigo byahawe n’Urwego uburenganzira bwo gufungura no kugira konti z’inyandiko z’agaciro ku bacunga CSD; (b) “authorisation” means the authorisation to carry out CSD participant activities which is granted by the Authority; (c) “capital market intermediary” means a person who carries on the business of buying, selling, dealing, trading, underwriting or retailing of securities whether or not they carry on any other business; (d) “Central Bank” means the National Bank of Rwanda; (e) “CSD operator” means the National Bank of Rwanda or any company licensed by the Authority under these Regulations to conduct some or all of the CSD activities in Rwanda; (f) “CSD participant” means an institution, person, entity authorized by the Authority to open and hold securities accounts with the CSD operator; (b) « autorisation » signifie l’autorisation d’exercer des activités de participant au CSD octroyée par l’Autorité ; (c) « intermédiaire du marché de capitaux » signifie une personne qui exerce l’activité d’achat, de vente, de négociation, de négoce, de souscription ou de vente au détail de titres, qu’elle exerce ou non une autre activité ; (d) « Banque centrale » signifie la Banque Nationale du Rwanda ; (e) « opérateur du CSD » signifie la Banque Nationale du Rwanda ou une autre société ayant une licence octroyée par l’Autorité en vertu du présent règlement pour mener une partie ou la totalité des activités du CSD au Rwanda ; (f) « participant au CSD » signifie une institution, une personne ou une entité autorisée par l’Autorité à ouvrir et à détenir des comptes de titres auprès de l’opérateur du CSD ;

UMUTWE WA II: GUHA URUHUSHYA UCUNGA CSD Ingingo ya 3: Inshingano yo gusaba uruhushya Uretse Banki Nkuru, undi muntu yemererwa gukora cyangwa kuvuga ko akora ibikorwa by’ucunga CSD abiherewe uruhushya n’Urwego. Ingingo ya 4: Gusaba uruhushya (1) Isosiyete ishaka kuba ucunga CSD (g) “licence” means a licence granted by the Authority and which allows to carry on business as a CSD operator; (h) “person” means a natural person or legal entity; (i) “senior managers” means the Chief Executive Officer; senior executives who report to the Board of Directors or to Board committees or senior executives who report to the Chief Executive Officer. CHAPTER II: LICENSING OF CSD OPERATOR Article 3: Obligation to apply for a licence With exception of the Central Bank, another person is allowed to carry on or purport to carry on business as a CSD operator, only if they have obtained a licence from the Authority. Article 4: Application for a licence (1) A company that intends to operate a (g) « licence » signifie une licence accordée par l’Autorité et qui permet d’exercer une activité en tant qu’opérateur du CSD ; (h) « personne » signifie une personne physique ou morale ; (i) « cadres supérieurs » signifie le Directeur Général, les cadres supérieurs qui relèvent du Conseil d’Administration ou des comités du Conseil d’Administration et les cadres supérieurs relevant du Directeur Général. CHAPITRE II : AGRÉMENT D’UN OPÉRATEUR DU CSD Article 3 : Obligation de demander une licence À l’exception de la Banque centrale, une autre personne est autorisée ou prétend d’exercer les activités en tant qu’opérateur du CSD lorsqu’elle en a obtenu la licence de l’Autorité. Article 4 : Demande de licence (1) Une société qui a l’intention d’exercer

(2) An application for a licence is accompanied by the following: (a) application letter addressed to the Chief Executive Officer of the Authority; (b) certified copies of relevant incorporation documents; (c) a shareholding structure showing all corporate and individual shareholders including beneficial owners; (d) a personal declaration form for each proposed director and senior manager as per the template in Annex 2; des activités en tant qu’opérateur du CSD demande une licence à l’Autorité en complétant le formulaire joint en annexe 1. Article 7: Review of licence application (1) Upon receipt of an application form with the supporting documents, the Authority, within five working days, sends to the applicant a letter of receipt specifying that the file submitted for the licence application is complete or not. (2) If the licence application supporting documents submitted to the Authority are complete, the assessment and evaluation of the file begin. Article 8: Notification of the decision on the licence application (1) Within a period of 30 days after receipt of a complete application, the Authority prepares a detailed assessment report in respect of the application and communicates the decision to the applicant. (2) If the period provided in Paragraph (1) expires without notification of the decision to the applicant, the Authority notifies them the reasons for delay within ten working days from the date of expiration of the period provided in Paragraph (1). Article 9: Opportunity to be heard granted to the applicant If the requirements for granting the licence are not met, the Authority grants the applicant an opportunity to be heard before rejecting their application. If after hearing the applicant, the Authority finds that a licence should not be granted, the Authority notifies the applicant in writing of its decision within ten working days from the date of the applicant hearing, and explains the reason for the refusal. Article 10: Appeal against the decision on licence application If the applicant is not satisfied with the decision taken by the Authority, they may appeal to the Capital Market Independent Review Panel within 14 days from the date of the notification of the decision. Article 11: Licence fee and its validity (1) If the Authority grants the licence to the applicant, they pay a licence fee of FRW 1,000,000 within seven days after the licence is granted. Article 9 : Possibilité d’être entendu accordée au demandeur Lorsque les exigences pour l’octroi de la licence ne sont pas remplies, l’Autorité donne au demandeur la possibilité d’être entendu avant de rejeter sa demande. Lorsqu’après avoir entendu le demandeur, l’Autorité estime que la licence ne doit pas être accordée, elle en informe le demandeur par écrit de sa décision endéans dix jours ouvrables comptés à partir du jour où le demandeur est entendu, et explique la raison du refus. Article 10 : Appel contre la décision sur la demande de licence Lorsque le demandeur n’est pas satisfait de la décision prise par l’Autorité, il peut faire appel de la décision auprès du Comité d’examen indépendant du marché des capitaux dans les 14 jours comptés à partir la date de notification de la décision. Article 11 : Frais de licence et sa validité (1) Lorsque l‘Autorité accorde la licence au demandeur, il paie des frais de licence équivalant à 1.000.000 FRW dans un délai de sept jours après l’agrément.

(2) A licence granted remains valid unless suspended or revoked. Article 12: Annual supervision fee A CSD operator pays an annual supervision fee equivalent to 1% of gross annual revenue. Article 13: Suspension, change or revocation of a licence (1) The Authority may suspend, change or revoke a licence if the CSD operator breaches these Regulations, laws or requirements of the licence. (2) The Authority suspends, changes or revokes a licence through the process provided in the laws regulating capital markets in Rwanda. (2) La licence octroyée reste valable sauf si elle est suspendue ou révoquée. Article 12 : Frais de supervision annuelle L’opérateur du CSD paie les frais de supervision annuelle équivalant à 1% du chiffre d’affaires annuel brut. Article 13 : Suspension, modification ou révocation de la licence (1) L’Autorité peut suspendre, modifier ou révoquer la licence lorsque l’opérateur du CSD enfreint le présent règlement, les lois, ou les exigences de la licence. (2) L’Autorité suspend, modifie ou révoque la licence par le biais du processus prévu dans les lois régissant les marchés des capitaux au Rwanda.

Ingingo ya 16: Ibisabwa mbere yo guhagarika kuba ucunga CSD Iyo ucunga CSD ashaka guhagarika gukorera mu Rwanda abanza – (a) gusaba Urwego gutesha agaciro uruhushya rwe; (b) kumenyesha abafite uruhare muri Article 14: Right to appeal for a CSD operator The CSD operator has the right to be heard and to appeal against an action taken by the Authority to suspend, change or revoke the licence in accordance with the law regulating capital markets in Rwanda. Article 15: Obligation to clear liabilities If the Authority suspends or revokes a licence, a CSD operator is responsible for clearing all outstanding obligations up to the date of the revocation or suspension of the licence. Article 16: Prerequisites for ceasing to be a CSD operator A CSD operator that intends to cease operating in Rwanda must prior to ceasing operations – (a) to apply to the Authority to revoke its licence; (b) to give notice to CSD participants and Article 14 : Droit de recours d’un opérateur du CSD L’opérateur du CSD a le droit d’être entendu et de faire recours contre une mesure prise par l’Autorité de suspendre, modifier ou révoquer la licence conformément à la loi régissant les marchés des capitaux au Rwanda. Article 17: Prerequisites for changing the business, CSD rules or systems (1) A CSD operator cannot change the business, CSD rules or systems without– (a) making an application and obtaining approval for the change from the Authority; or (b) approval of the Central Bank where a change requires arrangements by the CSD operator involving the Banque centrale de son intention de cesser ses activités ainsi que le public et inviter les objections à être examinées par l’Autorité avant qu’elle n’accepte la révocation de la licence ; et (c) se conformer à toutes les conditions imposées par l’Autorité préalables à l’acceptation de la révocation, y compris le dépôt de la garantie pour toute réclamation et la conservation des données et des documents. (2) A licenced CSD operator cannot change shareholders; appoint new board members or appoint a new senior manager without the approval of the Authority. CHAPTER III: AUTHORISATION FOR CARRYING OUT CSD PARTICIPANT ACTIVITIES Article 18: Authorisation of CSD participants (1) A company authorized by the Authority to carry out CSD participant activities acts as a CSD participant in accordance with the Law governing central securities depository, qualified financial contracts and netting agreements. (2) A company incorporated in Rwanda intending to carry out the activity of holding book-entry securities on behalf of third parties in Rwanda is required, before starting operations, to have l’opérateur du CSD impliquant le système de paiement. (2) Une société constituée au Rwanda qui envisage d’exercer l’activité de détention de titres inscrits en compte pour le compte de tiers au Rwanda est tenue, avant de commencer ses

Ingingo ya 19: Ibisabwa byerekeye imiterere y’ufite uruhare muri CSD (1) Uburenganzira bushobora gutangwa ari uko urwego rusaba ubwo burenganzira ari – (a) ikigo cy’imari gisanzwe gifite uruhushya cyahawe na Banki Nkuru; (b) ikigo cy’imari gisanzwe gifite uruhushya cyahawe n’Urwego, authorisation from the Authority, irrespective of any other place where it may carry out its activities. (3) A request for authorisation is accompanied by a program of operations complying with the conditions laid down by the Authority and setting out inter alia the type and the volume of the business proposed, the structure of the institution’s organisation, and any close links it has with other persons. (4) The Authority determines conditions with which the applicant complies in carrying out proposed activities. Article 19: Requirements relating to the status of CSD participant (1) An authorisation may be granted if the institution making the request is – (a) a financial institution licenced by the Central Bank; (b) a financial institution licenced by the Authority, a capital market activités, d’avoir l’autorisation de l’Autorité, quel que soit l’autre lieu où elle peut exercer ses activités. Ingingo ya 20: Ibisabwa byerekeranye n’abakozi (1) Ufite uruhare muri CSD ategura inyandiko igaragaza imyanya y’imirimo ikenewe. Iyo nyandiko igaragaza ubumenyi n’amashuri abajya muri iyo myanya no muri iyo intermediary, custodian of stock exchange, clearing house or any other exchange licenced or approved by the Authority; or (c) is an issuer of securities. (2) A CSD participant has the assets and resources which are necessary to carry out the activity of holding book-entry securities on behalf of third parties. (3) A CSD participant fulfils requirements relating to human resources, information systems, accounting, customer protection and the compliance and internal control system. Article 20: Requirements relating to human resources (1) A CSD participant draws up a description of job positions needed. This description outlines the skills and qualifications needed to occupy those positions and functions. La description décrit les compétences et les qualifications requises pour ceux qui occupent ces postes et fonctions.

The accounting organisation meets the following: (a) securities accounts are kept according to the rules of double-entry bookkeeping, in accordance with the debit and credit principle; (b) to indicate balance between credit and debit; (c) to indicate daily accounting of transactions; (d) simultaneous recording of the transaction in securities and related financial transactions. Article 23: Requirements for authorisation An institution that wishes to carry out the activities of CSD participant submits the following to the Authority for the obtainment Article 22 : Exigences en matière de procédures comptables Le participant au CSD décrit son organisation comptable dans un document approprié. Article 29: CSD rules The CSD operator sets rules with additional requirements that CSD participants must fulfill to gain access to the CSD. Article 30: List of CSD participants The CSD operator publishes on their website a list of CSD participants who have been granted an authorization. The CSD operator immediately updates that list if there are any changes, including the granting of access to new participants, suspension, revocation of access or any other condition imposed to a participant and the Authority is notified within three days.
