REGULATION N°15 FOR ISSUANCE OF CAPITAL MARKET DEBT SECURITIES Pursuant to the Law No 11/2011 of 18/05/2011 establishing the Capital Market Authority, especially in its articles 3 & 4; Pursuant to the law No 01/2011 of 10/02/2011 regulating the Capital market, especially in its article 74, Pursuant to the law No 40/2011 of 20/09/2011 regulating the Collective Investment Schemes especially in its article 64, The Capital Market Authority hereinafter referred to as the “AUTHORITY”, decrees: CHAPTER ONE: GENERAL PROVISIONS Article 1: Purpose The purpose of these Regulations is to regulate the public offer of Capital Market Debt Securities in Rwanda. RÈGLEMENT N°15 RÉGISSANT L’ÉMISSION DES TITRES DE CRÉANCE SUR LE MARCHÉ DES CAPITAUX Vu la Loi n° 11/2011 du 18/05/2011 portant création de l’Autorité des marchés des capitaux, spécialement en ses articles 3 et 4 ; Vu la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda, spécialement en son article 74 ; Vu la Loi n° 40/2011 du 20/09/2011 portant régulation des Fonds d’investissements collectifs au Rwanda, spécialement en son article 64, L’Autorité des marchés des capitaux, ci-après dénommée “ l’AUTORITÉ”, adopte les règlements suivants: CHAPITRE PREMIER: DISPOSITIONS GÉNÉRALES Article premier: Objet des présents Règlements L’objet des présents règlements est de réglementer l’offre au public des titres de créance sur le marché des capitaux au Rwanda.

This includes the Government Treasury Bonds, the Municipal Bonds, The Corporate Bonds, the Infrastructure bonds and other related securities approved by the Authority. “Issuer” in relation to these regulations, means the person by whom Debt securities have been issued or are to be issued and shall include a company, the Government of Rwanda or other legal entity that offers debt securities to the public or a section thereof in Rwanda, where it is intended that such securities shall be listed on an approved securities exchange in Rwanda or elsewhere; “listing” means admission of a debt securities to the official list of a securities exchange; and the terms “list” and “listed” shall be construed accordingly; Article 2: Définition des termes «Autorité» désigne l’Autorité des marchés des capitaux; «Loi» désigne la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda ; «Titre de créance» désigne une garantie contractuelle ou écrite visant à assurer le remboursement d’une dette. Il peut s’agir notamment des bons du Trésor du gouvernement, des obligations émises par les entités administratives, des obligations de sociétés, des obligations de financement de projets d’infrastructure et autres titres connexes approuvés par l’Autorité. «Émetteur» désigne, aux fins des présents Règlements, une personne ayant émis ou envisageant d’émettre des titres de créance et qui peut être notamment une société, le Gouvernement du Rwanda ou autre personne morale qui offre des titres de créance au public ou à une partie de celui￾ci au Rwanda lorsqu’il est prévu de coter ces titres sur une bourse des titres agréée au Rwanda ou ailleurs; «Cotation» désigne l’admission d’un des titre de créance à la cote officielle d’une bourse de titres, et les termes «cote» et «coté» sont à interpréter de manière correspondante;

Ingingo ya 3: Ibirebwa n’aya Mabwiriza Aya Mabwiriza areba uburyo bwose bwo guhamagarira rubanda kugura inyandiko nyemezamwenda mu Rwanda igihe ushyira ku isoko izo nyandiko ateganya gusaba ko izo “Prospectus” means a notice, circular, advertisement or request issued in paper, electronic or other form inviting applications or offers from the public to subscribe for or purchase, or offering to the public for subscription or purchase, of a debt security. “A recognized stock exchange” means a stock exchange approved under Capital Market laws. ‘’Offer” The sale of debt securities by any legal entity provided for in this regulation to the public in order to raise funds for business expansion and investment. Article 3: Scope of the regulations These Regulations shall apply to all public offers of debt instruments in Rwanda where the issuer intends to seek listing on an approved securities exchange in Rwanda. «Prospectus» désigne un avis, une circulaire, une annonce ou une demande émis sur support papier, électronique ou sous une autre forme invitant le public à présenter des demandes ou proposer des offres pour faire la souscription ou l’achat d’un titre de créance ou invitant le public à souscrire ou acheter un titre de créance. «Bourse de titres agréée» désigne une bourse de titres approuvée en vertu des lois portant régulation du marché des capitaux. « Offre» désigne la vente au public des titres de créance effectuée par une personne morale quelconque prévue par les présents Règlements afin de recueillir des fonds destinés à l’expansion des activités commerciales et à l’investissement. Article 3: Champ d’application des présents Règlements Les présents Règlements s’appliquent à toutes les offres au public des titres de créance au Rwanda lorsque l’émetteur envisage d’en demander l’admission à la cote d’une bourse de titres agréée

Ingingo ya 5: Kunguka no kuba uzwiho imikorere myiza Usaba bwa mbere agomba kuba azwiho kuba yararanzwe n’imikorere myiza. Ubusanzwe ugomba kuba wararanzwe n’iyo mikorere myiza nibura mu gihe cy’imyaka itatu (3) y’imari kandi isosiyete ikaba yaragaragajeko yabonye inyungu nyazo nyuma yo gukuramo umusoro ku buryo izo nyungu zari zigenewe abanyamigabane kandi izo CHAPTER II: QUALIFICATIONS FOR ISSUANCE OF DEBT INSTRUMENTS Article 4: Incorporation The issuer must be: (1) (a) Duly incorporated or otherwise established in accordance with the laws of Rwanda or any other recognizable law; (b) Registered under the Company’s Act; (2) A government borrowing authority; (3) A public authority; (4) A person approved by the Authority. Article 5: Profitability and Track Record A new applicant must have an adequate track record. An adequate track record will normally be at least three financial years and the company must have declared positive profits after tax attributable to shareholders in at least the last two financial periods preceding the application of the issue, or as shall be determined by the Authority. au Rwanda. CHAPITRE II: CONDITIONS REQUISES POUR ÉMETTRE DES TITRES DE CRÉANCE Article 4: Constitution L’émetteur doit: (1) (a) être dûment constitué ou créé de toute autre manière conformément aux lois du Rwanda ou à toute autre loi reconnue ; (b) être enregistrée conformément à la Loi relative aux sociétés commerciales; (2) Organe du gouvernement habilité à contracter des emprunts ; (3) Un organe public; (4) Une personne agréée par l’Autorité. Article 5: Rentabilité et antécédents financiers Quiconque adresse une première demande d’autorisation doit avoir des antécédents financiers satisfaisants. Ces antécédents satisfaisants doivent généralement porter au moins sur trois exercices financiers et la société doit avoir déclaré des résultats positifs après impôt attribuables aux actionnaires au moins dans les deux derniers

The Authority will also take into account the track record of previous corporate structures of applicants that differed from the applicant's current structure for the purposes of determining adequate track record. This may include, for example, partnerships, proprietary companies, mutual and de-mutualised structures or other structures as determined by the Authority. The Authority may also accept a shorter period, than three financial years, if the public offering is fully underwritten on a firm basis by an underwriter approved by the Authority at least to the extent of the minimum amount required to be raised by the issue. In the case of a new applicant, the latest financial period for which audited accounts have been prepared must not have ended more than six (6) months before the date of the disclosure document. exercices précédant la demande de l’émission ou porter sur les exercices déterminés par l’Autorité. Dans le cas d’une personne qui adresse la demande pour la première fois, le dernier exercice pour lequel les comptes vérifiés ont été préparés ne doit pas avoir pris fin depuis plus de six (6) mois avant la date du document d’information.

Article 6: Free Transferability The debt securities for which public offer is sought must be fully negotiable and freely transferable except: (a) Any statutory restrictions on transfers; (b) Any restrictions on transfers which the Authority in its absolute discretion agrees to impose on the securities of mutual organizations. Article 7: Minimum number of debt holders There must be an open market in the instruments for which offer is sought. This means that there must at all times be at least seven (7) holders of the securities who are not a director or substantial shareholder of the issuer or a director of a substantial shareholder of the issuer or an associate of any of them. Ce qui signifie qu’il doit toujours y avoir au moins sept (7) détenteurs des titres au nombre desquels ne figure pas un administrateur ou un actionnaire majoritaire de l’émetteur ou un administrateur ou un actionnaire majoritaire de l’émetteur ou d’un associé de l’un d’eux.

Ingingo ya 9: Ibindi usaba agomba kuba yujuje Ibisabwa bivugwa mu ngingo zibanziriza iyi si byo byonyine usaba agomba kuba yubahirije bitewe n’uko Ikigo gishobora kumusaba kugira Article 8: Minimum Capital and Assets If the issuer is a company and its shares are not listed on the Stock Exchange in Rwanda market, the issuer must have minimum authorized issued and fully paid up share capital of Rwf 500 million and net assets of Rwf 1 (one) billion before the public offering of the instruments, and the nominal amount of each class of debt securities for which listing is sought must be at least Rwfs.1000, 000 or such other amount as the Authority may from time to time determine. Further issues of debt securities which are uniform in all respects with debt securities of a class already listed are not subject to these limits. The minimum size of a bond issue shall be (Rwf 500 Million). Article 9: Additional Qualifications The qualifications outlined in the previous articles are not exhaustive and an applicant must satisfy any additional requirements and supply such Article 8: Montant minimal de capital et d’actifs Si l’émetteur est une société et que ses actions ne soient pas cotées sur la Bourse des titres au Rwanda, l’émetteur doit avoir au moins un capital social autorisé, émis et entièrement libéré de 500 millions de FRW et des actifs nets d’un milliard de FRW avant que ces instruments ne soient offerts au public, et le montant nominal de chaque catégorie de titres de créance dont la cote est demandée doit être au moins 1.000.000 FRW ou être équivalent de tout autre montant que l’Autorité peut décider de temps à autre. L’émission d’autres titres de créance qui sont uniformes à tous égards aux titres de créance d’une catégorie déjà cotée n’est pas soumise à ces limites. Le montant minimum des bons émis doit être cinq cent million de francs rwandais (500 M FRW). Article 9: Conditions supplémentaires Les conditions visées aux articles précédents ne sont pas exhaustives et le requérant doit satisfaire aux conditions supplémentaires et fournir d’autres

UMUTWE WA III: UBURYO BWO GUSABA KWEMERERWA N’IBISABWA Ingingo ya 10: Uburyo bwo gusaba kwemererwa Ubusabe bwose butanzwe n’ushaka kwemererwa guhamagarira rubanda kugura inyandiko nyemezamwenda bugomba kuba bugizwe n’ibi bikurikira: (i) Ibaruwa isaba iriho umukono w’umukozi w’usaba ubifitiye ububasha n’uw’uwunganira usaba mu kumufasha kuzuza ibyangombwa bituma ashobora kubona amafaranga ku isoko ry’imari n’imigabane kandi akaba yujuje ibisabwa bivugwa muri aya Mabwiriza; (ii) Inyandiko zitandukanye zigomba guherekeza ubusabe zivugwa muri aya Mabwiriza; (iii) Inyandiko ihagamagarira rubanda kugura imigabane ifite agaciro kandi ya vuba; (iv) Inyandiko igaragazako yishyuye amafaranga avugwa mu Mabwiriza agenga amafaranga yakwa kuri serivisi zitangwa mu rwego rw’Isoko ry’Imari n’Imigabane; further documents and information that the Authority may require in any particular case. CHAPTER III: APPLICATION PROCEDURES AND REQUIREMENTS Article 10: Application procedures Each application for Public offer of debt securities shall consist of the following: (i) A formal letter of application signed by a duly authorized officer of the applicant and the sponsor and which complies with the requirements set out in this regulation; (ii) The various supporting documents specified in this regulation; (iii) A valid and up to date prospectus document; (iv) The appropriate fees as described in the capital market fees regulation; documents et informations que l’Autorité peut exiger dans un cas déterminé. CHAPITRE III: PROCÉDURES DE DEMANDE ET CONDITIONS Article 10: Procédures de demande

Chaque demande d’offre des titres de créance au public doit être constituée de ce qui suit: (i) une lettre officielle de demande signée par un représentant dûment autorisé du requérant et par le sponsor, laquelle lettre doit être satisfaire aux conditions énoncées dans les présents Règlements; (ii) les différents documents à l’appui visés aux présents Règlements; (iii)Un document de prospectus valable et à jour ; (iv) les frais appropriés prévus par les Règlements régissant les frais requis sur le marché des capitaux.

Ingingo ya 11: Inyandiko ziherekeza ubusabe Mu rwego rwo kuzuza neza ubusabe bwe, ushyira ku isoko inyandiko agomba gushyikiriza Ikigo inyandiko zikurikira:

1. kopi y’icyemezo cy’iyandikisha iriho umukono wa Noteri cyangwa indi nyandiko ifite agaciro nk’ak’icyo cyemezo cyangwa se igihe usaba yaba yarakoze iyandikisha mu kindi gihugu akaba agomba gutanga icyemezo cye cy’iyandikisha cyatanzwe hakurikijwe itegeko bireba ryo mu gihugu iyandikisha ryakorewemo;
2. kopi y’amategeko shingiro ndetse n’inyandiko zose zigaragaza ibyagiye bihindurwa muri ayo mategeko kuva habaye iyandikisha; The Authority may allow an issuer to provide an information memorandum instead of a prospectus document but only if: (i) The applicant satisfies the Authority that: a) It has not raised any capital in the previous 3 months and does not expect it will raise capital in the next 3 months; b) The spread of its securities complies with this regulation. Article 11: Supporting documents In support of its application, the issuer must lodge the following documents with the Authority:
3. A certified copy of its certificate of incorporation or equivalent document, if not incorporated in Rwanda a certified copy of its certificate of registration under the relevant Act;
4. The document in draft may be incorporated in reference to the following disclosure guidelines and format.

A brief history of the issuer from inception to the date of application. Summary of earnings A summary of turnover, earnings, on a consolidated basis if the applicant has subsidiaries, for the last three (3) financial years showing sales, earnings before charges for depreciation, interest and tax (if any), the amount of each of those charges, net income before extraordinary items, extraordinary items, net income and earnings per share. 6. Tabulation of balance sheet A tabulation of its balance sheet for each of the 4.
