Accepting Electronic Authentication of Company Incorporation Contracts for Limited Liability

The Saudi Central Bank issued a circular instructing all finance companies operating in the Kingdom to accept electronically authenticated incorporation contracts for Limited Liability Companies that bear only the Ministry of Commerce and Investment stamp and lack traditional Notary Public seals. Regulated entities must verify the validity of these contracts using the established banking sector verification service or by accessing the Ministry’s "Aamaly" portal. This directive operationalizes recent Ministry of Commerce amendments and takes immediate effect for all covered institutions.

Dear Sirs, Peace, mercy, and blessings of God be upon you, Subject: Acceptance of Electronically Authenticated Company Incorporation Contracts (Limited Liability).

With reference to the Ministry of Commerce and Investment correspondence No. 30417 dated 05/06/1439 AH regarding certain amendments to the authentication of incorporation contracts, allowing such contracts to be authenticated electronically for Limited Liability Companies with Saudi partners (adults/non-minors) or a single Saudi national or resident registered with an Iqama number.

The Bank instructs finance companies to accept electronically authenticated incorporation contracts for Limited Liability Companies that do not contain Notary Public stamps and bear only the Ministry of Commerce and Investment stamp, provided that the incorporation contract data is verified using the currently operational service utilized by banks and financial institutions operating in the Kingdom, or by visiting the "Aamaly" portal via this link www.mci.gov.sa/aamaly (an incorporation contract template is attached for reference).
