Ingingo ya 2: Ibicuruzwa n’ubucuruzi ku isoko ry’imari n’imigabane Ingingo ya 4 y’Itegeko n° 01/2011 ryo ku wa 10/02/2011 rigenga isoko ry’imari n’imigabane mu Rwanda nk’uko ryahinduwe kugeza ubu ihinduwe ku buryo bukurikira: “Muri iri tegeko, ibicuruzwa ku isoko ry’imari n’imigabane ni imitungo iyo ari yo yose n’inyungu bikomoka mu bivugwa mu mugereka wa I w’iri tegeko. Muri iri tegeko kandi, ubucuruzi ku isoko ry’imari n’imigabane ni ibikorwa byose bigaragara ku mugereka wa II w’iri tegeko. Iteka rya Minisitiri rigena ibindi bikorwa by’ubucuruzi by’inyongera bidateganyijwe muri iri tegeko.” Ingingo ya 3: Abamenye amabanga mbere y’abandi Ingingo ya 41 y’Itegeko n° 01/2011 ryo ku wa 10/02/2011 rigenga isoko ry’imari n’imigabane mu Rwanda nk’uko ryahinduwe 10º credit rating agency; 11º registrars; 12º any other person conducting capital market business. Article 2: Capital market business and instruments Article 4 of Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is modified as follows: “In this Law, Capital market business and instruments refer to any property and proceeds resulting from the provisions of Annex I of this Law. Also in this Law, Capital market business refers to all activities provided for in Annex II of this Law. An Order of the Minister specifies additional Capital market business activities that are not provided for by this Law.” Article 3: Insiders Article 41 of Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is modified as follows: 10º agence de notation de crédit; 11º les registraires; 12º toute autre personne effectuant des opérations sur le marché des capitaux. Article 2: Activités et instruments du marché des capitaux L’article 4 de la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour est modifié comme suit: «Dans la présente loi, les activités et instruments du marché des capitaux désignent tout patrimoine ou produit émanant de ce qui est prévu à l’annexe I de la présente loi. Egalement dans la présente loi, les activités du marché des capitaux désignent toutes les activités prévues par l’annexe II de la présente loi. Un Arrêté du Ministre détermine les activités supplémentaires sur le marché des capitaux qui ne sont pas prévues par la présente loi.» Article 3: Initiés L’article 41 de la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce 31

A person also has insider information if: 1 º the person knows the insider information through being a Board Member, employee or shareholder of an issuer of capital market instruments; 2 º the person has access to the inside information by virtue of his or her employment, office or profession; 3 º the person gets directly or indirectly this information from one of the persons referred to under points 1° and 2° of this Paragraph.” jour est modifié comme suit: « Article 41: Initié Une personne est réputée détenir une information privilégiée si elle: 1º sait bien que l’information privilégiée qu’elle détient peut influencer le prix sur le marché des capitaux; 2º détient cette information privilégiée dont elle connait que la source est certaine. Ingingo ya 6: Amakosa yo mu rwego rw’ubutegetsi Itegeko n°01/2011 ryo ku wa 10/02/2011 rigenga isoko ry’imari n’imigabane mu Rwanda nk’uko ryahinduwe kugeza ubu ryongewemo icyiciro cya mbere giteye ku buryo bukurikira: Article 4: Compensation scheme Article 55 of Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is modified as follows: “The Authority, by regulations, establishes a compensation scheme to compensate persons who suffer pecuniary loss from any defalcation or fraud committed by any licensed persons or employees of a stock exchange.” Article 5: Administrative faults, offences and penalties In Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is inserted Chapter XIV worded as follows: “CHAPTER XIV: ADMINISTRATIVE FAULTS, OFFENCES AND PENALTIES”. Article 6: Administrative faults In Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is inserted Section One worded as follows: Article 4: Fonds de compensation L’article 55 de la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour est modifié comme suit: “L’Autorité, par règlement, met en place un fonds de compensation pour indemniser les personnes qui subissent une perte pécuniaire provenant de tout détournement ou fraude commis par des personnes autorisées ou des employés d’une bourse.” Article 5: Fautes administratives, infractions et peines Dans la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour, il est inséré le Chapitre XIV libellé comme suit: «CHAPITRE XIV: FAUTES ADMINISTRATIVES, INFRACTIONS ET PEINES ». Article 6: Fautes administratives Dans la Loi n°01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour, il est inséré la section première libellée comme suit: 33

Ingingo ya 7: Kutubahiriza amabwiriza yatanzwe n’Ikigo Itegeko n° 01/2011 ryo ku wa 10/02/2011 rigenga isoko ry’imari n’imigabane mu Rwanda nk’uko ryahinduwe kugeza ubu ryongewemo ingingo ya 64 iteye ku buryo bukurikira: “Ingingo ya 64: Kutubahiriza amabwiriza yatanzwe n’Ikigo Umuntu wese utubuhariza amabwiriza yatanzwe n’Ikigo, ahanishwa ihazabu yo mu rwego rw’ubutegetsi ingana n’amafaranga y’u Rwanda atari munsi ya miliyoni eshatu (3.000.000 FRW) ariko atarenze miliyoni eshanu (5.000.000 FRW).” Ingingo ya 8: Gukoresha umukozi wahagaritswe n’Ikigo Itegeko n° 01/2011 ryo ku wa 10/02/2011 rigenga isoko ry’imari n’imigabane mu Rwanda nk’uko ryahinduwe kugeza ubu ryongewemo ingingo ya 65 iteye ku buryo bukurikira: “Ingingo ya 65: Gukoresha umukozi wahagaritswe n’Ikigo Umuntu wese ukoresha umukozi wahagaritswe n’Ikigo, ahanishwa ihazabu yo mu rwego rw’ubutegetsi ingana n’amafaranga “Section One: Administrative faults”. Article 7: Non-compliance with regulations issued by the Authority In Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is inserted Article 64 worded as follows: “Article 64: Non-compliance with regulations issued by the Authority Any person who does not comply with the regulations issued by the Authority is liable to an administrative fine of not less than three million Rwandan francs (FRW 3,000,000) and not more than five million Rwandan Francs (FRW 5,000,000). Article 8: Employing an employee suspended by the Authority In Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is inserted Article 65 worded as follows: “Article 65: Employing an employee suspended by the Authority Any person who employs an employee suspended by the Authority is liable to a fine of not less than three million Rwandan francs «Section première: Fautes administratives». Article 7: Non-respect des règlements émis par l’Autorité Dans la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour, il est inséré l’article 64 libellé comme suit: « Article 64: Non-respect des règlements émis par l’Autorité Toute personne qui ne respecte pas les règlements émis par l’Autorité est passible d’une amende administrative d’au moins trois millions de francs rwandais (3.000.000 FRW) mais n’excédant pas cinq millions de francs rwandais (5.000.000 FRW). Article 8: Employer un agent suspendu par l’Autorité Dans la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour, il est inséré l’article 65 libellé comme suit: «Article 65: Employer un agent suspendu par l’Autorité Toute personne qui emploie un agent suspendu par l’Autorité est passible d’une amende d’au moins trois millions de francs 34

Iyo abihamijwe n’urukiko, ahanishwa igifungo kitari munsi y’umwaka umwe (1) ariko kitarenze imyaka ibiri (2) n’ihazabu y’amafaranga y’u Rwanda atari munsi ya (FRW 3,000,000) and not more than five million Rwandan francs (FRW 5,000,000).” Article 9: Offences and penalties In Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is inserted Section 2 worded as follows: “Section 2: Offences and penalties”. Article 10: Conducting capital market business without authorization In Law n° 01/2011 of 10/02/2011 regulating capital market in Rwanda as modified to date is inserted Article 66 worded as follows: “Article 66: Conducting capital market business without authorization Any person who carries out or purports to carry out capital market business without a licence for this purpose commits an offence. Upon conviction, he or she is liable to imprisonment for a term of not less than one (1) year and not more than two (2) years and a fine of not less than thirty million Rwandan rwandais (3.000.000) mais n’excédant pas cinq millions de francs rwandais (5.000.000 FRW). » Article 9: Infractions et peines Dans la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour, il est inséré la section 2 libellée comme suit: « Section 2: Infractions et peines ». Article 10: Exercer des activités sur le marché des capitaux sans autorisation Dans la Loi n° 01/2011 du 10/02/2011 portant régulation du marché des capitaux au Rwanda telle que modifiée à ce jour, il est inséré l’article 66 libellé comme suit: «Article 66: Exercer des activités sur le marché des capitaux sans autorisation Toute personne qui opère ou se présente comme opérateur sur le marché des capitaux sans une licence à cette fin commet une infraction. Lorsqu’elle en est reconnue coupable, elle est passible d’un emprisonnement d’au moins un (1) an mais n’excédant pas deux (2) ans et d’une amende d’au moins trente millions de 35

Long term insurance contracts Rights under a long term insurance contract shall not apply if: 1 º the benefits under the contract are payable only upon death or in respect of incapacity due to accident, sickness or infirmity of the insured party; 2 º the contract has no surrender value or the consideration consists of a single premium and the surrender value does not exceed that premium; 3 º the contract does not make provision for its conversion or extension that would result into noncompliance with items 1º and 2º.
