Ingingo ya 2: Ibisobanuro by’amagambo Muri aya mabwiriza rusange, amagambo akurikira afite ibisobanuro bikurikira: 1° Usaba: umuntu wese usuzumwa ko afite ubushobozi n’ubunyangamugayo; 2° Isuzuma ry’ubushobozi n’ubunyangamugayo: isuzumwa ry’ibanze mu gihe cyo gusuzuma ubusabe bw’uruhushya cyangwa ukwemererwa n’isuzuma rihoraho rireba uko ubucuruzi buhagaze n’uko bwubahiriza amategeko n’amabwiriza; CHAPTER ONE: GENERAL PROVISIONS Article one: Purpose of this Regulation This Regulation provides for requirements and process of applying for a license as a trust and company service provider. Article 2: Definitions In this Regulation, the following terms are defined as follows: 1° applicant: any person subject to fit and proper assessment; 2° fit and proper assessment: both an initial test undertaken during the consideration of an application for license or authorization, and also a continuing and cumulative test which takes into account the ongoing conduct of business and the history of compliance with all applicable Laws, regulations; CHAPITRE PREMIER : DISPOSITIONS GÉNÉRALES Article premier : Objet du présent règlement Le présent règlement prévoit les exigences et la procédure à suivre pour demander un agrément d’un prestataire de services aux fuducies et aux sociétés comerciales. Article 2 : Définitions Dans le présent règlement, les termes suivants sont définis comme suit : 1° demandeur : toute personne faisant l'objet d'une évaluation d'integrité et de compétence; 2° évaluation de la compétence et de l'integrité : à la fois un test initial effectué lors de l'examen d'une demande d’agrément ou d'autorisation, et un test continu et cumulatif qui prend en compte la conduite continue des affaires et l'historique du respect de toutes les lois, réglementations ;

Official Gazette nº 38 Bis of 19/09/2022 7 3° Umuntu ufite ubushobozi n’ubunyangamugayo : umuntu uhagaze neza mu rwego rw’imari n’ubushobozi, ufite isura nziza kandi wo kwizerwa; 4° Umuyobozi mukuru: abakozi bo mu rwego nshingwabikorwa rw’ubuyobozi bw’ikigo . Barimo aba bakurikira: a. Umuyobozi Mukuru w’Ikigo; b. Abayobozi bakuru baha raporo Inama y’Ubutegetsi cyangwa Komite z’Inama y’Ubutegetsi; ndetse c. Abayobozi bakuru baha raporo Umuyobozi Mukuru w’Ikigo. 5° Umunyamigabane cyangwa umufatanyabikorwa ufite uruhare rugaragara: umunyamigabane cyangwa umufatanyabikorwa w’utanga serivisi ku bigega by’ubwizerane n’amasosiyete y’ubucuruzi(TCSP) , mu buryo butaziguye cyangwa buziguye, yaba wenyine cyangwa afatanyije n’abandi, ufite nibura gatanu ku ijana (5%) 3° fit and proper person: one who is financially sound, competent, reputable and reliable; 4° Senior manager: management personnel at executive level of the institution. This includes: a. the Chief Executive Officer (CEO)/Managing Director (MD); b. Senior Executives reporting to the Board or to Board Committees; and c. Senior Executives reporting to the Chief Executive Officer (CEO)/Managing Director (MD). 5° Significant shareholder or partner: shareholding or a partner in a TCSP where a person, directly or indirectly, whether alone or in conjunction with others, holds at least five per cent (5%) of the equity capital or voting rights of such institution or has a holding that enables the person to exercise significant influence in the management of the institution; 3° personne competente et intègre : une personne financièrement saine, compétente, de bonne réputation et fiable; 4° Cadre supérieur : personnel de direction au niveau exécutif de l'institution. Cela comprend : a. le Directeur général; b. les cadres supérieurs qui rendent compte au conseil d'administration ou à ses comités; et c. les cadres supérieurs qui rendent compte au Directeur général. 5° Actionnaire ou partenaire significatif : actionnaire ou partenaire d'un TCSP lorsqu'une personne, directement ou indirectement, seule ou conjointement avec d'autres, détient au moins cinq pour cent (5 %) du capital social ou des droits de vote de cette institution ou possède une participation qui lui permet d'exercer une influence

Official Gazette nº 38 Bis of 19/09/2022 8 by’igishoro cyangwa uburenganzira bwo gutora bw’ikigo cyangwa ufite imigabane ituma agira uruhare rugaragara mu micungire y’ikigo; 6° umuntu: ikigo cy’ubucuruzi, isosiyete y’ubucuruzi, ubufatanye, ishyirahamwe kimwe n’umuntu ku giti cye; 7° utanga serivisi ku bigega by’ubwizerane n’amasosiyete y’ubucuruzi(TCSP) : sosiyete y’umuntu ku giti cye cyangwa ikigo gifite ubuzimagatozi gikora ibikorwa bikurikira: a. gukora nk’umuntu uhagariye abandi mu kubashyiraho ikigo gifite ubuzimagatozi cyangwa ubufatanye; b. gukora cyangwa gufasha undi muntu gukora nk’uri mu nama y’ubutegetsi, umunyamabanga cyangwa umuyobozi mukuru w’isosiyete y’ubucuruzi cyangwa umufatanyabikorwa mu bufatanye cyangwa umuyobozi mukuru wa fondasiyo; c. kuyobora cyangwa gucunga ubwizerane, isosiyete y’ubucuruzi, ubufatanye, fondasiyo cyangwa ikindi 6° person: a corporation, company, partnership, firm, association as well as a natural person; 7° trust and company service provider (TCSP): a sole proprietor or a legal person undertaking any of the following activities: a. acting as a corporate or partnership formation agent; b. acting as or arranging for another person to act as a director, secretary or senior manager of a company or a partner of a partnership or as a foundation senior manager; c. providing administration or management of a trust, company, partnership, foundation or for any significative sur la gestion de l'institution; 6° personne : une société, une compagnie, un partenariat, une entreprise, une association ainsi qu'une personne physique; 7° prestataire de services aux fiducies et aux sociétés (TCSP): une société unipersonelle ou une personne morale exerçant l'une des activités suivantes : a. agir en tant qu'agent de constitution de société ou de partenariat; b. agir ou faire en sorte qu'une autre personne agisse en tant que directeur, secrétaire ou cadre supérieur d'une société ou associé d'un partenariat ou en tant que cadre supérieur d'une fondation ; c. fournir l'administration ou la gestion d'une fiducie, d'une société, d'un partenariat, d'une fondation ou pour

Ingingo ya 3: Ibirebwa n’aya mabwiriza rusange Aya mabwiriza rusange areba TCSP keretse abantu bakurikira basonerwa kugira uruhushya hakurikijwe aya mabwiriza: other legal person or legal arrangement; d. providing registered office, business address or accommodation, correspondence or administrative address for a company, partnership, foundation or for another person; e. acting as a resident agent for the purposes of meeting requirements to hold beneficial ownership or interest information; f. acting as or arranging for another person to act as a trustee of an express trust; g. acting as or arranging for another person to act as a nominee shareholder for another legal person. Article 3: Scope of application This Regulation applies to TCSPs, except the following that are exempted for a license under this regulation: toute autre personne morale ou arrangement juridique; d. fournir le siège social, l'adresse commerciale ou le logement, l'adresse de correspondance ou l'adresse administrative d'une société, d'un partenariat, d'une fondation ou d'une autre personne; e. agir en tant qu'agent résident afin de satisfaire aux exigences de détention des informations sur la propriété effective ou sur les intérêts; f. agir ou faire en sorte qu'une autre personne agisse en tant que fiduciaire d'une fiducie explicite; g. agir ou faire en sorte qu'une autre personne agisse en tant qu'actionnaire désigné pour une autre personne morale. Article 3 : Champ d'application Le présent règlement s'applique aux TCSPs, à l'exception des personnes suivantes qui sont dispensées d'obtenir un agrément en vertu du présent règlement:

UMUTWE WA II: GUTANGA URUHUSHYA Ingingo ya 4: Guha uruhushya TCSP Umuntu wese ushaka gukora nka TCSP asaba uruhushya Urwego rubifitiye ububasha. Gusaba uruhushya biherekezwa n’amakuru avugwa mu ngingo ya 6 y’aya Mabwiriza rusange. 1° trustee licensed or authorized by the Capital Market Authority; 2° Trustee licensed or authorized by pension law as well as trustee of a e￾money trust funds; 3° trustees appointed by Courts. CHAPTER II: LICENSING Article 4: Licensing of TCSP Any person who intends to be a TCSP shall apply to the Competent Authority for a license. The license application must be accompanied by information provided for in Article 6 of this Regulation. 1° fiduciaire agréé ou autorisé par l’Autorité des Marché de Capitaux; 2° fiduciaire agréé ou autorisé par la loi sur les pensions ainse que le fudiciaire du monaie électronique en fudicie ; 3° les fiduciaires nommés par les tribunaux. CHAPITRE II: OCTROI D’AGRÉMENT Article 4: Octroi d’agrément au TCSP Toute personne ayant l'intention d'être un TCSP doit demander un agrément à l'Organe Compétent. La demande d’agrément doit être accompagnée des informations prévues à l'article 6 du présent Règlement.

Official Gazette nº 38 Bis of 19/09/2022 11 Ingingo ya 5: Ibigenderwaho mu kwemererwa TCSP Mu gusuzuma dosiye isaba, Urwego rubifitiye ububasha rugomba gusuzuma nibura ibi bikurikira : 1° kwandikisha ubucuruzi nka nyir’umutungo rukumbi, isosiyete y’ubucuruzi cyangwa ubufatanye; 2° uburyo bwo kubahiriza amategeko: TCSP agomba kugira uburyo bukwiye bwo kubahiriza amategeko kugira ngo yubahirize amabwiriza y’imyitwarire ateganywa n’amategeko y’u Rwanda; 3° gahunda y’ubucuruzi: gahunda igaragaza intego, icyerekezo, ibigamijwe, isuzuma ry’isoko, imari iteganywa n’iteganyabikorwa by’ikigo cy’ubucuruzi; 4° imiterere y’ubuyobozi: amakuru ku bayobozi, barimo umwe cyangwa benshi mu bayobozi bashinzwe ibikorwa, impamyabumenyi zabo, aho babarizwa n’amakuru ku bundi buyobozi, amakuru y’abanyamigabane Article 5: TCSP criteria for licensing In considering the application, the the Competent Authority shall assess at least : 1° business registration as sole proprietor, a company or a partnership; 2° compliance system: the trust and company service provider must have in place an adequate internal compliance system or process in order to ensure that it is compliant with the standards of conduct issued under Rwandan Laws; 3° business plan: a plan indicating the mission, vision, strategic objectives, market analysis, financial projections, and action plan of the business entity; 4° management structure: particulars of directors, including one or more executive directors, their qualifications, addresses and details of other directorships, particulars of shareholders and partners and an Article 5 : Critères d’octroi d’agrément au TCSP Lors de l’examen de la demande, l'Organe Compétent doit examiner au moins les points suivant: 1° enregistrement de l'entreprise en tant que société unipersonelle, société ou partenariat 2° système de conformité: le TCSP doit avoir mis en place un système ou un processus interne de conformité adéquat afin de garantir qu'il respecte les normes de conduite établies par les lois rwandaises; 3° plan d'affaires: un plan indiquant la mission, la vision, les objectifs stratégiques, l'analyse du marché, les projections financières et le plan d'action de l'entité commerciale; 4° structure de gestion: coordonnées des membres du Conseil d’administration, y compris un ou plusieurs administrateurs exécutifs, leurs qualifications, leurs adresses et les détails des autres mandats, les coordonnées des actionnaires et des

Official Gazette nº 38 Bis of 19/09/2022 12 n’abafatanyabikorwa n’imbonerahamwe y’imirimo irimo inzego z’ubuyobozi; 5° politiki n’amategeko ngengamikorere; 6° ubushobozi n’ubwangamugayo: usaba agomba kugaragaza neza ko afite ubushobozi n’ubuhanga bwo gutanga serivisi za TCSP kandi akagaragaza ko serivisi zizatangwa neza, kinyamwuga, mu kuri kandi nta busumbane. 7° ubwishingizi bw’uburyozwe mu kazi: TCSP agomba kugira ubwishingizi bw’uburyozwe mu kazi buhuye n’urwego rw’ingorane. Ingingo ya 6: Uburyo bwo gusaba uruhushya Ushaka kuba TCSP abisaba Urwego rubifitiye ububasha. Ubusabe bugomba guherekezwa n’inyandiko zikurikira: 1° icyemezo cy’uko wishyuye amafaranga y’ubusabe adasubizwa organizational structure that includes levels of management; 5° internal policies and procedures; 6° fit and proper: the applicant must satisfy that it possesses the necessary capability and expertise to carry out a TCSP and that the services business will be operated and carried out in an efficient, professional, honest, and fair manner. 7° professional indemnity insurance: a TCSP must maintain a standalone professional indemnity insurance policy that is commensurate with the levels of risk. Article 6: Licensing application procedures An applicant wishing to be a TCSP shall apply to the Competent Authority. The application shall be accompanied by the following documents: 1° proof of payment of a non-refundable application fee of one hundred partenaires et une structure organisationnelle comprenant les niveaux de gestion; 5° politiques et procédures internes ; 6° compétence et intégrité : le demandeur doit s'assurer qu'il possède la capacité et l'expertise nécessaires pour fournir des services de TCSP et que l'activité de services sera exploitée et menée de manière efficace, professionnelle, honnête et équitable. 7° assurance responsabilité civile professionnelle: a TCSP doit souscrire une police d'assurance responsabilité civile professionnelle qui est proportionnelle aux niveaux de risque. Article 6: Procédures de demande d’agrément Tout demandeur souhaitant être un TCSP doit en faire la demande auprès de l'Organe Compétent. La demande doit être accompagnée des documents suivants: 1° la preuve du paiement des frais non￾remboursables pour la demande

CHAPTER IV: CORPORATE GOVERNANCE OF A TCSP Article 11: The board of directors The board of directors of a TCSP shall collectively comprises an appropriate balance of skills, knowledge and competence taking into account its members’ relevant experience such that the board as a whole is able to discharge its duties and responsibilities effectively, and further that no individual or group of individuals can or does unduly dominate the board’s decision making. Article 12: The senior management The organization, procedures and decision￾making of senior management must be clear and transparent and designed to promote effective management of the TCSP. This includes clarity on the role, authority and responsibility of the various positions within the senior management. Members of Senior management must have the necessary experience, competencies and integrity to manage the businesses and people under their supervision. Article 13 : Approval of board of directors and member of Senior Management Any board member or a senior manager of a TCSP must be approved by the Competent Authority and shall pass the fit and proper test. The TCSP shall submit to the Competent Authority a duly completed personal declaration form as per the Appendix 2 of this regulation. Ingingo ya 15: Gukomeza kubahiriza ibisabwa ku birebana n’ubushobozi n’ubwangamugayo Umunyamigabane w’ingenzi, umufatanyabikorwa, nyir’umutungo n’umuyobozi mukuru ba TCSP bagomba guhora bujuje ibisabwa birebana n’ubushobozi n’ubwangamugayo. Article 14: Change in shareholding or amalgamation No person shall become a significant shareholder or a partner of a TCSP without obtaining the prior approval of the Competent Authority. A TCSP shall not transfer a significant shareholding of its share capital or amalgamate with another TCSP except with the prior written approval of the Competent Authority. Any transfer of shares of a TCSP below five per cent (5%) shall be notified to the Competent Authority within ten (10) days after the transfer. Article 15: Continuing requirements of fit and proper standards A significant shareholder, a partner, a sole proprietor as well as a senior manager of the TCSP shall continuously meet the fit and proper requirements. Article 14: Changement d'actionnariat ou fusion Nul ne peut devenir un actionnaire significatif ou un partenaire d'un TCSP sans obtenir l'approbation préalable de l'Organe Compétent. Un TCSP ne peut transférer une part importante de son capital social ou fusionner avec un autre TCSP sans l'approbation écrite préalable de l'Organe Compétent. Tout transfert d'actions d'un TCSP inférieur à cinq pour cent (5%) doit être notifié à l'Organe Compétent au moins dix jours après le transfer. Article 15: Exigences permanentes des normes d'intégrité et de compétence Un actionnaire significatif, un associé, un propriétaire unique ainsi qu'un cadre supérieur du TCSP doivent satisfaire en permanence aux exigences d'intégrité et de compétence.

Usibye ububasha Urwego rubifitiye ububasha ruhabwa n’aya Mabwiriza, Urwego rubifitiye ububasha rufite ububasha bwo: 1° gusaba amakuru uwahawe uruhushya wese igihe cyose rusanze ari ngombwa; Article 16: Other corporate governance requirements The Competent Authority may, by a Directive, issue other corporate governance standards to be complied with by TCSP. CHAPTER V: SUPERVISION AND REMEDIAL ACTIONS Article 17: Regulatory and supervisory powers The Competent Authority shall at any time, exercise its regulatory and supervisory powers given by relevant legislation and shall request for such data or information or carry out such inspection as it deems necessary. In addition to any other power conferred on the Competent Authority by this Regulation, the Competent Authority has powers to: 1° request for any information from any licensee at any time as it may deem necessary; Article 16: Autres exigences en matière de gouvernance d'entreprise L'Organe Compétent peut, par voie d’instruction, édicter d'autres normes de gouvernance d'entreprise auxquelles le TCSP doivent se conformer. CHAPITRE V: SURVEILLANCE ET MESURES CORRECTIVES Article 17 : Pouvoirs de réglementation et de surveillance L’Organe Compétent doit, à tout moment, exercer ses pouvoirs de réglementation et de surveillance conférés par la législation pertinente et peut demander les données ou les informations ou effectuer les inspections qu’il juge nécessaires. En plus de tout autre pouvoir conféré à l’Organe Compétent par le présent règlement, l’Organe Compétent est habilité à: 1° demander toute information à tout titulaire d’agrément, à tout moment, s’il le juge nécessaire ;

Ingingo ya 18: Ibisabwa mu rwego rw’imari TCSP igomba guhora ifite ubushobozi bwo kwishyura imyenda mu gihe cyose igikora. TCSP igomba kuba gifite igishoro n’amafaranga bihagije kugira ngo ishobore kubahiriza inshingano zayo. Ingingo ya 19: Inshingano yo gutanga raporo buri gihe TCSP igomba gushyikiriza Urwego rubifitiye ububasha inyandiko zikurikira buri gihembwe: 2° carry out impromptu or scheduled inspection of the books and premises of the licensee; 3° direct any licensee to take such action or desist from such conduct as it may find necessary; 4° direct the licensee to take such remedial action arising from the conduct of a shareholder, partner, senior manager or an employee. Article 18: Financial requirement A TCSP must remain solvent at all times during its operations. A TCSP shall have a sufficient capital and liquidity to meet its obligations. Article 19: Continuous reporting obligations A TCSP must submit the following documents to the Competent Authority on quarterly basis: 2° effectuer une inspection impromptue ou programmée des livres et des locaux du titulaire d’agrément; 3° ordonner à tout titulaire d’agrément de prendre les mesures ou de renoncer à toute conduite qu’il juge nécessaire; 4° ordonner au titulaire d’agrément de prendre les mesures correctives découlant de la conduite d’un actionnaire, d’un partenaire, d’un cadre supérieur ou d’un employé. Article 18 : Exigence financière Un TCSP doit rester solvable à tout moment de son activité. Un TCSP doit disposer d’un capital et de liquidités suffisants pour faire face à ses obligations. Article 19: Obligations de déclaration continue Le TCSP doit soumettre les documents suivants à l’Organe Compétent trimestriellement:

Ingingo ya 20: Ibyemezo byo gukosora n’ibihano byo mu rwego rw’ubutegetsi Iyo TCSP itubahirije aya Mabwiriza rusange n’andi mategeko n’amabwiriza, Urwego rubifitiye ububasha rufata ibyemezo byo gukosora nk’uko biteganywa mu mategeko cyangwa amabwiriza bireba. Uretse gufata ibyemezo byo gukosora uwakosheje bivugwa mu gika cya mbere cy’iyi ngingo, Urwego rubifitiye ububasha rushobora TCSP, abagize inama y’ubutegetsi ye, abayobozi cyangwa abakozi be bimwe cyangwa byose mu bihano byo mu rwego rw’ubutegetsi bikurikira: 1° financial report of a trust under management; 2° revenue and assets under management in respect of each quarter where applicable; 3° Other information the Competent Authority deems necessary Any change of particulars of a TCSP must be notified to the Competent Authority within seven (7) days immediately after the change has been made. Article 20: Remedial measures and administrative sanctions If a TCSP fails to comply with this Regulation or other applicable laws and regulations, the Competent Authority pursue any or all corrective actions against the licensee as provided under the relevant Laws or regulations. In addition to the use of remedial measures specified in Paragraph One of this Article, the Competent Authority may pursue any or all of the following administrative sanctions against a TCSP, its board of directors, officers or agents: 1° le rapport financier d’une fiducie ou d’une société sous gestion; 2° les recettes et les actifs sous gestion pour chaque trimestre, le cas échéant ; 3° Autres informations que l’Organe Compétent juge nécessaires Toute modification des coordonnées du TCSP doit être notifiée à l’Organe Compétent dans les sept (7) jours suivant immédiatement la modification. Article 20: Mesures correctives et sanctions administratives Si le TCSP ne se conforme pas au présent règlement, l'Organe Compétent peut prendre à son encontre toutes les mesures correctives prévues par les lois ou règlements pertinents. Outre le recours aux mesures correctives spécifiées à l’alinéa premier du présent article, l'Organe Compétent peut appliquer l'une ou l'ensemble des sanctions administratives suivantes à l'encontre d'un TCSP, de son conseil d'administration, de ses dirigeants ou de ses agents :

UMUTWE WA V: INGINGO ZINYURANYE N’IZISOZA Ingingo ya 21: Amabwiriza n’imirongo ngenderwaho yihariye Urwego rubifitiye ububasha rushobora gushyiraho amabwiriza cyangwa imirongo ngenderwaho yihariye kugira ngo imirimo ya TCSP igende neza. Ingingo ya 22: Kubahiriza andi mategeko TCSP igomba kubahiriza amategeko agenga imirimo yayo akoreshw harimo n’amategeko 1° prohibition from engaging in any further activities of which a license was given; 2° suspension or revocation of license; 3° removal of directors or senior managers; 4° Pecuniary sanctions as it may be set in the Directive or specified in relavant regulations like the sanction regime for AML/CFT. CHAPTER V: MISCELLANEOUS AND FINAL PROVISIONS Article 21: Specific Directives and guidelines The Competent Authority may issue specific directives or guidelines for the smooth operations of a TCSP. CHAPITRE V: DISPOSITIONS DIVERSES ET FINALES Article 21: Directives et lignes directrices spécifiques L'Organe Compétent peut émettre des instructions ou des lignes directrices spécifiques pour le bon fonctionnement d'un TCSP. Article 22: Conformité à d’autres lois Un TCSP doit se conformer aux lois pertinentes applicables à son activité, y

Ingingo ya 25: Igihe aya mabwiriza rusange atangirira gukurikizwa Aya Mabwiriza rusange atangira gukurikizwa ku munsi atangarijweho mu Igazeti ya Leta ya Repubulika y’u Rwanda Money Laundering and Countring the finicing of Terorism laws and regulations. Article 23: Transitional period Any person or entity that provides TCSP activities is given a transitional period of one (1) year for compliance with the provisions of this Regulation, from the date of the publication in the official gazette of the Republic of Rwanda. Article 24: Repealing provision All prior regulatory provisions inconsistent with this Regulation are repealed. Article 25: Commencement This Regulation comes into force on the date of its publication in the Official Gazette of the Republic of Rwanda. compris les lois et réglementations relatives à la lutte contre le blanchiment d'argent et le financement du terrorisme. Article 24 : Disposition abrogatoire Toutes les dispositions réglementaires antérieures contraires au présent règlement sont abrogées. Article 25 : Entrée en vigueur Le présent règlement entre en vigueur le jour de sa publication au Journal Officiel de la République du Rwanda.
