Instruction No. 2025-I-22 on the Composition of the File for Concluding or Amending a Substitution Agreement

The Prudential Control and Resolution Authority issued Instruction No. 2025-I-22 to update the annexes defining the required elements for concluding or amending a substitution agreement under Article L. 211-5 of the Mutual Code. This directive replaces previous instructions from 2016, 2018, 2019, and 2024, mandating that the electronic dossier be submitted via the ACPR portal. The regulation officially enters into force on January 1, 2026.

Instruction No. 2025-I-22 regarding the composition of the file for concluding or amending a substitution agreement replacing Instruction No. 2016-I-06 of March 11, 2016 as amended by Instruction No. 2018-I-10 of July 11, 2018, Instruction No. 2019-I-13 of April 18, 2019 and Instruction No. 2024-I-11 of October 21, 2024

The Prudential Control and Resolution Authority, Having regard to the Monetary and Financial Code, particularly Articles L. 612-14, L. 612-24 and R. 612-21; Having regard to the Mutual Code, particularly Articles L. 211-5 and R. 211-23; Having regard to the opinion of the Prudential Affairs Consultative Committee (CCAP) of October 1, 2025, DECIDES

Article 1: The file for concluding a substitution agreement or amending a substitution agreement provided for in Article L. 211-5 of the Mutual Code shall consist of the elements defined in the annex to this instruction.

Article 2: This file must be sent in electronic format to the Prudential Control and Resolution Authority by submitting it to the following address: https://acpr-portail.banque-france.fr

Article 3: This instruction replaces Instruction No. 2016-I-06 of March 11, 2016 as amended by Instructions No. 2018-I-10 of July 11, 2018, No. 2019-I-13 of April 18, 2019 and No. 2024-I-11 of October 21, 2024, in order to update its annexes. References to Instruction No. 2016-I-06 of March 11, 2016 shall be understood as references to this instruction.
