The Isle of Man legislature enacted this Act to establish a legal framework for incorporating companies as incorporated cell companies (ICCs) and their individual cells (ICs). The legislation mandates that ICCs and ICs maintain separate legal personalities with strictly segregated assets and liabilities to prevent cross-liability. It further regulates the formation, conversion from protected cell companies, and winding-up procedures to ensure the continuity of cell operations during parent company dissolution.
