Circular Letter – Beneficial Ownership Reporting Entities
The Trinidad and Tobago Securities and Exchange Commission issued this circular to enforce new beneficial ownership reporting requirements following amendments to the Securities Act by Act No. 1 of 2024. Reporting entities must ascertain, verify, and maintain an up-to-date register of beneficial owners, defined as individuals holding at least ten percent of voting rights or exercising ultimate effective control. These entities are required to submit beneficial ownership information to the Commission annually within twenty-one days of their financial year-end and notify the Commission of any changes within thirty days of occurrence.
