Capital Markets (Licensing and Approval) Regulations, 2025

The Capital Markets Authority of Uganda issued these regulations to establish comprehensive licensing and approval frameworks for securities exchanges, commodities exchanges, brokers, fund managers, credit rating agencies, and other market participants. The rules mandate strict fit-and-proper assessments, minimum capital requirements, robust governance structures with independent directors, and operational standards for trading, clearing, and settlement systems. Furthermore, the Authority retains explicit powers to suspend or revoke licenses based on compliance failures while enforcing standardized application procedures, fee structures, and penalties for unapproved market operations.
