Instruction on the Method of Submitting Reports in Case of Exemption from the Obligation to Register Dematerialized Securities with the Central Depository or Another Registry Prescribed by a Special Law

Croatian Financial Services Supervisory Agency (HANFA) issued this Instruction on 21 December 2022, effective 1 January 2023, to standardize how entities exempt from registering dematerialized securities with the central depository submit their reports. The Instruction mandates direct electronic submission through the Hanfe system (reports.hanfa.hr), requiring submitters to utilize this channel unless justified technical failures occur. In such cases, reports may be filed electronically via the Hanfe Electronic Contact Point, by post, or in person, with mandatory reversion to electronic submission within eight days of the technical obstruction's resolution.

1 Pursuant to Article 15, paragraph 7 of the Act on the Croatian Financial Services Supervisory Agency (Official Gazette Nos. 140/05 and 12/12), the Croatian Financial Services Supervisory Agency, at a meeting of its Governing Board held on 21 December 2022, adopts INSTRUCTION ON THE METHOD OF SUBMITTING REPORTS IN CASE OF EXEMPTION FROM THE OBLIGATION TO REGISTER DEMATERIALIZED SECURITIES WITH THE CENTRAL DEPOSITORY OR ANOTHER REGISTRY PRESCRIBED BY A SPECIAL LAW

  1. Introduction This Instruction prescribes the method of submitting reports in case of exemption from the obligation to register dematerialized securities with the central depository or another registry prescribed by a special law, in accordance with Article 4 of the current Regulation on the structure, content, method and deadlines for submitting reports in case of exemption from the obligation to register dematerialized securities with the central depository or another registry prescribed by a special law (hereinafter: Regulation).
  2. Submission of Reports Reports from Annex 1 of the Regulation are submitted by direct access to the Hanfe computer system within the electronic data submission system (reports.hanfa.hr). Login to the Hanfe computer system is carried out in accordance with the Technical Instruction for login and operation of the electronic data submission interface. In justified cases of technical inability to submit via the aforementioned method, the Submitter is obliged, for timely reporting purposes, to submit reports under this Instruction via one of the following methods: a) via the Hanfe Electronic Contact Point in electronic form b) via a postal service provider, or c) by personal delivery. The Submitter is obliged to submit data through reports.hanfa.hr as soon as the reasons for such inability cease, and no later than within 8 days from the cessation of circumstances causing the technical inability for such submission.
  3. Signing of Reports File signing is performed in accordance with the current Technical Instruction for the application of electronic signatures in the Hanfe reporting procedure.

2 4. Final Provisions This Instruction will be published on the Hanfe website and enters into force on 1 January 2023.
