Official Gazette nº 26bis of 25/06/2012 4 Article 2: Definitions In these Regulations, unless the context otherwise requires: ―Act‖ means the Law Nº 01/2011 of 10/02/2011 regulating the Capital market in Rwanda ; ―Agent‖ means a person authorized to act for and under the direction of another person when dealing with third parties; ―Authority‖ means the Capital Market Authority; ―Custodian‖ means a bank licensed under the Banking Act and approved by the Authority under the Act to carry out the function of Safekeeping and administering capital markets instruments as provided for under Annex 2 of the act; ―Depository‖ has the same meaning as in the Act; ―Director", in relation to a body corporate, includes a person occupying in relation to it the position of a director (by whatever name called) and any person in accordance with whose ngenderwaho yerekeye uko abakorera ku isoko ry‘imari n‘imigabane bahabwa ibyemezo byo gukora. Ingingo ya 2: Ibisobanuro by‟amagambo Muri aya mabwiriza, uretse ighe byaba biteganijwe ukundi: ―Itegeko‖ bivuga Itegeko Nº 01/2011 ryo kuwa 10/02/2011 rigenga isoko ry‘imari n‘imigabane mu Rwanda; ―Umukozi‖ ni umuntu wemerewe gukora mu izina ry‘undi muntu cyangwa akorera ku mabwiriza y‘undi muntu mu gihe akorana n‘abandi; ―Ikigo‖ ni Ikigo cya Leta gishinzwe ibijyanye n‘isoko ry‘imari n‘imigabane mu Rwanda; « Umubitsi w‟umutungo » ni Banki ifite icyemezo yemerewe n‘itegeko rigena imitunganyirize y‘imirimo y‘amabanki kandi yemerewe n‘Ikigo hakurikijwe Itegeko kugira ngo ikore umurimo wo Kubika no gucunga ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko bivugwa mu mugereka wa 2 w‘Itegeko; ―Uburyo bw‟ibika ry‟ibicuruzwa byo ku isoko ry‟imari n‟imigabane‖ igisobanuro Article 2: Définition des termes Aux fins de la présente règlementation et à moins que le contexte n‘exige une interprétation contraire : «Loi» désigne la Loi N° 01/2011 du 10/02/2011 Portant regulation du marche des Capitaux au Rwanda; «Agent» désigne une personne autorisée à agir pour le compte et sous la direction d‘une autre personne lorsqu‘elle négocie avec des tiers; «Autorité» désigne l‘Autorité du marché des capitaux; «Gardien » désigne une Banque agréée par la Loi portant organisation de l‘activité bancaire et approuvée par l‘Autorité en vertu de la Loi pour assumer les attributions de Conservation et gestion des instruments afférents au marché des capitaux prévus à l‘Annexe 2 de la Loi ; «Dépositaire» la même signification que celle prévue par la Loi «Directeur», désigne, par rapport à une personne morale, une personne occupant par rapport à elle le poste de

Official Gazette nº 26bis of 25/06/2012 5 directions or instructions (not being advice given in a professional capacity) the directors of that body are accustomed to act; ―Exempted Person‖ has the same meaning as in the Act; ―Investment Adviser‖ means a firm licensed by the Authority under the Act to undertake the following activities: (i) Arranging deals in capital markets instruments as provided for under annex 2 of the Act; (ii) Giving capital markets advice as provided for under annex 2 of the Act. ―Investment Bank‖ means a non deposit taking institution licensed by the Authority under the Act to carry out the following functions: (i) Dealing in capital markets instruments as provided for under annex 2 of the Act; cyacyo tugisanga mu Itegeko; ―Umuyobozi‖ bivuga, hashingiwe ku kigo gifite ubuzima gatozi, umuntu ukiyobora ( hatitawe ku kuntu umwanya afite waba witwa) ndetse n‘undi muntu wese umenyereye guha amategeko n‘amabwiriza (aya mabwiriza agomba kuba atari inama abagira mu rwego rw‘akazi) abayobozi b‘icyo kigo bakayubahiriza; ―Umuntu usonewe‖ igisobanuro cyacyo tugisanga mu Itegeko; ―Umujyanama mu byerekeye ishoramari‖ ni isosiyete ifite icyemezo yahawe n‘Ikigo hakurikijwe iri tegeko kugira ngo ikore imirimo ikurikira : (i) Gukora ubucuruzi bw‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganijwe mu mugereka wa 2 w‘Itegeko ; (ii) Gutanga inama ku byerekeye isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko.

―Banki y‟ishoramari‖ ni ikigo kitari ikigo abakiriya babitsamo amafaranga kikaba gifite icyemezo gihabwa n‘Ikigo kikemerera gukora directeur (quel qu‘en soit la dénomination) et toute personne dont les directives ou instructions (ne sont pas des conseils donnés à titre professionnel) auxquelles les administrateurs de cette personne morale sont habitués à se conformer; «Personne Exempté» la même signification que celle prévue par la Loi; «Conseiller en placements»: désigne une société agréée par l'Autorité en vertu de la Loi pour réaliser les activités suivantes: (i) Organiser des transactions en matière d‘instruments afférents au marchés des capitaux conformément à l‘annexe 2 de la Loi; (ii) Donner des conseils sur les marchés des capitaux conformément à l‘annexe 2 de la Loi. «Banque d‟investissement» désigne un établissement autre qu‘une institution de dépôt agréée par l‘Autorité en vertu de la Loi pour exercer les fonctions suivantes: (i) S‘engager dans les transactions relatives aux instruments afférents au marché des capitaux conformément à l‘annexe 2 de la

Official Gazette nº 26bis of 25/06/2012 6 (ii) Arranging deals in capital markets instruments as provided for under annex 2 of the Act; (iii)Giving capital markets advice as provided for under annex 2 of the Act. ―Investment Manager‖ means a firm licensed by the Authority under the Act to carry out the following functions: (i) Arranging deals in capital markets instruments as provided for under annex 2 of the Act; (ii) Managing capital markets instruments as provided for under annex 2 of the Act; (iii)Giving capital markets advice as provided for under annex 2 of the Act; ―Nominee company‖ in relation to a custodian, a depository or a trustee is a company incorporated and wholly owned by that firm whose only purpose is to hold capital markets instruments as a trustee on behalf of members or clients of that firm; imirimo ikurikira : (i) Gukora ubucuruzi bw‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko bivugwa mu mugereka wa 2 w‘Itegeko ; (ii) Gucururiza ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘iri tegeko ; (iii)Gutanga inama ku byerekeye isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko. ―Umunyamwuga mu ishoramari‖ ni isosiyete yahawe icyemezo n‘Ikigo hakurikijwe Itegeko kugira ngo ikore imirimo ikurikira : (i) Gutunganya ubucuruzi bw‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko ; (ii) Gucunga ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko ; (iii)Gutanga inama ku byerekeye isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko. Loi; (ii) Organiser des transactions en matière d‘instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (iii)Fournir des conseils sur le marché des capitaux conformément à l‘annexe 2 de la Loi. «Gestionnaire de placements» désigne une société agréée par l‘Autorité en vertu de la Loi pour exercer les fonctions suivantes: (i) Organiser les transactions relatives aux instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (ii) Gérer les instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (iii)Fournir des conseils sur le marché des capitaux conformément à l‘annexe 2 de la Loi. «Société désignée» par rapport à un gardien, un dépositaire ou un administrateur est une société constituée et entièrement détenue par cette société dont le seul but est de détenir des instruments afférents au marché des capitaux en tant

Official Gazette nº 26bis of 25/06/2012 7 ―Principal‖ is a person acting on their own behalf; ―Securities broker/dealer” means a firm or individual person licensed by the Authority under the Act to carry out the following functions: (i) Dealing in capital markets instruments as provided for under annex 2 of the Act; (ii) Arranging deals in capital markets instruments as provided for under annex 2 of the Act; (iii)Safekeeping and administering of capital markets instruments as provided for under annex 2 of the Act; (iv) Managing capital markets instruments as provided for under annex 2 of the Act; (v) Giving capital markets advice as provided for under annex 2 of the Act. ―Ikigo gihagarariye abakiriya‖ ni sosiyete ikora umurimo utandukanye n‘uw‘umubitsi w‘umutungo, uw‘ucunga kandi akabika umutungo cyangwa uw‘ucunga umutungo mu izina ry‘abandi kandi ikaba sosiyete yanditse kandi ifitwe n‘icyo kigo kandi igamije kubika gusa ibicuruzwa byo ku isoko ry‘imigabane igakora nk‘icunga umutungo mu izina ry‘abanyamuryango cyangwa abakiriya b‘icyo kigo; ―Uwikorera adakorera undi‖ ni umuntu wikorera ku giti cye ; ― Umuhuza mu bucuruzi bw‟ibicuruzwa byo ku isoko ry‟imari n‟imigabane/ Ugura ku giti cye‖ ni isosiyete cyangwa umuntu byahawe icyemezo n‘Ikigo hakurikijwe Itegeko kugira ngo bikore imirimo ikurikira : (i) Gukora ubucuruzi bw‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko bivugwa mu mugereka wa 2 w‘Itegeko ; (ii) Gutunganya ubucuruzi bw‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko ; (iii) Kubika neza no gucunga ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko ; qu‘administrateur au nom des membres ou des clients de cette société ; «Personne agissant à titre personnel» est une personne agissant en son nom propre; «Courtier / concessionnaire en titres» désigne une société our personee agréée par l‘Autorité en vertu de la Loi pour assumer les fonctions suivantes: (i) faire des négociations relatives aux instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (ii) Organiser les opérations relatives aux instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (iii)Assurer la bonne tenue et l‘administration des instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (iv) Assurer la gestion des instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (v) Fournir des conseils en matière

Official Gazette nº 26bis of 25/06/2012 8 ―Securities sponsor‖ in relation to issuance of a capital markets instrument is a person licensed by the Authority under the Act to undertake the following activities: (i) Arranging deals in capital markets instruments as provided for under annex 2 of the Act; (ii) Giving capital markets advice as provided for under annex 2 of the Act. (iii)Safekeeping and administering capital markets instruments as provided for under annex 2 of the Act. Article 3: Scope of the regulations These regulations apply to persons carrying out or intending to carry out in the Republic of Rwanda capital markets business as defined in Annex 1 of the Act. But the regulations do not apply to exempt persons. (iv) Gucunga ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko ; (v) Gutanga inama ku byerekeye isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko. ― Umwunganizi mu gufasha kuzuza ibyangombwa byo kubona amafaranga ku isoko ry‟imari n‟imigabane‖, ku birebana n‘ishyirwa ku isoko ry‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane, ni umuntu wahawe icyemezo n‘Ikigo hakurikijwe Itegeko kugira ngo akore imirimo ikurikira : (i) Gukora ubucuruzi bw‘ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko bivugwa mu mugereka wa 2 w‘Itegeko ; (ii) Gutanga inama ku byerekeye isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko ; (vi) Kubika neza no gucunga ibicuruzwa byo ku isoko ry‘imari n‘imigabane nk‘uko biteganyijwe mu mugereka wa 2 w‘Itegeko. d‘instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi. «Sponsor en titres» désigne, en matière d‘émission des instruments afférents au marché des capitaux un instrument, une personne agréée par l‘Autorité en vertu de la Loi à entreprendre les activités suivantes: (i) Organiser les transactions relatives aux instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi; (ii) Fournir des conseils en matière de marché des capitaux conformément à l‘annexe 2 de la Loi. (iii)Assurer la bonne tenue et l‘administration des instruments afférents au marché des capitaux conformément à l‘annexe 2 de la Loi. Article 3: Champ d‟application de la présente réglementation Ces règlements s‘appliquent aux personnes exerçant ou envisageant d‘exercer en République du Rwanda les activités liées aux marchées des capitaux tels que définis

Official Gazette nº 26bis of 25/06/2012 9 CHAPTER II: SECURITIES EXCHANGES AND CLEARING HOUSES Article 4: Application for Approval to Conduct the Business of a Securities Exchange An application for approval to conduct the business of a securities exchange shall be submitted to the Authority in Form 1 set out in the First Schedule to these Regulations. The application for approval as a securities exchange must be accompanied by: (a) particulars of the applicant including name, address, particulars of senior management and Board of directors and membership criteria; (b)The instrument of incorporation, if the applicant is a body corporate; (c) A copy of the applicant‘s rules; (d)A copy of any guidance issued by the applicant; Ingingo ya 3: Ibirebwa n‟aya mabwiriza Aya mabwiriza areba umuntu wese ukorera cyangwa wifuza gukorera ubucuruzi ku isoko ry‘imigabane mu gihugu cy‘u Rwanda nk‘uko bisobanuye ku mugereka wa mbere w‘iri tegeko. UMUTWE WA II: ISOKO RY‟IBICURUZWA KU ISOKO RY‟IMARI N‟IMIGABANE N‟IBIGO BY‟ISUZUMA N‟IYISHYURANA Ingingo ya 4: Gusaba uruhushya rwo gukora imirimo y‟isoko ry‟imari n‟imigabane Inyandiko isaba uruhushya rwo gukora imirimo y‘isoko ry ‗ibicuruzwa ku isoko ry‘imari n‘imigabane ishyikirizwa Ikigo hakoreshejwe inyandiko 1 yuzuzwa iri ku mugereka wa I w‘aya mabwiriza. Inyandiko isaba uruhushya rwo gukora imirimo y‘isoko ry‘imari n‘imigabane igomba kuba iherekejwe n‘ibintu bikurikira: (a) imyirondoro y‘usaba igaragaza amazina ye, aho abarizwa, imyirondoro y‘abari mu buyobozi bukuru n‘abari mu Nama y‘Ubuyobozi ndetse n‘ibisabwa kugira ngo abantu à l‘Annexe 1 de la Loi. Toutefois, ces règlements ne s‘appliquent pas aux personnes exemptées. CHAPITRE II: BOURSES DES TITRES ET CHAMBRES DE COMPENSATION Article 4: Demande d‟autorisation pour exercer les activités relatives aux bourses des titres Une demande d‘autorisation pour exercer les activités relatives aux bourses des titres doit être soumise à l‘Autorité dans un formulaire 1 figurant en Annexe 1 de la présente Réglementation. La demande d‘être autorisé à être une bourse des titres doit s‘accompagner de ce qui suit : (a) les renseignements sur le requérant, y compris le nom, l‘adresse, les informations sur les membres de la haute direction et du Conseil d‘Administration et les critères d‘adhésion; (b) L‘acte constitutif, si le requérant est une personne morale; (c) Une copie des règlements régissant le requérant;

Official Gazette nº 26bis of 25/06/2012 10 (e) The prescribed fees; (f) The required particulars which are: (i) particulars of any arrangements which the applicant has made, or proposes to make, for the provision of clearing services in respect of transactions effected on the exchange; (ii) if the applicant proposes to provide clearing services in respect of transactions other than those effected on the exchange, particulars of the criteria which the applicant will apply when determining to whom it will provide those services. (g) Such additional information or documents as may be required by the Authority Article 5. Application for Approval of a Foreign Securities Exchange An application for approval as a foreign securities exchange by a foreign licensed or approved applicant must: babe abanyamuryango; (b) Amategeko ashyiraho isosiyete iyo ari isosiyete isaba; (c) Kopi y‘amategeko ngangamikorere y‘usaba; (d) Kopi y‘amabwiriza ayo ari yo yose yashyizweho n‘usaba; (e) Amafaranga asabwa kwishyurwa; (f) Amakuru asabwa akurikira: (i) amakuru yerekeye amasezerano ayo ari yo yose usaba yagiranye n‘abandi cyangwa ateganya kugira mu rwego rwo gutanga serivisi z‘isuzuma n‘iyishyurana mu rwego rw‘ubucuruzi ku isoko ry‘imari n‘imigabane; (ii) iyo usaba ateganya gutanga servisi z‘isuzuma n‘iyishyurana mu rwego rw‘ibikorwa by‘ubucuruzi budafite aho buhuriye n‘isoko ry‘imari n‘imigabane ni ngombwa gutanga amakuru yerekeranye n‘ibyo usaba ashakako abo azaha izo serivisi bagomba kuzaba bujuje. (g) Andi makuru ndetse n‘inyandiko by‘inyongera Ikigo gishobora kubonako ari ngombwa. (d) Une copie de toute directive émise par le requérant ; (e) Les frais requis; (f) Les détails nécessaires qui sont : (i) les détails des accords que le requérant a conclus ou envisage de conclure pour la fourniture de services de compensation en rapport avec des transactions effectuées en matière de bourses; (ii) si le requérant envisage de fournir des services de compensation en rapport avec des transactions autres que celles effectuées en matière de bourses, les détails sur les critères que le requérant devra appliquer dans la détermination de la personne à laquelle il fournira ces services. (g) Les informations ou les documents supplémentaires qui peuvent être requis par l‘Autorité Article 5: Demande d‟autorisation par une bourse de titres étrangère Une demande d‘être autorisé à être une bourse des titres étrangère par un requérant agréé et approuvé à l‘étranger doit :

Article 6: Additional Requirements for Approval of Securities Exchanges An application for approval of a securities exchange under Article (4) or recognition of a foreign securities exchange under article (5) shall be accompanied by-- (a) Listing particulars of the exchange providing for the criteria for approval for listing of securities. Official Gazette nº 26bis of 25/06/2012 14 Article 7: Criteria for Approval of Securities Exchanges The Authority shall take the following into account when considering applications for approval of a securities exchange under article 4 or applications for approval of a foreign securities exchange under article (5). (a) Financial Resources The securities exchange must have financial resources sufficient for the proper performance of its functions. (b) Safeguards for investors (i) The rules and practices of the securities exchange must ensure that business conducted by means of its facilities is conducted in an orderly manner and so as to afford proper protection to investors. (b) Garanties aux investisseurs: (i) Les règles et les pratiques de la bourse de titres doivent permettre de s‘assurer que les activités menées par le biais de ses installations sont réalisées d‘une manière ordonnée et ce, en vue d'assurer une protection adéquate des investisseurs.

Official Gazette nº 26bis of 25/06/2012 15 (a) Limit dealings on the exchange to capital market instruments in which there is a proper market; (b) where relevant, require issuers of capital markets instruments dealt in on the exchange to comply with such obligations as will, so far as possible, afford to persons dealing in the capital markets instruments proper information for determining their current value; (iii)The exchange must either have its own arrangements for ensuring the performance of transactions effected on the exchange or ensure their performance by means of services provided under clearing arrangements made by it with an approved clearing house; (iv) The exchange must either itself have or secure the provision on its behalf of satisfactory arrangements for recording the transactions effected on the exchange. (iii) La bourse doit, soit disposer de propres arrangements pour assurer la performance des transactions effectuées sur la la bourse ou assurer leur performance par le biais des services fournis en vertu des accords de compensation conclus entre elle et une chambre de compensation autorisée ; (iv) La bourse doit soit elle-même avoir ou chercher la fourniture en

Official Gazette nº 26bis of 25/06/2012 16 (c) Monitoring and Enforcement (i) The securities exchange must have adequate arrangements and resources for the effective monitoring and enforcement of compliance with its rules and any clearing arrangements made by it; (ii) The arrangements for monitoring may make provision for that function to be performed on behalf of the securities exchange (and without affecting its responsibility) by any other body or person who is able and willing to perform it. (d) Investigation of Complaints The securities exchange must have effective arrangements for the investigation of complaints in respect of business transacted by means of its facilities. (c) Suivi et application (i) La bourse de titres doit disposer des arrangements et des ressources appropriés pour le suivi et l'application efficaces du respect de ses règlements et de tous les accords de compensation conlus par elle ; (ii) Les modalités de suivi peuvent indiquer que la fonction à remplir pour le compte de la bourse de titres (et sans affecter sa responsabilité) par tout autre organe ou personne qui est capable et désireux de l‘accomplir. (d) Enquête sur les plaintes La bourse de titres doit disposer des mécanismes efficaces pour enquêter sur les plaintes à l'égard des activités ayant fait l‘objet de transactions par le biais de ses installations.

Official Gazette nº 26bis of 25/06/2012 17 The securities exchange must be able and willing to promote and maintain high standards of integrity and fair dealing in the carrying on of capital markets business and to co-operate, by the sharing of information and otherwise, with the Authority and any other Authority, body or person having responsibility for the supervision or regulation of capital markets business or other financial services. (f) Supplementary (i) Article (7) applies to securities exchanges only so far as they provide facilities for the carrying on of capital markets business; and nothing in this regulation shall be construed as requiring a securities exchange to limit dealings on the exchange to dealings in capital markets instruments. (ii) The references in this article (7) and elsewhere in these regulations or the Act, to ensuring the performance of inshingano zaryo). (f) Ingingo y‟inyongera (i) Ingingo ya 7 ireba n‘isoko ry‘ibicuruzwa ku isoko ry‘imari n‘imigabane gusa igihe iryo soko ritanga ibikoresho byaryo kugira ngo (e) Promotion et maintien des normes La bourse de titres doit être capable et désireux de promouvoir et de maintenir des normes élevées d‘intégrité et de loyauté dans la réalisation des activités du marchés des capitaux et de coopérer, par l‘échange d‘informations et d‘une autre manière, avec l‘Autorité et toute autre Autorité, organe ou une personne dont la mission consiste en la supervision ou la réglementation des activités du marché des capitaux ou d‘autres services financiers. (f) Disposition supplémentaire (i) l‘article 7 ne s‘applique aux bourses de titres que dans la mesure où elles fournissent des installations pour l‘exercice des activités du marché des capitaux, et aucune disposition de la présente réglementation ne doit être interprétée comme exigeant une bourse de titres de limiter les transactions de bourse aux instruments afférents au marché des capitaux.

CHAPITRE IX: DECISIONS SUR LES DEMANDES PRESENTEES CONFORMEMENT A LA PRESENTE REGLEMENTATTION

The notice must state the date from which the license or approval, or the variation takes effect. If the Authority proposes to limit, restrict or impose requirements in respect of a license or approval, it must give the applicant a warning notice. Article 19: Grant and Refusal of License or Approval The Authority may, on an application duly made and after being furnished with all such information as it may require under that section, grant or refuse the application. The Authority shall grant the application if it appears to it from the information furnished by the applicant and having regard to any other information in its possession that the applicant is a fit and proper person to carry on the business for which the license application is made and provide the services described in the application. cyakiriye ubwo busabe bwuzuye. Ingingo ya 19: Gutanga cyangwa kwanga gutanga icyemezo cyangwa uruhushya Ikigo gishobora, nyuma yo gushyikirizwa Article 18: Décision sur les demandes Une décision sur la demande adressée conformément à la présente réglementation doit être prise par l‘Autorité dans les 30 jours calendriers à compter de la date à laquelle elle a reçu la demande remplie. L‘Autorité peut prendre une décision sur une demande incomplète si elle le juge approprié, et doit en tout état de cause prendre une décision sur une telle demande dans les 15 jours calendriers à compter de la date à laquelle elle a reçu la demande. Le requérant peut retirer sa demande par notification écrite à l‘Autorité à tout moment avant que l‘Autorité ne prenne une décision sur cette demande. Si l‘Autorité accepte d‘accorder une licence demandée ou de modifier une licence, d‘accorder une autorisation ou reconnaissance, elle doit le notifier au requérant par écrit. Article 20: Authority‟s Power to Vary a License or Approval The Authority may, on its own initiative and for sufficient cause, vary any license or approval in respect of a regulated activity. Where the reasons stated in a notice under this article relate specifically to matters which: (a) refer to a person identified in the notice other than the applicant or the holder of the license, approval or recognition; and (b) are in the opinion of the Authority prejudicial to that person in any office or employment; the Authority shall, unless it considers it impracticable to do so, serve a copy of the notice on that person. The Authority may refuse to withdraw a license or approval if it considers that public interest requires any matter affecting the licensed or approved person to be investigated as a preliminary to a decision on the question whether the Authority should in respect of that person exercise its powers under the Act or these regulations. The Authority may also refuse to withdraw a license or approval where in its opinion it is desirable that a prohibition or restriction should be imposed on the licensed or approved or that a prohibition or restriction imposed on that person should continue in force. The Authority may give public notice of any withdrawal of license or approval under paragraph (1) above. Article 23: Retrait des demandes et des licences ou des autorisations par consentement Une demande de licence ou d‘une autorisation peut être retirée avant que l‘Autorité n‘accorde ou ne refuse d‘accorder cette licence ou autorisation et, sous réserve des alinéas (2) et (3) ci￾dessous, une licence ou une autorisation accordée pour l‘exercice des activités du marché de capitaux peut être retirée par l‘Autorité à la demande ou avec le consentement de la personne titulaire de la licence ou de l‘autorisation. L‘Autorité peut refuser de retirer une lience ou une autorisation si elle estime que l‘intérêt public exige que toute question touchant la personne titulaire d‘une licence ou d‘une autorisation fasse l‘objet des investigations préalables avant de prendre une décision sur la question de savoir si l‘Autorité doit, à l‘égard de cette personne,

CHAPTER X: MISCELLANEOUS AND SUPPLEMENTARY Article 25: General Duty to Comply Every holder of a license or approval granted under these regulations shall at all times comply with all the requirements of the Act and regulations made under the Act and any conditions imposed on him by the Authority. Iyo uwahawe icyemezo cyangwa uruhushya atishimiye icyemezo cyafashwe n‘Ikigo gishingiye ku bubasha bwacyo ashobora kujuririra Akanama k‘ubujurire gateganijwe mu Itegeko rigenga isoko ry‘imari n‘imigabane mu Rwanda ryatangajwe mu mwaka wa 2011. UMUTWE WA X : INGINGO ZINYURANYE N‟IZ‟INYONGERA Ingingo ya 25: Inshingano rusange yo exercer ses pouvoirs en vertu de la Loi ou de la présente Réglementation. L‘Autorité peut aussi refuser de retirer une licence ou une autorisation si, à son avis, il est souhaitable que l‘interdiction ou la restriction soit imposée sur la personne titulaire d‘une licence ou d‘une autorisation ou que l‘interdiction ou la restriction imposée sur cette personne continue de rester en vigueur. L‘Autorité peut donner un avis public du retrait d‘une licence ou d‘une autorisation quelconque en vertu de l‘alinéa premier (1) ci-dessus. Article 24: Droit de saisir le Comité de recours du marché des capitaux Un requérant qui est lésée par la décision prise en rapport avec sa demande adressée en vertu de cette Réglementation peut saisir le Comité de recours mis en place en vertu de la Loi portant régulation du marché des capitaux au Rwanda publiée en 2011. CHAPTER XI: FIT AND PROPER REQUIREMENTS FOR LICENSED AND APPROVED PERSONS Article 27: Application of Fit and Proper Requirements These requirements apply to corporate bodies and individuals either seeking or who have been granted a license or approval in respect of a regulated activity. (b) Competence and Capability. This includes an assessment of whether the person: (i) satisfies the relevant training and competence requirements in relation to the functions they are required or intend to perform; (ii) Has demonstrated by experience and training, ability to perform the required functions. (c) Financial Soundness. Article 28: Repealing of inconsistent provisions All prior regulatory provisions contrary to this regulationsare hereby repealed.
