Mergers and Acquisitions Directive for Banks and Specialised Deposit-Taking Institutions

The Bank of Ghana issues this directive to establish a standardized three-stage approval process for mergers and acquisitions involving banks and specialised deposit-taking institutions. It requires applicants to secure pre-merger consent, provisional approval, and final authorization by demonstrating fit-and-proper management, adequate capital and liquidity, robust risk frameworks, and comprehensive valuation documentation. The framework ensures that approved transactions enhance financial system stability, protect depositors and creditors, and maintain competitive market conditions without impeding prompt corrective actions.
