Board of Directors Decision No. (67) of 2018 Dated 26/4/2018

Regarding Fees for Certain Services Provided by the Authority in the Securities Field

The Board of Directors of the Financial Regulatory Authority

Having reviewed the Law on Joint Stock Companies, Limited Partnerships with Shares, Limited Liability Companies, and Single-Person Companies issued by Law No. (159) of 1981;

And the Capital Market Law issued by Law No. (95) of 1992 and the decisions issued in implementation thereof;

And Law No. (10) of 2009 regulating supervision over non-banking financial markets and instruments;

And Presidential Decree No. (191) of 2009 on the provisions governing the management and financial affairs of the Egyptian Exchange;

And Presidential Decree No. (192) of 2009 issuing the Statute of the Financial Regulatory Authority;

And Board of Directors Decision No. (11) of 2014 regarding the rules for listing and delisting securities on the Egyptian Exchange and amendments thereto;

And Board of Directors Decision No. (125) of 2017 regarding the determination of fees for certain services provided by the Authority in the securities field;

And the approval of the Board of Directors at its meeting held on 26/4/2018.

Has Decided

(Article One)

The Authority shall charge a fee for services related to examining and reviewing applications for issuing shares of capital increases at a rate of one-quarter per thousand of the issuance value, and the fee shall be one-half per thousand in the event of capital increase with the exercise of pre-emptive rights of existing shareholders and trading of subscription rights.

(Article Two)

The Authority shall charge a fee for services related to examining and reviewing applications for offering investment certificates and securities not listed on the Egyptian Exchange in a public offering in the primary market at a rate of one per thousand of the value of the securities to be offered, and the fee shall be one-half per thousand of the value of the securities to be offered in a private placement.

(Article Three)

The Authority shall charge a fee for examining and reviewing notarization requests for minutes of general assemblies and board of directors meetings of companies at a rate of three hundred Egyptian pounds (EGP 300) for each minute of the ordinary general assembly and board of directors meeting, and seven hundred Egyptian pounds (EGP 900) for each minute of the extraordinary general assembly.

(Article Four)

This Decision shall be enforced from the day following its issuance, and all provisions conflicting with its provisions are hereby repealed. The competent departments within the Authority shall implement it according to their respective jurisdictions.
