Central Bank of Armenia Resolution No. 39-N Amending Resolutions 116-N and 115-N on Investment Fund Manager Regulations

The Board of the Central Bank of the Republic of Armenia issued Resolution No. 39-N to amend Regulations 10/01 and 10/05 governing investment fund managers. These changes align requirements for managers and qualifying holders with international standards and enhance the effectiveness of existing supervisory procedures. The resolution entered into force on the day following its official publication on March 13, 2025.

Introducing Additions and Changes to the Republic of Armenia Central Bank Board Resolution No. 116-N, dated May 2, 2011, and the Republic of Armenia Central Bank Board Resolution No. 115-N, dated May 2, 2011

For the purpose of aligning the requirements to managers and qualifying holders with international standards and increasing the effectiveness of the procedures in use; Pursuant to Article 2 (3) and Article 20 (1) (“e”) of the Republic of Armenia Law “On the Central Bank of the Republic of Armenia”, and Article 33 (1) and (3) and Article 34 of the Republic of Armenia Law “On Normative Legal Acts”, the Board of the Central Bank of the Republic of Armenia

E n a c t s:

  1. Introduce the following additions and changes to Regulation 10/01 “Registration and Licensing of Investment Fund Managers and Branches of Foreign Investment Fund Manager; Registration of Branches of Investment Fund Manager, Representative Offices of Investment Fund Manager and Foreign Investment Fund Manager; Reregistration and Relicensing of Investment Companies as Investment Fund Managers; Acquiring Qualified Holding in Statutory Capital of Investment Fund Manager; Procedure, Method and Timeframe for Presenting the Business Plans, and Reports on Changes to and Implementation of the Business Plans by Investment Fund Managers, their Branches and Branches of Foreign Investment Fund Manager” as endorsed under the Republic of Armenia Central Bank Board Resolution No. 116-N, dated May 2, 2011 on “Approving Regulation 10/01 “Registration and Licensing of Investment Fund Managers and Branches of Foreign Investment Fund Manager; Registration of Branches of Investment Fund Manager, Representative Offices of Investment Fund Manager and Foreign Investment Fund Manager; Reregistration and Relicensing of Investment Companies as Investment Fund Managers; Acquiring Qualified Holding in Statutory Capital of Investment Fund Manager; Procedure, Method and Timeframe for Presenting the Business Plans, and Reports on Changes to and Implementation of the Business Plans by Investment Fund Managers, their Branches and Branches of Foreign Investment Fund Manager”” (hereinafter referred to as the “Regulation 10/01”):

Introduce the following additions and changes to Regulation 10/05 “Qualification of Management of Investment Fund Managers and Individuals Carrying Out Activities on Behalf of or Within the Investment Fund Manager, Professional Integrity Criteria to Managers and Registration Procedure” as endorsed under the Republic of Armenia Central Bank Board Resolution No. 115-N, dated May 2, 2011 on “Approving Regulation 10/05 “Qualification of Management of Investment Fund Managers and Individuals Carrying Out Activities on Behalf of or Within the Investment Fund Manager, Professional Integrity Criteria to Managers and Registration Procedure”” (hereinafter referred to as the “Regulation 10/05”):
