Instructions for Registration in the Exchange Companies Register

The Central Bank of Kuwait mandates exchange companies to submit amended Articles of Association, strictly adhere to their recorded business activities, and utilize standardized application forms for initial registration or detail amendments. Issued in 2009 and updated in December 2014, the instructions require companies to provide supporting documentation, including commercial licenses, Civil IDs for directors and partners, and auditor details, to ensure accurate registry records. These procedures operate under Article 8 of the relevant Ministerial Resolution and Article 10 of Law No. 32 of 1968, establishing clear compliance pathways for maintaining operational legitimacy within the Kuwaiti financial sector.

Instructions concerning the necessity of providing The Central Bank of Kuwait with the exchange companies’ amended Articles of Association and companies’ compliance with the activities recorded therein. 2 Manager Jumada Al-Ula 17, 1430 May 12, 2009 THE GENERAL MANAGER, Circular to all Exchange Companies It is noted that some exchange companies, having obtained approval from the Central Bank of Kuwait to amend their Articles of Association, failed to provide The Central Bank of Kuwait with their final amended version indicating the amendments made, also failed to apply for the notification in the exchange companies register thereof. Exchange Companies that had not yet provided The Central Bank of Kuwait with the required information and amendments should, as soon as possible, provide us with a copy of their Articles of Association and the approved amendments thereof including their request to apply for the notification in the exchange companies register. Furthermore, The Central Bank of Kuwait hereby stresses exchange companies to adhere to the activities recorded in their Articles of Association and not to engage in any other activities unstated therein.
