Regulation on the Criteria for Designation of a Significant Bank

Banka Slovenije issues this Regulation to establish detailed criteria for designating significant banks under the Banking Act. The authority designates a bank as significant if it is classified as other systemically important or among the three most significant credit institutions in Slovenia. Designated banks must comply with specific prudential requirements within three months, and the previous regulation on this matter is repealed upon entry into force.

THIS TEXT IS UNOFFICIAL TRANSLATION AND MAY NOT BE USED AS A BASIS FOR SOLVING ANY DISPUTE Page 1 of 3 • Official Gazette of the Republic of Slovenia, No. 675/26 of 20 May 2026 (in force as of 4 June 2026) Pursuant to the third paragraph of Article 7 of the Banking Act (Official Gazette of the Republic of Slovenia, No. 15/26, hereinafter: ZBan-4) and the first paragraph of Article 31 of the Bank of Slovenia Act (Official Gazette of the Republic of Slovenia, Nos. 72/06 [official consolidated version], 59/11, 55/17 and 15/26 [ZBan-4]), the Governing Board of Banka Slovenije hereby issues the following R E G U L A T I O N on the criteria for designation of a significant bank Article 1 (content of regulation) (1) This Regulation sets forth detailed criteria for the designation of a significant bank, savings bank or credit undertaking (hereinafter: bank) in connection with the application of the requirements for significant banks determined by ZBan-4 as follows: a) in connection with the conditions for members of the management body who simultaneously hold multiple directorships (third paragraph of Article 45 ZBan-4); b) in connection with the appointment of a remuneration committee and a nomination committee (fourth paragraph of Article 58 ZBan-4); and c) in connection with the deferral period of variable remuneration for a member of the management body and senior management (point 4 of the second paragraph of Article 221 ZBan￾4). (2) The provisions of this Regulation shall apply mutatis mutandis to parent financial holding companies of the Republic of Slovenia, parent mixed financial holding companies of the Republic of Slovenia, EU parent financial holding companies and EU parent mixed financial holding companies, all established in the Republic of Slovenia and approved in accordance with Article 108 ZBan-4. (3) Whenever this Regulation makes reference to the provisions of other regulations, these provisions shall apply in their wording valid at the time in question. Article 2 (definition of terms) The terms used in this Regulation shall have the same meanings as ascribed to them in ZBan-4 and in regulations issued on its basis. Article 3 (criteria for designation of significant bank) (1) The criteria defined in the regulations below shall be applied to the designation of significant bank under point 28 of the first paragraph of Article 7 ZBan-4: a) the Regulation on the application of the Guidelines on the criteria to determine the conditions of application of Article 131(3) of Directive 2013/36/EU (CRD) in relation to the assessment of other systemically important institutions (O-SIIs) (Official Gazette of the Republic of Slovenia, Nos. 66/15 and 68/17); and b) Council Regulation (EU) No 1024/2013 of 15 October 2013 conferring specific tasks on the European Central Bank concerning policies relating to the prudential supervision of credit institutions (OJ L 287, 29.11.2013, p. 63, hereinafter: Regulation 1024/2013/EU). (2) With due regard to the previous paragraph, Banka Slovenije shall designate a bank as significant under point 28 of the first paragraph of Article 7 ZBan-4 if it meets any of the conditions below:

THIS TEXT IS UNOFFICIAL TRANSLATION AND MAY NOT BE USED AS A BASIS FOR SOLVING ANY DISPUTE Page 2 of 3 a) Banka Slovenije has designated the bank as other systemically important bank in accordance with Article 284 ZBan-4; b) The European Central Bank has designated the bank as one of the three most significant credit institutions in the Republic of Slovenia under the fifth subparagraph of the fourth paragraph of Article 6 of Regulation 1024/2013/EU. Article 4 (decision on designation of significant bank) (1) Banka Slovenije shall establish by decision that a bank meets the criteria set out in the previous article and can therefore be designated as a significant bank. (2) A bank that has been designated by decision as significant pursuant to the previous article shall meet all the requirements set out for a significant bank by ZBan-4 and by regulations issued on its basis. (3) If circumstances arise after a decision designating a significant bank is issued that mean that the bank no longer meets the criteria set out in the previous article, Banka Slovenije shall, at the bank’s proposal or ex officio, issue a decision withdrawing its status as a significant bank. Article 5 (compliance with requirements) (1) Where the requirements for a bank are changed under a decision issued pursuant to this Regulation, the bank shall comply with the new requirements no later than three months after the day the decision was received. (2) The previous paragraph notwithstanding, Banka Slovenije may, at the bank’s proposal or ex officio, decide on a different period for the bank’s compliance with the aforementioned requirements. Article 6 (continued validity of decisions) From the day this Regulation enters into force, Decisions on the designation of significant banks issued pursuant to the Regulation on the criteria for designation of a significant bank (Official Gazette of the Republic of Slovenia, Nos. 115/21 and 15/26 [ZBan-4]) shall be regarded as decisions issued under this Regulation. Article 7 (repeal of previous regulation) On the day this Regulation enters into force, the Regulation on the criteria for designation of a significant bank (Official Gazette of the Republic of Slovenia, Nos. 115/21 and 15/26 [ZBan-4]) shall cease to be in force. Article 8 (entry into force) This Regulation shall enter into force on the fifteenth day after its publication in the Official Gazette of the Republic of Slovenia (Uradni list Republike Slovenije).
