The Financial Regulatory Authority of Egypt issued Decision No. 55 of 2018 to establish mandatory publication rules and channels for companies offering securities in public offerings or listed on the Egyptian Exchange. The decision mandates that full prospectuses, financial statements, and material event disclosures be published on the Authority's designated website, the Egyptian Exchange trading screens, and specified Arabic-language newspapers, while summaries are required for listed companies. Additionally, the decision stipulates that publications on the Authority's website are free of charge, amends existing listing and delisting rules to align with these requirements, and takes effect the day following its publication in the Egyptian Gazette.

Regarding Publication Rules and Means for Companies That Offered Securities in a Public Offering or Have Securities Listed on the Egyptian Exchange
After reviewing the Law on Joint Stock Companies, Limited Partnerships with Shares, Limited Liability Companies, and Single-Person Companies issued by Law No. (159) of 1981 and its Executive Regulations;
And the Capital Market Law issued by Law No. (95) of 1992 and the decisions issued in implementation thereof;
And Law No. (10) of 2009 regulating supervision over non-banking financial markets and instruments;
And Presidential Decision No. (192) of 2009 issuing the Basic Statute of the Financial Regulatory Authority;
And the Authority's Board of Directors Decision No. (11) of 2014 regarding the rules for listing and delisting securities on the Egyptian Exchange and its amendments;
And the approval of the Authority's Board of Directors at its meeting held on 26/4/2018.
The following publication rules and means shall apply to companies that offered securities or financial instruments in a public offering or companies whose securities are listed on the Egyptian Exchange:
The full prospectus of the public offering approved by the Authority shall be published on a website designated by the Authority for this purpose for companies offering securities or financial instruments in a public offering, from the day following the Authority's approval date until the closing date of the offering subscription (at minimum).
The summary of the prospectus of the public offering approved by the Authority shall be published for companies whose securities are listed on the Egyptian Exchange on the company's designated website, as well as in accordance with Article (7) of the rules for listing and delisting securities on the Egyptian Exchange, in one of the daily newspapers and Al-Wasat Al-Masri published in Arabic, according to the form prepared by the Authority for this purpose.
In the case of bonds, Sukuk, and short-term financial instruments with a maturity not exceeding sixty days, publication shall be in accordance with the provision of the first paragraph.
The full public offering prospectus, disclosure report on offering presentation, or disclosure report on trading commencement shall be published on a website designated by the Authority for this purpose, as well as on the Egyptian Exchange trading screens and the company's website, from the day following the Authority's approval date until the trading commencement date of the securities (at minimum).
The summary of the public offering prospectus, disclosure report on offering presentation, or trading commencement report on the Egyptian Exchange approved by the Authority shall be published for companies whose securities are listed on the Egyptian Exchange in accordance with Article (7) of the rules for listing and delisting securities on the Egyptian Exchange, in one of the daily newspapers and Al-Wasat Al-Masri published in Arabic, according to the form prepared by the Authority for this purpose.
Publication of the offering prospectus or disclosure report on offering presentation or trading for small and medium-sized companies submitted in accordance with Article (9) of the rules for listing and delisting securities shall be in accordance with the provision of the first paragraph of this Article.
Companies that offered securities in a public offering or companies whose securities are listed on the Egyptian Exchange shall publish the full annual and periodic financial statements, accompanying notes, and the auditor's report thereon on the website designated by the Authority for this purpose. This shall also be published for companies whose securities are listed on the Egyptian Exchange on the Egyptian Exchange screens.
And the company's website shall remain accessible until the publication of the following annual or periodic statements, as applicable.
The companies referred to in the preceding paragraph shall be obligated to publish a summary of the annual financial statements, accompanying notes, and the auditor's report thereon in one of the daily newspapers and Al-Wasat Al-Masri published in Arabic, according to the form prepared by the Authority for this purpose.
Companies that offered securities in a public offering shall be obligated to disclose a summary of material events that could affect their operations or financial position in one of the widely circulated Egyptian daily newspapers published in Arabic, according to the form prepared by the Authority for this purpose. They shall also be obligated to make all information regarding the aforementioned material events available at their headquarters and branches to their shareholders for a period of no less than three months from the date of publication.
Companies whose securities are listed on the Egyptian Exchange shall also be obligated to disclose the aforementioned material events on the trading screens.
Publication on the website designated by the Authority for this purpose, in the circumstances stipulated in Article One of this Decision, shall be free of charge.
The provisions contained in the rules for listing and delisting securities on the Exchange regarding publication shall be amended in accordance with the provisions of this Decision, and any provision conflicting with this Decision shall be repealed.
This Decision shall be published in the Egyptian Gazette and on the websites of both the Authority and the Egyptian Exchange, and shall take effect from the day following its issuance date.
