Enacted by the President and National Assembly of Seychelles, this Act establishes a statutory framework for creating and regulating limited partnerships. It requires partnerships to include at least one general partner bearing full liability for debts and one or more limited partners whose exposure is capped to their contributed capital, provided they do not directly conduct business. The legislation further mandates the appointment of a Registrar, compulsory maintenance of partnership and accounting registers, timely filing of registration statements and changes, and specific dissolution procedures with associated compliance penalties.
