Decision of the Chairman of the Authority No. 283 Dated 2012/4/6 Regarding Rules for Trading Subscription Rights

The Egyptian Financial Supervisory Authority issued Decision No. 283 of 2012 to formally approve and adopt the Egyptian Exchange's rules governing the trading of subscription rights. The decision mandates that all subscription right transactions be subject to the Exchange's existing trading, settlement, and supervisory regulations applicable to listed company shares, in compliance with Chapter Twelve of the Capital Market Law's executive regulations. This decision takes effect on July 1, 2012, and requires the Exchange and relevant authorities to implement the stipulated oversight measures.

Regarding Rules for Trading Subscription Rights


Chairman of the Egyptian Financial Supervisory Authority

Having reviewed the Joint Stock Companies, Partnerships Limited by Shares and Limited Liability Companies Law issued by Law No. 159 of 1981 and its executive regulations and amendments;

And the Capital Market Law issued by Law No. 95 of 1997 and its executive regulations and decisions issued in implementation thereof;

And the Central Depository and Registration of Securities Law issued by Law No. 93 of 2000 and its executive regulations;

And Law No. 100 of 2009 regulating supervision over non-banking financial markets and instruments;

And Presidential Decree No. 191 of 2009 regarding the provisions organizing the Egyptian Exchange and its financial affairs;

And the Bylaws of the Egyptian Financial Supervisory Authority issued by Presidential Decree No. 192 of 2009;

And the Rules for Listing, Continued Listing, and Delisting of Securities issued by a decision of the Board of Directors of the General Authority for the Capital Market No. 30 of 2002 dated 2002/6/18 and its amendments;

And the Rules for Trading, Settlement, and Supervision of Small and Medium-sized Company Shares on Exchange Boards issued by a decision of the Chairman of the Egyptian Financial Supervisory Authority No. (738) of 2011;

And the Rules for Listing Securities Issued by Small and Medium-sized Companies issued by a decision of the Board of Directors of the General Authority for the Capital Market No. (81) of 2011 dated 2011/10/17;

And the approval of the Board of Directors of the Exchange for the Rules for Trading Subscription Rights contained in the letter from Dr. / Chairman of the Exchange dated 2012/2/20;


Has Decided

(Article One)

Approval of the adoption of the Rules for Trading Subscription Rights issued by the Board of Directors of the Exchange and contained in the Chairman of the Exchange's letter dated 2012/2/20, as follows:

(Subject to the provisions of Chapter Twelve of the Executive Regulations of the Capital Market Law issued by Law No. (95) of 1997, all trading rules currently in effect at the Exchange shall apply to the trading of subscription rights, with the following considerations:


(Article Two)

Transactions conducted on subscription rights shall be subject to all applicable supervision and oversight rules governing transactions conducted on shares of companies listed on the Egyptian Exchange.


(Article Three)

This Decision shall be published in the Egyptian Gazette and on the websites of the Authority and the Egyptian Exchange, and shall take effect as of July 1, 2012. The Egyptian Exchange and relevant authorities shall each implement the parts pertaining to them.
