Regulation on the Structure and Content of Financial Reports and Other Reports of UCITS Fund Management Companies – Unofficial Consolidated Text (Narodne novine, Nos. 105/17 and 155/22)

The Croatian Financial Services Supervisory Agency issues this Regulation to prescribe the structure, content, submission deadlines, and publication requirements for annual and half-yearly financial reports, additional asset-liability structure reports, and the chart of accounts for UCITS fund management companies. It mandates electronic submission within two to four months, requires external audit of annual reports, and establishes standardized forms for the statement of financial position, comprehensive income, cash flows (direct/indirect), changes in equity, and notes. The Regulation entered into force on 1 January 2023, applying to reporting periods from that date, while repealing the previous 2017 version.

INTRODUCTORY PROVISIONS Article 1. This Regulation prescribes: – the structure and content, as well as publication, method and deadlines for submission of annual and half-yearly financial reports; – the structure and content, as well as method and deadlines for submission of other reports that fund management companies are obliged to prepare for the needs of the Croatian Financial Services Supervisory Agency (hereinafter: the Agency); – the chart of accounts for fund management companies.

OBLIGATED PARTY FOR PREPARATION AND SUBMISSION Article 2. (NN 155/22) The obligated party for preparation and submission of reports under Article 1 of this Regulation is the fund management company to which the Agency has issued a working permit under Article 23 of the Open-Ended Investment Funds with Public Offering Act (»Narodne novine«, Nos. 44/16, 126/19, 110/21 and 76/22, hereinafter: the Act).

MAINTENANCE OF ACCOUNTING BOOKS AND PREPARATION OF FINANCIAL REPORTS Article 3. (1) The fund management company is obliged to maintain accounting books and prepare annual financial reports and financial reports for the first half-year of the business year (hereinafter: financial reports) in accordance with the Act and regulations governing the accounting of entrepreneurs, as well as International Financial Reporting Standards. (2) The fund management company is obliged to record business events in its accounting books using accounts at least within the scope prescribed by the chart of accounts from Appendix 1, which forms an integral part of this Regulation.

CONTENT AND FORM OF FINANCIAL REPORTS Article 4. (1) The financial reports of the fund management company comprise the reports from Article 67, paragraph 2 of the Act. (2) The content and form of financial reports of the fund management company are prescribed by the forms from Appendix 2, which form an integral part of this Regulation.

ADDITIONAL REPORT Article 5. (1) The fund management company is obliged, in addition to the financial reports from Article 4 of this Regulation, to prepare a report on the structure of financial assets and liabilities of the fund management company. (2) The content and form of the report on the structure of financial assets and liabilities of the fund management company are prescribed by the forms from Appendix 3, which form an integral part of this Regulation.

REPORTING PERIODS Article 6. (1) The fund management company is obliged to prepare: – financial reports from Article 4, paragraph 1 of this Regulation for the business year and the first six months of the business year; and – reports on the structure of financial assets and liabilities from Article 5 of this Regulation as at the last day of the business year and as at the last day of the half-year reporting period from the first six months of the business year. (2) Annual financial reports from Article 4, paragraph 1 of this Regulation must be audited by an external independent authorized auditor, and are prepared in accordance with the structure and content defined by the forms Financial Reports of Fund Management Companies from Appendix 2 of this Regulation. (3) Notes to financial reports for the first half-year of the business year should cover only significant business events and changes in accounting policies compared to the last published annual financial reports. (4) The fund management company, when preparing the statement of cash flows, may use either the direct or indirect method. (5) In addition to data from financial reports under Article 4, paragraph 1 and reports under Article 5 of this Regulation, the Agency may request additional data, information, and explanations for certain items in the reports.

DEADLINES AND METHOD OF SUBMISSION Article 7. The fund management company is obliged to submit reports from Article 6, paragraphs 1 and 2 of this Regulation: – those prepared for the first six months with status as at the last day of the half-year reporting period, within two months from the end of the reporting period; – those prepared for the business year with status as at the last day of the reporting period, within four months from the end of the reporting period.

Article 8. (NN 155/22) (1) The fund management company submits to the Agency reports from Article 6, paragraph 1 of this Regulation in electronic form, signed in accordance with the Agency's technical instruction. (2) The fund management company is obliged to submit annual financial reports from Article 6, paragraph 2 of this Regulation, together with the auditor's report on the completed audit of annual financial reports and the annual management report, in the manner and in accordance with Hanfa's Technical Instruction. (3) In addition to reports from Article 6 of this Regulation, the fund management company is obliged to submit upon request by the Agency other documentation or data for supervision purposes or for performing other functions within the Agency's competence and scope of work, in the manner prescribed by provisions of this article and within the deadline specified in the request. (4) The Agency may, if necessary, request the fund management company to submit certain documentation prescribed by this Regulation in original or certified copy, regardless of electronic submission already performed.

PUBLICATION OF FINANCIAL REPORTS Article 9. (1) The fund management company is obliged to publish audited annual financial reports (together with the auditor's report on the completed audit of annual financial reports and the annual management report) and financial reports for the first half-year of the business year on its website, within deadlines identical to those in Article 7 of this Regulation. (2) The fund management company is obliged to have published on its website audited annual financial reports from Article 6, paragraph 2 of this Regulation for at least the last 5 business years, or shorter if the fund management company has operated for less than 5 years.

Article 10. This Regulation enters into force on the eighth day from the date of publication in »Narodne novine«, and is first applied to half-yearly financial and additional reports as at 30 June 2018.

Article 11. With the start of application of this Regulation, the Regulation on the Structure and Content of Financial Reports and Other Reports of UCITS Fund Management Companies (»Narodne novine«, No. 41/17) ceases to apply.

Regulation on Amendments to the Regulation on the Structure and Content of Financial Reports and Other Reports of UCITS Fund Management Companies (NN 155/22), entered into force on 1 January 2023.

TRANSITIONAL AND FINAL PROVISIONS Article 5. (1) This regulation shall be published in »Narodne novine« and enters into force on 1 January 2023. (2) Provisions of Articles 2 and 3 of this Regulation are first applied to reporting periods starting from 1 January 2023.
