Guidelines on the Offering of Structured Products

The Securities Commission of Malaysia issued these guidelines to regulate the issuance and offering of unlisted structured products, establishing eligibility criteria for issuers and defining the scope of required regulatory approvals. The document mandates that eligible issuers obtain prior SC approval for structured product programmes, subject to specific exemptions for non-tradable products involving qualified banks or dealers. It further imposes strict requirements on risk disclosure, suitability assessments for investors, post-approval documentation submissions, and continuous semi-annual post-issuance notifications to ensure market transparency and investor protection.
