Regulations amending Finansinspektionen’s regulations (FFFS 2023:12) regarding ownership, ownership management and management assessment in financial undertakings (FFFS 2025:9)
Finansinspektionen has issued new regulations (FFFS 2025:9) amending its existing rules (FFFS 2023:12) on ownership, ownership management, and management assessment in financial undertakings. These amendments, effective July 1, 2025, specifically revise Section 2, which defines the scope of application to include electronic money institutions, payment institutions, mortgage businesses, and clearing companies, along with their foreign branches. The updated regulations also introduce detailed application forms (Appendices 1a and 1b) for ownership assessment, specifying comprehensive information requirements for both natural and legal person acquirers regarding their financial position, reputation, business plans, and the acquisition's purpose and financing.
