Download Viewed Version Summary This instruction i) defines the modalities for filing and publishing various documents such as the prospectus, the universal registration document, supplements, and promotional documentation; ii) specifies the documents to be provided upon filing with the regulator; and iii) provides templates for inserts to be included on the cover of these documents as well as templates for responsibility declarations. Modifications made on February 11, 2025 The modifications were made following the entry into force of (i) the first part of the "Listing Act", (ii) Regulation (EU) No 2023/2631 of November 22, 2023 (the "European Green Bond Regulation"), and (iii) the entry into application of Directive (EU) No 2022/2464 of December 14, 2022 regarding the publication of sustainability information by companies (the "CSRD Directive"). The instruction has been updated to describe the modalities for filing with the AMF the simplified document of Annex IX of Regulation (EU) 2017/1129 of June 14, 2017 ("Prospectus Regulation") and the additional documents to be provided under Article 15 of the European Green Bond Regulation, and to update the templates for inserts to be included on the cover of documents approved by the AMF as well as the templates for responsibility declarations to be produced as of January 1, 2025 when the universal registration document contains the annual or semi-annual financial report.

This instruction i) clarifies the modalities for filing various documents such as the prospectus, the universal registration document, supplements, and promotional documentation; ii) specifies the documents to be provided upon filing with the regulator; and iii) provides templates for inserts to be included on the cover of these documents as well as templates for responsibility declarations. Modifications made on July 28, 2023 As of July 2023, issuers have the option to file their semi-annual financial report ("SFR"), their universal registration document serving as an SFR (or amendment serving as an SFR) in ESEF format (i.e., XHTML format with XBRL tags in the case of consolidated accounts under IFRS, or XHTML format in other cases). This instruction has been updated to allow the filing of SFRs in ESEF format. A detailed table is added to the annex of this instruction to clarify the formats and languages of URDs and annual financial reports filed with the AMF.
