2 VIRGIN ISLANDS STATUTORY INSTRUMENT 2025 NO. 119 BVI BUSINESS COMPANIES ACT (REVISED EDITION 2020) BVI Business Companies (Amendment of Schedules) Order, 2025 [Gazetted31st December, 2025] The Cabinet, in exercise of the power conferred by section 249(1) of the BVI Business Companies Act, Revised Edition 2020, and acting on the advice of the Financial Services Commission, makes this Order: Citation and commencement

1. (1) This Order may be cited as the BVI Business Companies (Amendment of Schedules) Order, 2025. (2) This Order shall come into force on the date that the BVI Business Companies and Limited Partnerships (Beneficial Ownership) (Amendment) (No. 2) Regulations, 2025 comes into force. Schedule 1 amended
2. The BVI Business Companies Act, Revised Edition 2020 (hereinafter referred to as the “principal Act”), is amended in Part I of Schedule 1 (a) by deleting the reference to “96A(5)” in the first column and the related references in the second and third columns and substituting the following: “96A(5) For filing the name and address of a person specified in subsection (4)(a) that holds a company’s beneficial ownership information $0”; (b) by deleting the reference to “230(3A)(c)(viii)” in the first column and the related references in the second and third columns and substituting the following:

3 “230(3A)(c)(viii) For the following under the BVI Business Companies and Limited Partnerships (Beneficial Ownership) Regulations, 2024, S.I. No. 59 of 2024: (a) For a request to inspect, or receive a copy of an entry in the Register of Beneficial Ownership in relation to one legal entity pursuant to regulation 31B(2) (b) For provision by the Registrar of a legal entity’s beneficial ownership information upon request pursuant to regulation 31B(2A) (c) For filing a notice of objection pursuant to regulation 31D(3)(c) (d) For an application opposing disclosure of beneficial ownership information pursuant to regulation 31E(1) (e) For an application for an exemption from the disclosure of beneficial ownership information pursuant to regulation 31G(1): (i) in relation to each legal entity (up to a maximum of 5 legal entities) (ii) in relation to each additional legal entity after the number stipulated in subparagraph (i) $75 $75 $0 $0 $50 $10”; and

4 (c) by deleting the reference to “Part VIIA of Schedule 2 to the Act, paragraph 60I(1)” in the first column and the related references in the second and third columns and substituting the following: “Part VIIB of Schedule 2 to the Act, paragraph 60I(1) For filing by an existing company for registration by the Registrar (where applicable) information required under sections 41, 43A, 96A, 118 and 118A(1A), within the period specified in paragraph 60I(1), subject to any extension of time by the Registrar under paragraph 60I(2) $0”. Schedule 2 amended 3. The principal Act is amended in paragraph 60I(2) of Part VIIB of Schedule 2 by adding at the end of the paragraph before the full-stop the words “, save that he or she may, by Notice published on the Internet site, extend the time for the payment of fees for such period as he or she may determine”.
