The Trinidad and Tobago Securities and Exchange Commission issued this circular to inform registrants that the Securities Act 2012 has been amended by the Securities (Amendment) Act 2014. All market participants are required to align their operations with the provisions of the amended Act, with copies of the legislation available on the Commission's website. The Commission also indicated plans to post an unofficial consolidation of the Act and invited stakeholders to contact staff for guidance on implementation.

Re: Securities (Amendment) Act, 2014
On September 10, 2014 the President of the Republic of Trinidad and Tobago assented to the Securities (Amendment) Act, 2014, Act No. 9 of 2014 (“the Amendment Act”) which amended the Securities Act, 2012 (“SA 2012”).
All registrants are therefore advised to take note that the SA 2012 has been amended. As a consequence the Commission’s operations as well as that of the securities markets (and participants therein) in Trinidad and Tobago must be guided by the provisions of the amended SA 2012. Copies of the Amendment Act are available on our website and may be accessed via the following URL: http://www.ttsec.org.tt/legal_framework.php?mid=28
In light of the fact that the Commission is not in receipt of the Official Consolidation of the SA 2012 from the Law Revision Commission, it will make every effort to post an Unofficial Consolidation to the Commission’s website once the necessary approvals have been granted.
We take this opportunity to express our gratitude to all registrants, self-regulatory organizations and other market actors for their invaluable contributions and support provided during the periods of consultation leading to the enactment of the Amendment Act.
Registrants, self-regulatory organizations and other market actors are encouraged to communicate with the staff of the Commission at sa2012@ttsec.org.tt for guidance where there are any concerns or uncertainties as to how to proceed with a particular issue that may present itself in relation to the Amendment Act at this time
