Circular No. 6 of 2025 - Upcoming Policy Changes to the International Business Companies Act, 2016
The Financial Services Authority of Seychelles has issued Circular No. 6 of 2025 to introduce new compliance obligations for nominee members and companies under the International Business Companies Act, 2016. Nominees must submit written declarations disclosing their status and nominator identity details within twenty-one days of appointment, while companies must clearly identify nominees in their registers and retain all related documents for at least seven years post-cessation. Existing entities have until June 30, 2025, to implement these requirements, which include mandatory company actions for non-compliance and align with Seychelles’ international information exchange standards.
