Capital Markets and Securities (Establishment of Stock Exchanges) (Amendment) Regulations 2016
The Tanzanian Minister for Finance and Planning has issued the 2016 Amendment Regulations to update ownership and governance rules for stock exchanges. The amended Regulation 4 requires applicants to submit Memorandums and Articles of Association that comply with the Companies Act while restricting related parties from collectively holding more than 20 percent of shares or controlling voting rights. Furthermore, the regulations mandate prior Capital Markets Authority approval for any acquisition of ten percent or more aggregate shareholding and require explicit shareholding limitation clauses in the exchange’s constitutional documents.

REGULATIONS
(Made under section 148)
THE CAPITAL MARKETS AND SECURITIES (ESTABLISHMENT OF STOCK EXCHANGES) (AMENDMENT) REGULATIONS, 2016.
Citation
- These Regulations may be cited as the Capital Markets and Securities (Establishment of Stock Exchanges) (Amendment) Regulations, 2016 and shall be read as one with the Capital Markets and Securities (Establishment of Stock Exchanges) Regulations, 1996 hereinafter referred to as the “principal Regulations”.
Deletion and substitution of regulation 4 2. The principal regulations are amended by deleting regulation 4 and substituting for it the following new regulation:
“Application and restrictions of stock exchange 4.-(1) An application for approval of establishment of a stock exchange shall be accompanied by the applicant’s Memorandum and Articles of Association which shall conform to requirements under the Companies Act, regarding the matter to be included in the Memorandum and Articles of Association.
(2) A person or persons acting in concert or related persons shall not, whether individually or jointly, own

more than 20% of shares of a stock exchange or exercise or control the exercise of votes attached to shares of a stock exchange.
(3) A person who intends to acquire 10% or more of the aggregate shareholding of a stock exchange shall obtain approval of the Authority prior to such acquisition.
(4) The Memorandum and Articles of Association of a stock exchange shall expressly provide for limitation of shareholding pursuant to sub-regulation (2).”
