CBB Draft Resolution on Rules and Procedures for Takeovers, Mergers, and Acquisitions of Listed Joint-Stock Companies
The Central Bank of Bahrain (CBB) has issued a draft resolution establishing comprehensive rules and procedures for the takeover, merger, and acquisition of shares in joint-stock companies listed on its licensed stock exchanges. This regulatory framework, grounded in Article 93 of the Central Bank of Bahrain and Financial Institutions Law, standardizes transaction processes to strengthen market oversight. All CBB licensees, listed companies, self-regulatory organizations, and professional service providers are required to submit their written comments in editable format by 6 June 2023.

**Draft Resolution with respect to issuing a Regulation on the Rules and Procedures for Take-overs, Mergers and Acquisitions of Shares of Joint-stock Companies Listed on Stock Exchanges Licensed by the Central Bank of Bahrain**
As part of the Central Bank of Bahrain’s (“CBB”) objective to enhance its regulatory framework and pursuant to Article 93 of the Central Bank of Bahrain and Financial Institutions Law, the CBB is issuing a consultation paper on the draft resolution with respect to issuing a regulation on the rules and procedures for Take-overs, Mergers and Acquisitions of Shares of Joint-stock Companies Listed on Stock Exchanges Licensed by the CBB.
Accordingly, all to whom this circular is addressed are requested to provide their comments, including “nil comments” on the draft Resolution in an editable format to consultation@cbb.gov.bh by 6th June 2023.
The draft resolution shall be available on the CBB website (www.cbb.gov.bh) under the “Open Consultations” Section.
