Guideline No : SFA 13-G13 Issue Date : 5 February 2015 (last revised on 8 October 2018) GUIDELINES ON THE PRODUCT HIGHLIGHTS SHEET FOR OFFERS OF DEBT SECURITIES, HYBRID INSTRUMENTS AND EQUITY SECURITIES 1 Purpose Of these Guidelines 1.1 These Guidelines are issued by the Monetary Authority of Singapore (the “Authority”) pursuant to section 321 of the Securities and Futures Act (Cap. 289) (“SFA”). They aim to provide guidance to issuers and their professional advisers in preparing a Product Highlights Sheet for the offers specified in paragraph 2.1 below. 2 Product Highlights Sheet 2.1 For offers of: (a) plain vanilla debentures1 (“Debt Securities”), where the offer is made in or accompanied by a prospectus or an offer information statement (“OIS”); (b) preference shares, perpetual securities or convertible bonds (each, a “Hybrid Instrument”), where the offer is made in or accompanied by a prospectus or an OIS (each, an “Offer Document”)2 ; and (c) ordinary shares, units in a real estate investment trust (“REITs”) or units in a business trust (each, the “Equity Securities”, together with Debt Securities and Hybrid Instruments, the “investment products”), where the offer is made in or accompanied by a prospectus, a Product Highlights Sheet should be prepared by issuers and furnished to investors. 1 “Plain vanilla debentures” means debentures offered by an entity which — (a) provide for repayment of the principal sum at the end of the fixed term; (b) have periodic interest payments which cannot be deferred; (c) carry a fixed interest rate or floating rate of interest comprising a reference rate plus a fixed rate (the sum of which may not be less than zero), which cannot be decreased; (d) are not convertible into or exchangeable for other securities, equity interests or property, or attached with options, warrants or similar rights to subscribe for or purchase other securities, equity interests or property; and (e) are not asset-backed securities or structured notes. 2 These Guidelines apply to each Hybrid Instrument as the Hybrid Instruments are commonly offered by issuers to investors in the market. Nonetheless, issuers are encouraged to provide a Product Highlights Sheet for an offer of other types of hybrid securities (e.g. securities that combine the features of both debt and equity) if the Product Highlights Sheet would be useful for investors’ better understanding of the key features and risks of such hybrid securities. 1
Guidelines on the Product Highlights Sheet for Offers ofDebt Securities, Hybrid Instruments and EquitySecurities 2.2 The Product Highlights Sheet should: (a) highlight key information in the Offer Documents of the relevant offer of investment products to investors; and (b) clearly disclose required information in the format as set out in these Guidelines3 . 2.3 The Product Highlights Sheet should: (a) give a fair and balanced view of the nature, material benefits and material risks of the investment products offered4 ; (b) not contain any statement5 or matter that is false or misleading in the form and context in which it is included; (c) not contain any information that is not contained in the Offer Document; (d) not contain any material information that differs in any material particular from that set out in the Offer Document; and (e) not omit any information from any part of the Product Highlights Sheet which would result in that part of the Product Highlights Sheet being construed as false or misleading. 2.4 Issuers are responsible for preparing the Product Highlights Sheet in accordance with these Guidelines. 2.5 The Product Highlights Sheet should be submitted to the Authority at the time the Offer Document is submitted to the Authority. 3 In preparing the Product Highlights Sheet, issuers and professional advisers should have regard to the information disclosed in the Offer Document. For offers of units in REITs, certain disclosure requirements relating to information to be included in a prospectus may differ from the disclosure requirements that apply to an offer of shares or units in business trusts. Hence, in preparing the Product Highlights Sheet, issuers offering units in REITS should be careful to only highlight in the Product Highlights Sheet information that is contained in the prospectus. 4 The Authority considers a Product Highlights Sheet as giving a fair and balanced view of the investment products offered if: (a) the Product Highlights Sheet gives: (i) a balanced description of the risks and potential returns of the investment products; and (ii) a proportionate level of prominence to the warnings, disclaimers and qualifications in relation to the claims on potential returns to which they refer to; and (b) the Product Highlights Sheet does not: (i) give the impression that an investor can profit without risks; (ii) contain words or graphics that could convey an impression that is inaccurate or inconsistent with the nature or the risks of the investment products; or (iii) present information in footnotes in a way that would alter the meaning of the main text of the Product Highlights Sheet or cause difficulty to an investor in understanding the investment products. 5 The reference to a statement includes a reference to any information, presented in text or otherwise. 2
Guidelines on the Product Highlights Sheet for Offers ofDebt Securities, Hybrid Instruments and EquitySecurities 2.6 The Product Highlights Sheet should be given together with the Offer Document to investors when making an offer. If the issuer makes the Offer Document available online, the Product Highlights Sheet should also be made available online together with the Offer Document. 2.7 When the issuer makes any change to the Offer Document, the Product Highlights Sheet should be updated if the change has a material effect on the key information of the investment products offered. 3 Guidance to Issuers on Preparing the Product Highlights Sheet 3.1 The appendices to these Guidelines set out the templates for the Product Highlights Sheets. The three different templates contain relevant modifications to reflect the differences between the investment products. The templates are: (a) Appendix 1: Debt Securities; (b) Appendix 2: Hybrid Instruments; and (c) Appendix 3: Equity Securities. 3.2 The templates serve as a minimum standard. Issuers should adhere to the format (including the tabular structure and the yellow Pantone 109C or similar strip on the right edge of the document) and headings and subheadings set out in the templates for their respective investment products. Additional sub-headings may be added if these are useful to enumerate points in a long section. Issuers should include any additional key information that is important for investors to understand the investment products. 3.3 Notes to guide issuers in preparing their Product Highlights Sheets are presented as italicised statements in the square brackets in the templates. Some examples are presented for illustration. These notes and examples are not meant to be prescriptive or exhaustive. Issuers should consider and decide on the information to be disclosed in the Product Highlights Sheet so as to highlight key information of their respective investment products to investors. 3.4 The use of diagrams and illustrations such as graphs, charts, flowcharts and tables to present information in the Product Highlights Sheet is strongly encouraged. 3
Guidelines on the Product Highlights Sheet for Offers ofDebt Securities, Hybrid Instruments and EquitySecurities 3.5 Issuers should set out information in the templates in a clear and simple language that investors can easily understand (i.e. in plain English)6 and should avoid using technical terms in the Product Highlights Sheet. Where technical terms are unavoidable, issuers should explain these technical terms in the “Definitions” section of the templates. 3.6 Issuers should include references to corresponding sections of the Offer Document which set out additional information for investors in the righthand column of the Product Highlights Sheet. Issuers are encouraged to include links to online copies of the Offer Document. However, key information should be clearly disclosed in the Product Highlights Sheet and issuers should not merely make reference to information in other sources, such as the Offer Document. 3.7 The Product Highlights Sheet should be no longer than the maximum page limits set out in the following table: Offer Document Investment Products Offered Debt Securities Hybrid Instruments Equity Securities Offer is made in or accompanied by a prospectus 12 pages 12 pages 12 pages Offer is made in or accompanied by an OIS 8 pages Not applicable Diagrams and illustrations, and the “Definitions” section will count towards the page limit of the Product Highlights Sheet of the respective investment products offered. 3.8 If a Product Highlights Sheet is printed on both sides of a sheet, each sheet of the Product Highlights Sheet will count as 2 pages, and each sheet should be no larger than 297 millimetres in length and 210 millimetres in breadth (A4 paper size). 6 Please refer to the Guidelines on Good Drafting Practices for Prospectuses for guidance on drafting in plain English. 4
Guidelines on the Product Highlights Sheet for Offers ofDebt Securities, Hybrid Instruments and EquitySecurities 3.9 Information in the Product Highlights Sheet (including footnotes and references) should be clearly legible and in a font size of at least 10- points Times New Roman. 3.10 Issuers should refrain from including disclaimers in relation to information disclosed in the Product Highlights Sheet or in respect of the Product Highlights Sheet. 3.11 Unless required by law or the listing rules of an approved exchange, issuers should avoid producing marketing material which resembles or may otherwise be confused with a Product Highlights Sheet. 4 Naming of Investment Products offered 4.1 Issuers should ensure there is clear naming of the investment products offered. The name of the investment products should be descriptive of the nature of the investment products offered. It should not give investors a misleading view of the true nature and risks of the investment products offered. 5
