CVM Resolution No. 234 of December 30, 1997
The Brazilian Securities and Exchange Commission (CVM) mandates that publicly-held companies submit specific standardized forms detailing capital increases via private subscription and private subscriptions of other securities. These forms must be filed with the CVM's Registry Management within three business days of the subscription closing, with initial retrospective data for 1995-1997 due by January 23, 1998. CVM RESOLUTION NO. 234, OF DECEMBER 30, 1997.
Provides for the submission of information regarding capital increases through private subscription of shares and private subscriptions of other securities.
THE PRESIDENT OF THE SECURITIES AND EXCHANGE COMMISSION - CVM makes public that the Collegiate Body, in a session held on this date, based on the provisions of Articles 21 and 22, sole paragraph, item I, of Law No. 6,385, of December 7, 1976,
DELIBERATED:
I - To make mandatory the submission of the forms "CAPITAL INCREASE BY PRIVATE SUBSCRIPTION" and "PRIVATE SUBSCRIPTION OF DEBENTURES", annexed to this RESOLUTION, starting from January 1998, inclusive.
II - The forms must be submitted by the third business day following the closing of the subscription.
III - All publicly-held companies must initially submit the forms filled with data referring to the years 1995, 1996, and 1997, by January 23, 1998.
IV - The forms must be addressed to the CVM's Registry Management and may be submitted via floppy disk, fax, or the Internet.
V - Private subscriptions of other securities must be submitted in a free format, using the same communication means, within the same deadlines provided in this Resolution for the standardized forms.
VI - The company will be subject to a daily fine of R$100.00 (one hundred reais) for each day of delay in the submission of each form.
VII - This Resolution will enter into force on the date of its publication in the Official Gazette of the Union.
