RG 107 Fundraising: Facilitating electronic offers of securities

The Australian Securities and Investments Commission issued this guide to facilitate the use of email and the internet for making securities offers under Chapter 6D of the Corporations Act. It explains the regulator's interpretation of fundraising provisions regarding electronic disclosure documents and application forms, while describing relief for personalized or AFS licensee-created forms. The document also provides good practice guidance for using and distributing these electronic materials and notes that such documents must be lodged through the ASIC Regulatory Portal from 27 July 2020.

This is a guide to facilitate the use of email and the internet to make offers of securities under Ch 6D of the Corporations Act.

This guide:

Ÿexplains how we interpret the fundraising provisions in Ch 6D when using electronic disclosure documents and electronic application forms, including the distribution of these documents by email and the internet;

Ÿdescribes the relief we have provided for personalised or Australian financial services (AFS) licensee created application forms; and

Ÿsets out our ‘good practice guidance’ for using electronic disclosure documents and electronic application forms, including the distribution of these documents by email and the internet.

Note: From 27 July 2020, fundraising disclosure documents, including application forms and supplementary and replacement disclosure documents, should be lodged through the ASIC Regulatory Portal .
