Regulation to amend Regulation 13-102 respecting System Fees for SEDAR and NRD

The Minister of Finance of Quebec issued a draft regulation to amend Regulation 13-102 regarding system fees for SEDAR and NRD. The amendment repeals the filing fees for annual information forms for mutual funds in continuous distribution and adjusts fees for simplified prospectus filings. The regulation comes into force fifteen days after publication in the Gazette officielle du Québec, with a transition period allowing compliance with prior rules until September 6, 2022.

1018 GAZETTE OFFICIELLE DU QUÉBEC, April 6, 2022, Vol. 154, No. 14 Part 2 Draft Regulation Securities Act (chapter V-1.1) System fees for SEDAR and NRD —Amendment Notice is hereby given, in accordance with sections 10 and 11 of the Regulations Act (chapter R-18.1), that the draft regulation to amend Regulation 13-102 respecting System Fees for SEDAR and NRD, appearing below, may be submitted to the Government, which may approve it with or without amendment, on the expiry of 45 days following this publication. The draft regulation aims to provide a harmonization amendment to Regulation 13-102 respecting System Fees for SEDAR and NRD (chapter V-1.1, r. 2.1) to repeal fees payable by mutual funds for the filing of an annual infor￾mation form, which is not required anymore of mutual funds in continuous distribution. The proposed amendments have no impact on enter￾prises, including small and medium-sized businesses.   1. Appendix B of Regulation 13-102 respecting System Fees for SEDAR and NRD (chapter V-1.1, r. 2.1) is amended by replacing the row corresponding to item 3 with the following: “ 3 Investment fund issuers/securities offerings Simplified prospectus and fund facts document (Regulation 81-101 respecting Mutual Fund Prospectus Disclosure (chapter V-1.1, r. 38)) $585.00, which applies in total to a combined filing, if one simplified prospectus is used to qualify the investment fund securities of more than one investment fund for distribution $162.50, which applies in total to a combined filing, if one simplified prospectus is used to qualify the investment fund securities of more than one investment fund for distribution ˮ.
  2. Transition Before 6 September 2022, an investment fund is not required to comply with the Regulation, as amended by this Regulation, if the investment fund complies with the following: a) the Regulation, as it was in force on 5 January 2022, and b) Regulation 81-101 respecting Mutual Fund Prospectus Disclosure (chapter V-1.1, r. 38), as it was in force on 5 January 2022.
  3. Effective Date (1) This Regulation comes into force on the fifteenth day following its publication in the Gazette officielle du Québec. (2) In Saskatchewan, despite paragraph (1), this Regulation comes into force on the day on which it is filed with the Registrar of Regulations. 105627 © Éditeur officiel du Québec, 2022
