CVM Instruction No. 351 of April 24, 2001

The Brazilian Securities and Exchange Commission (CVM) issued Instruction No. 351 to amend Article 16 of CVM Instruction No. 202 of 1993. The regulation establishes specific deadlines for the submission of financial statements, standardized financial reports (DFP), and annual information forms (IAN) by listed companies. It further mandates that annual information forms must be updated within ten days of any event that alters previously reported information.

CVM INSTRUCTION NO. 351, OF APRIL 24, 2001.

Amends Article 16 of CVM Instruction No. 202, of December 6, 1993.

THE PRESIDENT OF THE SECURITIES AND EXCHANGE COMMISSION – CVM makes public that the Collegiate Board, in a meeting held on this date, based on the provisions of Articles 21 and 22, sole paragraph, item I, of Law No. 6,385, of December 7, 1976, HAS DECIDED to issue the following Instruction:

Art. 1

Article 16 of CVM Instruction No. 202, of December 6, 1993, shall be effective with the following wording:

“Art. 16 .........................................................................

I - financial statements, and, if applicable, consolidated statements, prepared in accordance with Law No. 6,404, of December 15, 1976, and the regulations issued by the CVM, accompanied by the management report and the opinion of the independent auditor:

a) within a maximum period of three months after the end of the fiscal year; or

b) on the same day of their publication in the press, or of their availability to shareholders, if this occurs on a date prior to that specified in item “a” of this section.

II - Standardized Financial Statements Form – DFP, within the same deadlines established in section I of this article;

IV - Annual Information Form – IAN:

a) within a maximum period of five months after the end of the fiscal year; or

b) within a maximum period of one month, counted from the date of the holding of the annual ordinary general meeting, if this deadline expires before that established in item “a” of this section.

The Annual Information Form – IAN shall be updated whenever any facts occur that alter information provided in accordance with section IV of this article, within a period of ten days, counted from the date of the occurrence of the fact.” (NR)

Art. 2

This Instruction shall enter into force on the date of its publication in the Official Gazette of the Union.
