Draft Amendments to Notice 47-201 relating to Trading Securities Using the Internet and Other Electronic Means

Regulators have issued draft amendments to Notice 47-201 to update requirements for trading securities via the internet and electronic means. The changes specifically modify Section 2.7 by replacing a provision regarding oral statements at the commencement of road shows. The revised rule now mandates that issuers either make an oral statement confirming the availability of the prospectus on SEDAR or provide investors with a physical copy of the relevant prospectus and any amendments.

AMENDMENTS TO NOTICE 47-201 RELATING TO TRADING SECURITIES USING THE INTERNET AND OTHER ELECTRONIC MEANS

1. Section 2.7 of Notice 47-201 relating to Trading Securities Using the Internet and Other Electronic Means is amended by replacing, in paragraph (3), the third bullet with the following: “- make an oral statement at the commencement of the road show that the relevant prospectus and any amendment are available on SEDAR, or provide the investor with a copy of the relevant prospectus and any amendment.”.
