Regulation to Amend Regulation 45-513 Respecting Prospectus Exemption for Distribution to Existing Security Holders
The regulator issued this regulation to amend Regulation 45-513 by replacing references to Aequitas NEO Exchange Inc. with Cboe Canada Inc. in the definitions of listed security and paragraph (b) of Section 3. These changes update the recognized exchange entity within the prospectus exemption framework for distributions to existing security holders. The regulation comes into force on September 19, 2025.
REGULATION TO AMEND REGULATION 45-513 RESPECTING PROSPECTUS EXEMPTION FOR DISTRIBUTION TO EXISTING SECURITY HOLDERS Securities Act (chapter V-1.1, s. 331.1, par. (11) and (34))
- Section 2 of Regulation 45-513 respecting Prospectus Exemption for Distribution to Existing Security Holders (chapter V-1.1, r. 21.1) is amended by replacing “Aequitas NEO Exchange Inc.” in the definition of “listed security” by “Cboe Canada Inc.”.
- Section 3 of the Regulation is amended by replacing “Aequitas NEO Exchange Inc.” in paragraph (b) by “Cboe Canada Inc.”. Effective Date
