Regulations Implementing the Change in Bank Control Act

The Federal Deposit Insurance Corporation proposes to amend its Change in Bank Control Act regulations by eliminating a notice exemption for acquisitions of depository institution holding companies and updating related definitions to ensure appropriate regulatory review. This adjustment addresses rising ownership concentrations by passive investment funds, which may exert outsized influence over FDIC-supervised institutions and adversely affect the Deposit Insurance Fund. The agency also invites public comment on its proposed interagency coordination framework for evaluating direct and indirect control transactions.
