Having reviewed Law n° 23/2017 of 31/05/2017 establishing the Capital Market Authority of Rwanda (CMA) and determining its mission, organisation and functioning; ADOPTS: CHAPTER ONE: GENERAL PROVISIONS Article One: Purpose of this Law This Law establishes the Capital Market Authority of Rwanda. It also determines its mission, responsibilities, powers, organisation and functioning. Article 2: Establishment of CMA The Capital Market Authority of Rwanda, abbreviated as “CMA” is hereby established. CMA is a specialised organ. Elle détermine également sa mission, ses attributions, ses pouvoirs, son organisation et son fonctionnement. Article 2: Création de la CMA Il est créé l’Autorité des Marchés de Capitaux du Rwanda, « CMA » en sigle anglais. La CMA est un organe spécialisé.

Official Gazette nº 41 Bis of 01/11/2021 9 Ingingo ya 3: Ibisobanuro by’amagambo Muri iri tegeko, amagambo akurikira asobanuwe ku buryo bukurikira: 1º amabwiriza: ibisabwa gukorwa cyangwa kudakorwa mu buryo runaka bigenewe umuntu ku giti cye cyangwa ikigo; 2º amabwiriza rusange: inyandiko igamije gusobanura kurushaho ibigomba kubahirizwa kugira ngo bishyirwe mu bikorwa; 3º ibijyanye n’inyandiko nyemezabubiko: uburyo butanga gihamya yerekana ingano n’ubwiza bw’ibicuruzwa by’ibanze byashyizwe mu bubiko bw’ibicuruzwa n’umuntu uzwi; 4º ibikorwa bijyanye n’isoko ry’imari n’imigabane: igikorwa icyo aricyo cyose kijyanye cyangwa gifitanye isano: a. no guhamagarira kwiyandikisha, kugurisha cyangwa gushyira ku isoko impapuro z’agaciro bireba rubanda cyangwa bamwe muri Article 3: Definitions For the purposes of this Law, the following terms are defined as follows: 1° directives: orders or prohibitions of acting in a certain manner designed for a natural person or legal entity; 2° regulation: normative act which is aimed to specify modalities for the application of requirements; 3° warehouse receipt system: a system that provides evidence that specifies the quantity of commodities and states the quality that were deposited at a particular warehouse by a named depositor; 4° capital market activities: any activity that involves or is in connection with: a. an invitation to subscribe for, or the offer or issue of securities whether to the public or to any section of the public, including natural persons or entities; Article 3 : Définitions Aux fins de la présente loi, les termes suivants sont définis somme suit : 1º directives: ordres ou interdictions d’agir d’une certaine manière, adressés à une personne physique ou morale ; 2º règlement: acte normatif qui vise à préciser les modalités d’application des prescriptions; 3º système de récépissé d’entrepôt : système qui fournit des preuves spécifiant la quantité et la qualité de produits de base déposés dans un entrepôt particulier par un déposant désigné ; 4º activités sur les marchés de capitaux: toute activité qui implique ou est en relation avec : a. une invitation à souscrire, ou l’offre ou l’émission de valeurs mobilières que ce soit au public ou à une partie du public, y compris les personnes physiques ou entités ;

Article 5: Supervising authority of CMA The supervising authority of CMA is the Ministry in charge of finance. Article 6: Head office The head office of CMA is located in the City of Kigali. CHAPTER II: MISSION, RESPONSIBILITIES AND POWERS OF CMA Article 7: Mission of CMA The mission of CMA is to protect investors in the capital market, ensure an orderly, fair, transparent and efficient market and reduce systemic risk in matters relating to capital market business. Subsection One: Board of Directors of CMA Article 11: Composition of the Board of Directors of CMA The Board of Directors of CMA is composed at least of seven (7) members appointed by a Presidential Order, including the Chairperson and the Deputy Chairperson. Ingingo ya 12: Inshingano z’Inama y’Ubuyobozi ya CMA Inama y’Ubuyobozi ya CMA ni rwo rwego rukuru rwayo. Inama y’Ubuyobozi ifite inshingano zikurikira: 1 º gushyiraho politiki zihariye zigenga imikorere ya CMA; 2 º kwemeza amabwiriza rusange n’amabwiriza hashingiwe kuri iri tegeko cyangwa andi mategeko Members the Board of Directors of CMA are chosen on the grounds of their competence and expertise in the capital market industry, financial services, economic field, legal background and in any other relevant field. At least thirty percent (30%) of the members of the Board of Directors of CMA must be women. Members of the Board of Directors have a term of office of four (4) years renewable only once. Article 12: Responsibilities of the Board of Directors of CMA The Board of Directors is the supreme organ of CMA. A Presidential Order may also appoint a Deputy Chief Executive Officer and determine his or her responsibilities. The salary and other fringe benefits granted to the Chief Executive Officer and the Deputy Chief Executive Officer are determined in accordance with relevant Laws. Article 24: Responsibilities of the General Management of CMA The General Management of CMA has the following responsibilities: 1º to coordinate the daily business activities of CMA; 2º to recruit and manage the staff of CMA; 3º to prepare the draft budget of CMA; 4º to execute the budget of CMA; 5º to prepare and implement the strategic plan and action plan; officiels nommés par le Conseil d’administration. Birabujijwe ku bagize Inama y’Ubuyobozi, abagize Ubuyobozi Bukuru n’abandi bakozi ba CMA kugirana na yo amasezerano ayo ari yo yose yabahesha ibindi uretse ibyo bagenerwa hakurikijwe iri tegeko. 15º to impose the administrative sanctions; 16º to perform such other duty falling within the responsibilities of CMA as may be assigned by the Board of Directors. Subsection 3: Common provisions Article 26: Incompatibilities Members of the Board of Directors of CMA are not allowed to perform any remunerated activity within CMA. Members of the Board of Directors, members of the General Management and other staff members of CMA are not allowed, either individually or through companies in which they hold shares, to bid for tenders of CMA. Members of the Board of Directors, members of the General Management and other staff members of CMA are prohibited from contracting with CMA any form of benefits other than those granted to them in accordance with this Law. 15º imposer les sanctions administratives ; 16º effectuer toute autre tâche relevant des attributions de la CMA que le Conseil d’administration peut lui confier. Article 27: Statute governing staff members of CMA Staff members of CMA are governed by the statute established by the Board of Directors. Section 2: Functioning of CMA Article 28: Modalities for the functioning and collaboration of CMA organs The rules of procedure of CMA determine modalities for the functioning and collaboration of its organs not provided for by this Law. CHAPTER IV: PROPERTY AND FINANCE OF CMA Article 29: Property of CMA and its sources The property of CMA comprises movable and immovable assets. It comes from the following sources: 1º state budget allocation; 2º state’s or partners’ subsidies; 3º income from services provided; 4º profits from its property; 5º loan granted to CMA approved by the Minister in charge of finance; 6º administrative fine; 7º property previously owned by CMA; 8º donations and bequests. CHAPITRE IV: PATRIMOINE ET FINANCES DE LA CMA Article 29: Patrimoine de la CMA et ses sources Le patrimoine de la CMA comprend les biens meubles et immeubles. Il provient des sources suivantes: 1º dotation budgétaire de l’État; 2º subventions de l’État ou des partenaires; 3º revenus provenant des services prestés; 4º revenus provenant de son patrimoine; 5º les prêts accordés à la CMA approuvés par le ministre ayant les finances dans ses attributions; 6º l’amende administrative; 7º patrimoine ayant appartenu antérieurement à la CMA; 8º les dons et legs.

Umushinga w’ingengo y’imari y’umwaka ugomba kuba uherekejwe na gahunda y’ibikorwa by’umwaka w’ingengo y’imari utangiye bisabirwa kwemezwa. Ingengo y’imari ya CMA yemezwa kandi igacungwa hakurikijwe amategeko abigenga. Mu mezi atatu (3) akurikira impera z’umwaka w’ingengo y’imari, Umuyobozi Mukuru wa CMA ashyikiriza Inama y’Ubuyobozi raporo y’ibikorwa n’iy’imikoreshereze y’ingengo y’imari kugira ngo iyemeze. Article 30: Preparation and approval of annual draft budget, action plan and financial report Every year, the General Management of CMA prepares a draft annual budget and submits it to the Board of Directors of CMA for approval. The draft annual budget must be accompanied by the action plan for the following financial year for approval. The budget of CMA is approved and managed in accordance with relevant Laws. Within three (3) months following the closure of the financial year, the Chief Executive Officer of CMA submits to the Board of Directors the activity report and budget execution report for approval. Article 30: Préparation et adoption du projet de budget, du plan d’action et du rapport financier annuels Chaque année, la Direction générale de la CMA prépare le projet de budget annuel et le transmet au Conseil d’administration de la CMA pour approbation. The internal audit of CMA submits its report to the Board of Directors of CMA, with a copy to the Chief Executive Officer of CMA. CMA can seek external auditor services upon request to and approval of the Office of the Auditor General of State Finances. CHAPTER V: MISCELLANEOUS, TRANSITIONAL AND FINAL PROVISIONS Article 32: Validity of undertaken actions Actions undertaken by CMA established by Law n° 23/2017 of 31/05/2017 Article 31: Utilisation, gestion et audit du patrimoine de la CMA Les finances et le patrimoine de la CMA sont utilisés et gérés conformément à la législation en la matière. Article 36: Drafting, consideration and adoption of this Law This Law was drafted in English, considered and adopted in Ikinyarwanda. Article 37: Repealing provision The Law n° 23/2017 of 31/05/2017 establishing the Capital Market Authority of Rwanda (CMA) and determining its mission, organisation and functioning and all other prior legal provisions contrary to this Law are repealed. Article 38: Commencement This Law comes into force on the date of its publication in the Official Gazette of the Republic of Rwanda. dépassant pas douze (12) mois à compter de la date de publication de la présente loi au Journal Officiel de la République du Rwanda pour se conformer aux dispositions de la présente loi. Article 36: Initiation, examen et adoption de la présente loi La présente loi a été initiée en anglais, examinée et adoptée en Ikinyarwanda. Article 37: Disposition abrogatoire La Loi n° 23/2017 du 31/05/2017 portant création de l’Autorité des Marchés de Capitaux du Rwanda (CMA) et déterminant sa mission, son organisation et son fonctionnement ainsi que toutes les autres dispositions légales antérieures contraires à la présente loi sont abrogées. Article 38: Entrée en vigueur La présente loi entre en vigueur le jour de sa publication au Journal Officiel de la République du Rwanda.
