The Brazilian Securities and Exchange Commission (CVM) issued Resolution No. 241 to amend Resolution No. 24 of 2021 regarding the assignment of case reporting duties. CVM RESOLUTION NO. 241, OF MARCH 5, 2026 Amends CVM Resolution No. 24, of March 5, 2021.
The INTERIM PRESIDENT OF THE SECURITIES AND EXCHANGE COMMISSION – CVM makes public that the Collegiate Board, in a meeting held on March 5, 2026, based on art. 8 of Annex I of Decree No. 11.234, of October 10, 2022, in § 7 of art. 6 of Law No. 6.385, of December 7, 1976 and in art. 6 of CVM Resolution No. 24, of March 5, 2021, APPROVED the following Resolution:
Art. 1 The Annex I of CVM Resolution No. 24, of March 5, 2021, published in the Official Gazette of the Union ("DOU") of March 8, 2021, shall be in effect with the following wording:
“Art. 90 ........................................ ........................................ § 9 Substitute directors shall participate in the lottery for the designation of reporting of administrative processes when there are three or more vacancies in the Collegiate Board exceeding thirty days, so that the lottery takes place among three members. § 10. In the event of impediment or suspicion of the substitute director, the lottery of the administrative processes shall include the next in the order of precedence of the list. § 11. Once the composition of the Collegiate Board is restored with three or more titular members, the processes whose reporting was provisionally attributed to substitute directors must be redistributed, through a new lottery, to define the new reporting. The processes whose reporting was attributed to the vacancies that were vacant must return to the titular members of the respective vacancies. § 12. The alteration in the order of precedence of the list shall not imply the need to redistribute the processes already sorted for provisional reporting, so that the substitute director shall remain as reporter until the exclusion of his name from the list or the condition of § 10 is verified, whichever occurs first. ........................................” (NR)
Art. 2 This ordinance shall enter into force on the date of its publication.
