AGREEMENT establishing the electronic means and issuing the official format for credit institutions to present the notice referenced in the second paragraph of Rule 62nd Octies of the General Provisions referred to in Article 115 of the Credit Institutions Law.

The National Banking and Securities Commission, based on the provisions of Articles 4, fraction XXXVI, and 16, fraction I of the Law of the National Banking and Securities Commission; 61st and 62nd Octies, second paragraph of the General Provisions referred to in Article 115 of the Credit Institutions Law, in relation to Articles 52, penultimate and last paragraphs, 98 Bis, and 115 Bis of the Credit Institutions Law, and

CONSIDERING

That, in accordance with Article 78 of the Law for Regulatory Improvement and with the purpose of reducing the compliance cost of this Agreement, the National Banking and Securities Commission published on June 13, 2018, in the Official Gazette of the Federation, the "Resolution that modifies the general provisions applicable to securities issuers and other market participants," through which it was determined that securities issuers are no longer obligated to prepare an informational brochure containing the public acquisition offer;

That, through a Resolution published in the Official Gazette of the Federation on March 3, 2022, modifications were made to the "General Provisions referred to in Article 115 of the Credit Institutions Law," including, among others, the incorporation of provision 62nd Octies;

That, in terms of Rule 62nd Octies of the "General Provisions referred to in Article 115 of the Credit Institutions Law," credit institutions are authorized to exchange information regarding the background or known activity of their Clients or Users, as well as statistical information concerning reports of Unusual Operations referred to in Rule 37th, and 24-hour Anticipated Unusual Operations referred to in Rule 41st, both of the aforementioned Provisions, as well as information regarding the circumstances considered when issuing the opinion regarding the corresponding unusual operation.

Such exchange may be carried out with:

i) Foreign financial institutions when they are subsidiaries thereof; ii) Foreign financial entities in which they maintain direct or indirect investments in shares representing their share capital, as well as with financial intermediaries that are their subsidiaries; and iii) Foreign Financial Entities with which they conduct correspondent banking operations;

That, in accordance with the second paragraph of Rule 62nd Octies of the Provisions mentioned in the previous paragraph, credit institutions, in the event that they decide to carry out the aforementioned information exchange, are obligated to enter into agreements with the corresponding foreign financial entity or institution, establishing the confidentiality terms applicable to the shared information, as well as the positions of the authorized officials of both parties to carry out such exchange.

Likewise, the obligation to notify the National Banking and Securities Commission regarding the aforementioned agreements before the corresponding information exchange is finalized is established;

And, consequently, it is necessary to establish the appropriate electronic means and issue the official format to notify the National Banking and Securities Commission regarding the signing of the aforementioned agreements, it has been resolved to issue the following:

AGREEMENT

ESTABLISHING THE ELECTRONIC MEANS AND ISSUING THE OFFICIAL FORMAT FOR CREDIT INSTITUTIONS TO PRESENT THE NOTICE REFERENCED IN THE SECOND PARAGRAPH OF RULE 62ND OCTIES OF THE GENERAL PROVISIONS REFERRED TO IN ARTICLE 115 OF THE CREDIT INSTITUTIONS LAW

Article 1.- The purpose of this Agreement is to establish the electronic means and issue the official format referred to in the second paragraph of Rule 62nd Octies of the Provisions, through which Entities must notify the Commission regarding agreements entered into for the exchange of information on the background or known activity of their Clients or Users, statistical information on information relative to reports of Unusual Operations referred to in Rule 37th and 24-hour Anticipated Unusual Operations referred to in Rule 41st, both of said Provisions, as well as on the circumstances considered when ruling on the respective unusual operation, with:

i) Foreign financial institutions when they are subsidiaries thereof; ii) Foreign financial entities in which they maintain direct or indirect investments in shares representing their share capital, as well as with financial intermediaries that are their subsidiaries; and iii) Foreign Financial Entities with which they conduct correspondent banking operations.

Article 2.- In addition to the definitions contained in the Provisions, for the purposes of this Agreement, the following shall be understood, in singular or plural:

I. Provisions, the "General Provisions referred to in Article 115 of the Credit Institutions Law," published in the Official Gazette of the Federation on April 20, 2009, and their respective modifications.

II. SITI PLD/FT, the Interinstitutional Information Transfer System administered by the Commission.

Article 3.- Prior to the information exchange referred to in Article 1 of this Agreement, Entities will notify the Commission electronically through the SITI PLD/FT, in "XML" format with the "CIEE" extension, regarding the information exchange agreement entered into between the Entities with:

i) Foreign financial institutions when they are subsidiaries thereof; ii) Foreign financial entities in which they maintain direct or indirect investments in shares representing their share capital, as well as with financial intermediaries that are their subsidiaries; or iii) Foreign Financial Entities with which they conduct correspondent banking operations.

Such agreement must stipulate:

a) The confidential treatment to be given to the exchanged information, and b) The positions of the officials authorized by both parties to effect the information exchange.

For the foregoing, the catalogs and other indications contained in the SITI PLD/FT must be used, which will generate an electronic receipt of acknowledgment in which the name of the sending Entity, folio number, date, and time of receipt will be recorded.

Entities will be responsible for the integrity and quality of the information submitted in the notice, which must be sent only once and will be received assuming it meets all required characteristics, wherefore it cannot be modified.

In the event that there are modifications to the agreements that generate changes in the fields of Annex A, Entities will inform the Commission, referencing such modifications in the "Observations" field of said Annex A.

Article 4.- The Commission will make available to Entities, through the SITI PLD/FT and, where applicable, through its Internet portal, the catalogs provided by the Ministry and the Commission, for the purpose that Entities capture the information they must include in the notice referred to in this Agreement and which is contained in Annex A of this instrument.

Article 5.- The interpretation and handling of queries regarding this Agreement, as well as the resolution of cases not contemplated in it, will correspond to the Commission, through the Vice Presidency of Preventive Process Supervision.

TRANSITORY PROVISIONS

FIRST. This Agreement will enter into force the day following its publication in the Official Gazette of the Federation.

SECOND. The Commission will have a period of thirty business days, from the date of entry into force of this Agreement, to enable the SITI PLD/FT and begin receiving the notices referred to in Article 3 of this Agreement.

THIRD. From the date of entry into force of this Agreement and until the thirty-business-day period elapses for the Commission to enable the SITI PLD/FT mentioned in the SECOND TRANSITORY PROVISION above, Entities may inform the Commission regarding the signing of the agreements related to the information exchange referred to in Article 1 of this Agreement, through the email prevencion.lavado@cnbv.gob.mx, and through a free-form letter addressed to the General Directorate of Prevention of Operations with Illicit Proceeds B, in which all the detailed information in the "FIELD NAME" column of Annex A of this Agreement is provided.
